COUNCIL AGENDA ITEM
AGENDA MATTER:
CONSIDERATION OF DEVELOPMENT AGREEMENT WITH MILESTONE HOUSING GROUP, LLC EXECUTIVE SUMMARY:
The City Manager placed this item on the agenda for Council consideration. Staff is recommending that the City Council adopt a resolution terminating the development agreement the City has entered into with Milestone Housing Group, LLC for failure to comply with the terms of the development agreement.
DISCUSSION:
The City Council entered into a development agreement with Milestone Housing Group, LLC (“Milestone Housing Group”) on May 17, 2021 by adopting Resolution No. 5040-2021 (attached as Exhibit D) and signing the development agreement (attached as Exhibit A).
The development agreement was a part of an effort to revitalize downtown Barstow and the project was termed “Reimagine Barstow.” The development agreement was for a vacant 3.3 acre site located at 555 S. 7th Avenue, also known as the Old Hospital site (APN Nos. 0181-122-18; 0181-122-19; 0181-122-20; 0181-122-21).
City staff worked with a technical assistance team on an application for an Affordable Housing Sustainable Communities’ (“AHSC”) grant. The City created a Request for Qualifications process in 2020 for the site, which resulted in submissions by four development partners. The City chose Milestone Housing Group due its experience in completing high-quality affordable housing projects similar to the City of Barstow.
The site is divided into four parcels on which development is allowed, subject to the conditions of the Development Agreement. The first part of the Development Agreement, being approved by this Resolution, grants Milestone Housing Group a ground lease on Parcel 1, a 3.3 acre plot, upon which to construct an affordable housing project with at least 81 deed-restricted units rented at San Bernardino County moderate-income or lower rates (i.e. 80% of Average Median Income-AMI in San Bernardino County or less) for the term of this Agreement for at least 55 years from the commencement date of the Ground Lease. The option to construct affordable housing is conditioned on applying to and receiving an award for the AHSC grant in partnership with the City of Barstow.
The development agreement created a Contract Period between the City and Milestone Housing Group, in which Milestone Housing Group may apply for the 2021 and 2022 AHSC grant. If, at that point, the grant has not been awarded to the City of Barstow, there is an option for a third year of eligibility for 2023 AHSC grant application cycle where the City of Barstow has the sole discretion to choose if they want to keep Milestone Housing Group on the project for a 3rd year. The City has determined that Milestone Housing Group has failed to secure an AHSC grant for 2021 and 2022 and wants to end its partnership with Milestone Housing Group as is its right under the terms of the development agreement.
As part of the agreement, the City agreed to enter into a 99-year ground lease for the site contingent upon Milestone Housing Group constructing deed-restricted affordable housing units on the site.
The City sent Milestone Housing Group a letter on January 21, 2022 informing them of their default and the City’s intent to terminate the development agreement. A copy of this letter is attached as Exhibit B. 7 Packet Pg. 35

COUNCIL AGENDA ITEM
On January 31, 2023, the City received an email from Marcus Griffin, principal and chief financial officer of the Developer, informing the City that the Developer received the City’s January 23, 2023 notice of intent to terminate and “agree that termination is valid based on the deadlines within the agreement.” A copy of this email is attached as Exhibit E.
FISCAL IMPACT:
The City is not expected to incur any negative fiscal impact from terminating the development agreement.
RECOMMENDED ACTION:
The City Council adopt a resolution terminating the development agreement with Milestone Housing Group (attached as Exhibit C) and direct staff to take further steps to terminate the development agreement.
If the development agreement is terminated, then the City plans to assess its options for how to best use the site.

Good afternoon Mr. Hopkins. I received the attached letter dated January 21, 2023 giving my company notice that are development agreement is being terminated. We agree that the termination is valid based on the deadlines within the agreement. You can waive the hearing per this email communication.
As you may be aware, we were only able to submit a single application for AHSC funding in 2021, as the 2022 application cycle was delayed until early 2023.
Unfortunately the competitive system adopted by the Strategic Growth Council for AHSC program contains a scoring system that leaves the Barstow site in a noncompetitive position for the 2023 funding round. Other rural communities with access

Absence any other project component generating significant greenhouse gas reductions, it is not worth pursuing AHSC funding. We have spent significant time working with City Staff, Enterprise Communities and California Coalition for Rural Housing to try and find a way to make the project competitive without success.
We have enjoyed our time working with your staff and hope you find alternatives financing strategies to develop the site.
Please let me know if you have any questions. Have a great day.

Re: Termination of Development Agreement
Dear Mr. Griffin,
As you are aware, the City of Barstow (“City”) entered into the Development Agreement with Milestone Housing Group, LLC dated May 17, 2021, regarding that certain real property located in the City of Barstow, San Bernardino County, California, legally described on Exhibit A attached hereto. The purpose of that Development Agreement was to build affordable housing on the site by obtaining a grant under the state’s Affordable Housing and Sustainable Communities Program. That purpose was memorialized in Section 1.1.1 of the Development Agreement which requires Milestone Housing Group, LLC to secure an Affordable Housing and Sustainable Communities Program grant as part of its obligations under the Development Agreement and before the parties can enter into a ground lease for the real property.
However, Milestone Housing Group, LLC has failed to adhere to secure the Affordable Housing and Sustainable Communities Program grants it is required to obtain in Section 1.1.1 of the Development Agreement. Pursuant to Section 7.1 of the Agreement, the City must give Milestone Housing Group, LLC 30 days after the receipt of a notice of default to correct or remedy its default. Considering the City’s long-term objectives at the site, the City has determined a need to terminate the Development Agreement in accordance with these provisions.

AGENDA MATTER:
FISCAL YEAR 2022/23 MID-YEAR BUDGET STATUS REPORT & PROPOSED BUDGET
ADJUSTMENTS
EXECUTIVE SUMMARY:
Finance staff initiated meetings with departmental managers to review actual revenues and expenditures through January 2023 to compare budgetary performance with fiscal year 2022/23 budgeted appropriations. Based upon this analysis, the fiscal year 2022/23 mid-year budget review has been prepared together with the attached proposed budget adjustments (Exhibit A), which are presented for the City Council’s consideration and approval.
In conjunction with the mid-year budget review, staff has examined all Capital Improvement Projects (CIP) and capital equipment requests to determine if any appropriation adjustments were necessary, either through budget carry forwards or through new appropriation requests. The requested adjustments to the CIP or to capital equipment requests are attached (Exhibit B) for the City Council’s consideration and approval.
Staff continually monitors and reviews budgetary performance and will continue to do so through the end of the current fiscal year and in conjunction with year-end close. Staff brings forward budget adjustments from time-to-time as necessary to ensure the City's spending plan remains current.
DISCUSSION:
BUDGET OVERVIEW
General Fund:
As part of staff's mid-year analysis, finance staff met with department and division managers to review their budgetary performance for each area of responsibility. Based upon that review, the requested budget adjustments and carryforwards, which are included as part of the budget status overview, the General Fund is estimated to end the fiscal year with a budget surplus of $4,947,000 on a combined basis as per the FY 2022/23 adopted budget.
General Fund Revenues - Fund 100
The General Fund’s revenue estimates for fiscal year 2022/23, which includes adjustments, if any, approved by City Council from July 2022 through January 2023, were estimated at $21,511,151. Based upon the staff's analysis of the revenue estimates, including updated economic forecasts, staff is projecting that estimated revenues should be increased by $4,112,679 in total. Sales Tax revenue estimates are projected to increase by $250,000. An increase to the franchise fees received from Solid Waste and Wastewater are estimated to come in at $225,000 higher than originally budgeted. Additionally, Transient Occupancy Tax (TOT) revenues are estimated to modestly increase by $5,000. A transfer of funds is proposed from the American Rescue Plan Act (ARPA) in the amount of $3,640,755 for eligible revenue replacement due to the pandemic. AGENDA ITEM
Revenue projections remain conservative. Other revenues budgeted in FY 2022/23, such as fees associated with cannabis businesses and from the Intergovernmental Service Agreement (IGSA) for solid waste services are being decreased due to the anticipated timing of receipt of such revenues. Further changes in revenue projections, if needed, will be included as part of the yearend budget clean-up resolution which will be brought back to the City Council for consideration in June 2023.
General Fund Expenditures - Fund 100
The adopted fiscal year 2022/23 General Fund operating budget, plus Council approved budget adjustments from July 2022 to January 2023, amounts total appropriations in the amount of $21,819,391. Based upon the budget review conducted by finance staff, in coordination with department and division managers from all departments, actual expenditures are tracking fairly well to projected spending levels. Year-to-date expenditures total $11,976,711, which amounts to approximately 56% of the adopted budget through January 2023; however, additional appropriations are proposed within the General Fund totaling $2,238,542 as part of the mid-year budget adjustment. These proposed adjustments are necessary primarily due to payment of wage increases that were approved by the City Council in November 2022, as well as approval to hire additional staffing needed for implementation of cannabis and rental inspection programs and additional appropriations for public safety overtime.
General Fund-Measure Q - Fund 102 & 103 (Fire)
Fiscal Year 2022/23 Measure Q sales tax revenues estimates are proposed to increase by $500,000. Although estimated revenues have exhibited favorable budgetary variances, expenditures are expected to slightly outpace budgeted appropriations necessitating proposed appropriation adjustments totaling $617,162.
Barstow Fire Protection District (BFPD) - Fund 225
Barstow Fire Protection District Revenues - Fund 225
The BFPD’s current fiscal year budget projects revenues of $6,575,950, with actual revenues received of $3,865,558 through January 2023. Property tax revenues collections appear to be in line with the original revenue estimates of 4,964,950 for FY 2022/23, with $3,156,016 received through January 2023. Other revenues received totaling $709,542 comprised of impact fees, cell tower leases, sale of equipment, and strike team reimbursements. An increase to the overtime appropriation in the amount of $450,000 is requested to cover the anticipated overtime costs through the end of the fiscal year per budget analysis.
FISCAL IMPACT:
The net budgetary adjustments in estimated revenues and appropriations in the General Fund results in an estimated excess of revenues over expenditures of $1,781,495 at year end on a combined basis.
