AGENDA ITEM
AGENDA MATTER:
PROFESSIONAL SERVICES CONTRACT FOR HAZARDOUS WASTE SERVICES FOR FORT IRWIN EXECUTIVE SUMMARY:
The City Council is asked to enter into an intergovernmental support agreement (IGSA) for hazardous waste services at Fort Irwin. (Att. 1). Simultaneously, the City will subcontract performance of work to SpecPro Professional Services, LLC (SpecPro) to perform work on-site. (Att. 2). The City will receive a 3% processing fee for administering the contract on behalf of Fort Irwin. Both contracts are for a ten (10) year performance period with one-year initial terms and nine (9) annual renewals. The IGSA contract between the City and the Army is for $25,689,000.31. The subcontract with SpecPro is in the amount $24,940,777.00.
DISCUSSION:
The IGSA law was adopted by Congress in 2013 to allow government agencies near military installations to partner with the federal government to provide services the agency performs for its own needs to the federal government. It may enter into the agreement with the government agency if the services are performed for the agency’s own use, and are awarded on a competitive basis. (10 U.S.C. 2679(a).) Here, hazardous waste services are performed at the City, and competitive bids for similar services were received by High Desert Support Services, LLC, and Chenega Global Services, LLC, in addition to SpecPro. SpecPro’s bid was the most competitive bid for such services.
The City currently has similar IGSA/subcontractor agreements with the Army for work being performed at Fort Irwin. In 2021, the City and SpecPro entered into a ten-year professional services contract for animal control services at Fort Irwin. Last year, the City entered into an agreement with another private firm to provide installation services at Fort Irwin. Both contracts are IGSA’s with the Army where the City agrees to provide services at Fort Irwin, and at the same time the City contracts with a private firm to provide those services.
There is no potential for a substantial impact on the environment with these agreements. These agreements are exempt from review under the California Environmental Quality Act, per CEQA Guidelines, Title 24, CCR, section 15301.

INTERGOVERNMENTAL SUPPORT AGREEMENT (IGSA)
BETWEEN THE
UNITED STATES ARMY GARRISON, FORT IRWIN AND
CITY OF BARSTOW, CALIFORNIA FOR
HAZARDOUS WASTE SERVICES
W4E6AA-IGSA-XXXXX-2024-XXXX
This is an Intergovernmental Support Agreement (hereafter referred to as the IGSA or Agreement) between the United States and City of Barstow, California, (hereafter PUBLIC PARTNER is used for brevity throughout this agreement) is entered into pursuant to federal law codified at 1O USC 2679.
The statute authorizes the Secretary of the Army to enter an IGSA on a sole source basis with a state or local government to receive installation support and services. The Secretary of the Army has delegated authority to Garrison Commander (hereafter GC) to execute agreements on behalf of the United States. The scope of work may be performed by PUBLIC PARTNER’s contractors or subcontractors.
The purpose of this IGSA is to outline the roles and responsibilities of the parties, identify the services to be furnished by the PUBLIC PARTNER, the prices to be paid by the United States, and the appropriate reimbursement and quality control procedures. The parties undertake this Agreement in order to provide services, supplies or construction to the United States, to achieve cost savings for the Department of the Army, and to provide additional revenues to local governments and their work forces.
RESPONSIBILITIES OF THE PARTIES:
The PUBLIC PARTNER shall perform the installation hazardous waste services as stated in this IGSA.
The term "installation hazardous waste services" only includes services, supplies, resources, and support typically provided by a local government for its own needs and without regard to whether such services, supplies resources, and support are provided to its residents generally. The PUBLIC PARTNER may perform these services though any contractors or subcontractors.
This is a non-personal services agreement. Each party is responsible for all costs of its personnel including pay, benefits, support, and travel. Each party is responsible for supervision or management of its personnel.
The tasks, duties and responsibilities set forth in this IGSA may not be interpreted or implemented in any manner that results in PUBLIC PARTNER creating or modifying federal policy, obligating appropriated funds of the United States, or overseeing the work of federal employees.
Under no circumstances, shall PUBLIC PARTNER employees, contractors, or subcontractors be deemed federal employees. If the PUBLIC PARTNER shall provide services through a contract, the contract must be awarded through competitive procedures. (This requirement does not apply to
