AMENDMENT No. 2 TO PROFESSIONAL SERVICES AGREEMENT
(City of Barstow and Placeworks, Inc.)
This Amendment No. 1 (“Amendment”) to Professional Services Agreement (“Agreement”) is made on this 4th day of March, 2025 at Barstow, California, by and between the City of Barstow, a municipal corporation (“City”) and PLACEWORKS, INC (“Consultant”).
This “Amendment” modifies the original “Agreement” between the “City” and the “Consultant” dated March, 3, 2025 in the following fashion:
A. “City” and “Consultant” desire to amend the “Agreement” by modifying the total compensation and costs payable to “Consultant” under this 6.2 as follows:
The maximum compensation amount for all services under this Amended and Restated Agreement is $1,486,251 – comprised of the original maximum amount of $600,000 and an augmented additional maximum compensation amount of $242,751. Any payments to Consultant beyond the compensation identified in this section will require approval of the City Council and an agreement in writing.
B. “City” and “Consultant” desire to amend the “Agreement” by modifying section 16 to reflect Chris Heldreth, Acting City Manager and Rochelle Clayton, City Manager for the City of Barstow Contact.
C. “City” and “Consultant” desire to revise the Scope of Services to include service identified in Exhibit “A” with those services attached hereto as “Exhibit A-1”.
