COUNCIL AGENDA ITEM
AGENDA MATTER:

APPROVAL OF SECOND AMENDED AND RESTATED AGREEMENT BETWEEN THE CITY OF

BARSTOW AND BARSTOW HUMANE SOCIETY FOR ANIMAL SHELTERING AND ANIMAL CONTROL SERVICES TO ADD AFTER HOURS CALL-OUT SERVICES.

EXECUTIVE SUMMARY:

The proposed Second Amended and Restated Animal Sheltering and Animal Control Services Agreement (“Second Amended Agreement”) amends the existing contract between the City and the Barstow Humane Society (“Society”), under which the Society provides animal sheltering and control services for the City. More specifically, the Second Amended Agreement adds a provision expanding the scope of Society’s animal control services to include after-hours call-out services at a rate of $150 per call-out. The Second Amended Agreement includes additional minor changes intended to improve the operation of the Agreement and implement the addition of after-hours call-out services.

DISCUSSION:

California requires cities and counties to provide animal control and shelter services to protect public and animal safety, care for lost or neglected animals, and support rabies prevention and licensing. Local jurisdictions meet these obligations either by operating their own services or partnering with nonprofits or other entities to reduce costs.

In December 2024, the City entered into a professional services agreement with the Society, under which the Society agreed to provide the City with animal sheltering services. In mid-2025, the City and Society entered into the First Amended and Restated Animal Sheltering and Animal Control Services Agreement to expand the services provided by the Society to the City to include animal control services. The proposed Second Amended Agreement would expand the scope of Society’s animal control services to include after hours call-out services at a rate of $150 per call-out and make additional minor changes intended to improve the operation of the Agreement and implement the addition of after hours call-out services.

Redlined and clean versions of the proposed Second Amended Agreement are attached hereto as Attachment 1 and Attachment 2, respectively.

The proposed Second Amended Agreement changes the First Amended Agreement as follows:
 After Hours Call-Out Services: Expands the scope of Society’s animal control services to include after hours call-out animal control services at a rate of $150.00 per call-out, beginning August 1, 2025. (p. 22)
 Call-Out Services Invoicing: Requires the Society to invoice the City for after hours call-out services on a monthly basis. (pp. 8-9)
 Agreement Review: Requires the City and the Society to meet in good faith in July 2026 to evaluate the effectiveness of the Second Amended Agreement and consider any necessary or desired modifications to the after hours on-call services. Any agreed upon modifications must be in writing and signed by both parties to be effective. (p. 3-4) Joint Special Council/BFPD

COUNCIL AGENDA ITEM
 Clarifies Societies Role in Assisting, not Enforcing, Barstow Municipal Code: Revises the animal control scope of services to clarify that the Society is responsible for assisting the City in its enforcement of the Barstow Municipal Code rather than being the responsible entity for code enforcement. (p. 21)
 Updated Recitals and Title: Updates and adds recitals explaining prior and current agreement amendments. Provides that any outstanding obligations as of the effective date of the Second Amended Agreement (e.g., unpaid invoices, etc.) must still be complied with. Updates the title of to reflect a second amendment. (p. 1)
Attachment 1 - Second Amended and Restated Agreement for Animal Sheltering and Animal Control Services (redlined version)
Attachment 2- Second Amended and Restated Agreement for Animal Sheltering and Animal Control Services (clean version)
FISCAL IMPACT:

Under the proposed Second Amended Agreement, the City would become obligated to the Society for $150 per after hours call-out requested by City staff on an as-needed basis. It is expected that these costs will be covered by the budget allocated by the City for payment of services provided under the agreement.

RECOMMENDED ACTION:

Staff recommends that the City Council approve the Second Amended and Restated Agreement with the Barstow Humane Society, which expands the City’s existing contract for animal sheltering and animal control services to include after hours call-out animal control services; and authorize the City Manager to execute the agreement.
