AGENDA MATTER:

RESOLUTION OF THE SUCCESSOR AGENCY TO THE FORMER REDEVELOPMENT AGENCY OF

THE CITY OF BARSTOW AUTHORIZING THE TRANSFER OF CERTAIN REAL PROPERTY ASSETS

FROM THE SUCCESSOR AGENCY TO THE FORMER REDEVELOPMENT AGENCY OF THE CITY

OF BARSTOW TO THE CITY OF BARSTOW ALONG WITH CERTAIN LEGAL OBLIGATIONS, AND

APPROVING CERTAIN RELATED ACTIONS
EXECUTIVE SUMMARY:

Approval of the attached Resolution will authorize the transfer to the City of the last three (3) Successor Agency-owned parcels. The parcels are located along the north side of Main Street between Wessel Court on the west and near Sundance Lane on the east that together consist of approximately 16.46 acres and are identified as APNs 0427-062-43-0000 (approximately 7.55 acres), 0427-062-44-0000 (approximately 3.65 acres) and 0427-062-45-0000 (approximately 5.26 acres). The transfer of the parcels to the City would be at no cost. Notwithstanding multiple previous efforts to sell the parcels, the Successor Agency was unable to identify a qualified buyer.

The City would also accept the legal obligations and responsibility to subsequently sell the parcels at market rate and submit the net land sale proceeds to the San Bernardino County Auditor-Controller (the “CAC”). The City’s responsibilities related to the future sale of the three (3) parcels do not have a deadline. The CAC will subsequently redistribute the net land sale proceeds to the taxing entities entitled to a share of the land sale proceeds, that will also include the City. The transfer of the parcels to the City is the last and final action the Successor Agency must take in order to fulfill its legal obligations to pay all of the debts and liquidate all of the assets, which will enable the Successor Agency to file for dissolution.

DISCUSSION:

Pursuant to the Health and Safety Code (the “HSC”) § 34172 (a) (1), the Redevelopment Agency of the City of Barstow was dissolved on February 1, 2012. Consistent with the provisions of the HSC, the City Council of the City of Barstow (the “City”) previously elected to serve in the capacity of the Successor Agency to the Former Redevelopment Agency of the City of Barstow (the “Successor Agency”). Pursuant to HSC § 34179, the Successor Agency previously established the “Barstow Oversight Board” to assist in the wind-down of the former redevelopment agency through June 30, 2018, at which time it was dissolved by operation of law. Consistent with HSC § 34179 (j), on July 1, 2018, the San Bernardino Countywide Oversight Board (the “CWOB”) was established to assist in winding-down the dissolved redevelopment agencies within the County of San Bernardino.

As a part of redevelopment dissolution process, successor agencies with real property assets are required to dispose of such real property pursuant to a Long-Range Property Management Plan (the “LRPMP”) approved by the California Department of Finance (the “DOF”) as a predicate to dissolution. At the time of dissolution, the former redevelopment agency held several real property assets that had been acquired for redevelopment purposes. On March 25, 2014, the Successor Agency submitted its Barstow Oversight Board-approved LRPMP to the DOF and subsequently submitted an amended LRPMP on Joint Special

AGENDA ITEM
September 26, 2014. Pursuant to its confirming letter dated January 20, 2015, the DOF approved the Successor Agency’s amended LRPMP and notified the Successor Agency that pursuant to HSC § 34191.3, the approved amended LRPMP shall govern, and supersede all other provisions relating to the disposition and use of all the real property assets of the former redevelopment agency (the “DOF Determination”).

The approved amended LRPMP, addressed the disposition and use of the real property assets held by the Successor Agency, that included 33 parcels of land, 25 of which were designated for “Government Use”, eight (8) of which were designated for “Sale”. The 25 parcels of land designated for Government Use were previously transferred to the City and five (5) of the parcels designated for Sale were previously sold and the net proceeds of sale were transferred to the CAC for distribution to the taxing entities entitled to a share of the land sale proceeds, including the City, in proportion to their percentage allocation of the General Tax Levy (also known as the 1% property tax levy) applicable to Barstow’s redevelopment project areas. The remaining three (3) adjacent unsold parcels, which are located along the north side of Main Street between Wessel Court on the west and near Sundance Lane on the east that together consist of approximately 16.46 acres and are identified as APNs 0427-062-43-0000 (approximately 7.55 acres), 0427-062-44-0000 (approximately 3.65 acres) and 0427-062-45-0000 (approximately 5.26 acres) (collectively, the “Unsold Parcels”). The Unsold Parcels are depicted on the County of San Bernardino Parcel Map that is appended to the attached Resolution as Exhibit “A”.

Although the Successor Agency has attempted to sell the Unsold Parcels in the past, inclusive of initiating a California Surplus Land Act process, per California Government Code § 54221 (b) (4) (the “SLA”), the Successor Agency has not yet been able to identify a qualified buyer. In its letter dated December 17, 2024, the California Department of Housing and Community Development (the “HCD”) determined that the Successor Agency met all of the requirements under the SLA enabling the Successor Agency to sell the Unsold Parcels in the future without any further SLA process.

The sale or transfer of the Unsold Parcels is the last and final action the Successor Agency must take in order to fulfill its legal obligations to pay all of the debts and liquidate all of the assets of the Former Redevelopment Agency of the City of Barstow to enable the Successor Agency to file for dissolution. The staff of the CWOB has reminded and encouraged the City and Successor Agency to take appropriate actions to cause the sale or transfer the Unsold Parcels consistent with the DOF Determination and to submit the proposed actions to the CWOB for its review and approval prior to transferring title.

As a precursor to the purpose of the Resolution, the DOF Determination authorized the Successor Agency to transfer title to the for Sale-designated parcel identified as APN 0427-371-48-000 (the “West Main Street and Avenue L Property”) to the City at no cost for later sale by the City to a developer at market value, conditioned upon the City transferring the net proceeds of sale to the CAC for distribution to the taxing entities entitled to a share of the land sale proceeds, which includes the City (the transfer and sale of the West Main Street and Avenue L Property was previously completed, including the transfer of the net proceeds of sale to the CAC). Consistent with the foregoing and the DOF Determination, which was used to successfully manage the sale of West Main Street and Avenue L Property, the Resolution will likewise authorize the transfer of title to the Unsold Parcels to the City at no cost for later sale to one or more qualified buyers at market value, conditioned upon the City’s compliance with the applicable provisions of the HSC governing the future transfer of the Unsold Parcels to third parties (the “City’s LRPMP Obligations”).

AGENDA ITEM
Pursuant to the DOF Determination, the transfer of the Unsold Parcels to the City subject to compliance with the City’s LRPMP Obligations, is not by itself subject to review by the CWOB or DOF; nevertheless, the CWOB has requested that the proposed actions to transfer the Unsold Parcels to the City be submitted for its review and approval (prior to the transfer of title), which once approved and consummated will confirm that the Successor Agency has met all of its legal obligations to pay all of the debts and liquidate or transfer all of the assets of the Former Redevelopment Agency of the City of Barstow and thus qualify for dissolution which does require the formal approval by the CWOB and DOF.

The City’s responsibilities related to the disposition of the Unsold Parcels do not have a deadline and may include, but are not limited to, acceptance of the transfer, broker selection, appraiser selection, marketing for sale, site maintenance, management and oversight of escrow services, review of title reports, resolving exceptions to title, resolving outstanding real property tax matters with the County, preparing, filing and recording appropriate documents related to the transfer of title or as may be reasonably required by the buyer or the title company, notary services, management and accounting of the net proceeds of sale, including the payment of net proceeds of sale to the CAC and other related matters that are prerequisites to the close of escrow, the actual costs for which are recoverable by the City at close of escrow.

Approval of the attached Resolution will authorize the transfer to the City of: i) the Unsold Parcels, at no cost via a quitclaim deed (inclusive of the City’s Certificate of Acceptance), the form of which is attached as Exhibit “B” to the Resolution; and ii) the requirements to fulfill the City’s LRPMP Obligations in connection with the Unsold Parcels. In addition, the Resolution has been reviewed with respect to applicability of the California Environmental Quality Act (the “CEQA”), the State CEQA Guidelines (California Code of Regulations, Title 14, § 15000 et seq., hereafter the “Guidelines”), and the City’s environmental guidelines. As a result, it has been determined that the Resolution does not constitute a “project” for purposes of CEQA, as that term is defined by Guidelines § 15378, because the Resolution is an organizational or administrative activity that will not result in a direct or indirect physical change in the environment, per § 15378 (b) (5) of the Guidelines.

FISCAL IMPACT:

The Successor Agency will not incur any costs in connection with the recommended action.

RECOMMENDED ACTION:

Staff recommends that the Successor Agency approve Resolution XXX-2026 of The Successor Agency to the Former Redevelopment Agency of the City of Barstow authorizing the transfer of certain real property assets from the Successor Agency to the Former Redevelopment Agency of the City of Barstow to the City of Barstow along with certain legal obligations, and approving certain related actions.
