Re: Settlement Communication (Priileeed & Inadmissible For Anv Purpose; Cal. Evid. Code § 1152 et seq.; Fed. R. Evid. 408)
Dear Karl:

As ou hnow, our Firm represents 1991 Jacquelyn S. Connolly Revocable I.iving Trust, which is the successor-in-interest to Anna E. Smith. ho was "Grantor" under a Grant Deed dated June 18, 1967 ("Grant Deed"), and an "Option Agreement and Use of Existing Driecay;' dated June 14, 1967, involvine the Ciry of Bellflower('`Grantee" or '`Ci[").

As we stated in our December 23, 2021 letter to the City, under the above referenced agreements. our client has a right to purchase the property owned by the City for $56.000 because the property is no longer being used only as a parking lot or for streets or highways for the general public. Instead, a concrete structure has been built on the lot. Our client is entided to exercise its option: has been read and willing to perform (induding paying such amount immediately) and has demanded that the City cause the sale of the property immediately.

The City does not deny. nor could it deny, that the structure has been built on the lot.

Yet, as of today's date, the City has not performed as required. Our Firm, on behalf of Grantor, has asked on multiple occasions to discuss these tnatters ith the Citys counsel, to no aail.

Instead, counsel stated on February 22, 2022, that the City was "open to considering a proposal from [Grantor] to acquire the propetty".

To be clear, and to the extent the City is refercing to the lot at issue, our client is not obligated to make any such "offer'. Instead, the Cit} has been, and is noc, required to transfer it to our client_ for$56,000.

Privileged/Settlement Communieation
Our client has waited long enough for the City to comply with its obligations, and while it has tried to acoid litigation until this point. it is prepared to file a complaint to enforce its rights. Flowever, in a last attempt to avoid a lawsuit, and seek a prompt informal resolution, our client is willing to offer to sell the building in front of the lot, which is located at 9818 Artesia, and allow the City to purchase all of our client's rights and interests in the lot (so that the City would own both the building and lot, witlout any option/repurchase right or interest in the lot), for a total of$I,500,000. Closing would occur within 60 days of a signed term sheet.

If the City is not interested in purchasing the building from our client, then we demand that the Ciry comply with its obligation to allow our client to repurchase the lot for $56.000.

We ask for the Ciry's written response to our clienCs offer by no later than March 29, 2022, so that we can evaluate next steps promptly. We also remain available for a phone call to discuss these matters. ]f we do not hear from the City by March 29, we will assume that to mean that the City is not interested in this compromise.

This letter constitutes an inadmissible settlement commmication which cannot be used for any purpose under CaL Evidence Code section 1 I2, Fed. R. Eid. 408, and any other applicable privilege or law.

Sincerely.

Re: 9731-9735 Rose St. Conditions of Approval Compliance

Dear Homeowners:

As some of you know, I am the Assistant City Attorney for Bellflower, and have been assigned the point person on behalf of the City regarding certain compliance issues with the properties located at 9731-9735 Rose St. This is a follow-up to the meeting at City Hall with Ms.

Diwa, Ms. Diwa’s realtor, Mr. McLarnon, Rowena Genilo-Concepcion from Planning, and me.

In that meeting we generally discussed certain outstanding Conditions of Approval (“COA’s”) that are required by the Planning Department as a condition of building the three houses at this location. These COA’s are mostly architectural elements of the original devleopment. Building Division and Public Works requirements have been satisfied.

We also discussed that records indicate the developer of the property, Mr. Samuel Wassif, did not obtain final approvals for 9731 Rose St. and 9735 Rose Street on these COA’s before selling those homes.

_________
February 28, 2022

Page 2 ends

While 9733 Rose St. did receive final approval without full compliance of COA’s in common areas, that appears to have been an inadvertent oversight. In any event, compliance with COA’s are a continuing obligation of property owners. Those original COA elements that are part of the common areas of the property remain the joint responsibility of all three homes.

Attached are two documents that highlight remaining elements of the COA’s for which compliance is required: (1) Resolution No. 13-66 containing the COA’s, and (2) the companion Climate-Ready Development Standards. On both documents you will find explanations written in blue that indicate where compliance is required with specific COA elements. Please note that Mr. Wassif was provided with these same documents earlier this month.

We fully understand that this comes unexpected and that you may have been under the impression that your properties were in full compliance at the time of sale. As I stated in our meeting, there is no legal requirement that properties have all approvals met before being sold and the City does not monitor all home sale transactions to ensure as much. Whether Mr. Wassif disclosed these circumstances at the time of sale, and how to respond, is for you to determine.

To help facilitate compliance, the City is willing to waive any required City permit fees associated with bringing the COA’s into compliance for a period of one year. Please note that this applies only to work covered under the original permits that expired, and there may still be some costs involved should substantial staff time be required for things like plan review or inspections. This also does not cover any permits for work beyond that required for the COA’s.

The City very much appreciates your understanding and cooperation. Please contact Rowena Genilo-Concepcion at [email protected] with any questions regarding compliance with COA’s per the attached documents. You can reach out to me at 818-333-5120 or [email protected] regarding any other questions you may have on this matter.

Sincerely,

Timothy E. Campen

SUBJECT: Consideration and possible action to read by title only, waive further reading and introduce Ordinance No. 1412 – An Ordinance amending the Bellflower Municipal Code (“BMC”) by amending Section 10.10.020 titled “Definitions;” and amending
Section 10.10.160 titled “Designation of Specified Areas.”

DATE: March 28, 2022

EXECUTIVE SUMMARY

In October 2018, the City Council adopted an ordinance amending the City’s process and standards with regard to the creation of Preferential Parking Districts. On February 15, 2022, the Public Safety Commission recommended to the City Council that the 16700 block of Orchard Avenue be designated a Preferential Permit Parking Zone. The request was made due to parking conditions on the block. However, because of a specific restriction in Bellflower Municipal Code (“BMC”) Section 10.10.020 requiring that Preferential Permits may not be granted on blocks less than 750 feet in length (the proposed parking district is significantly less than 750 feet), the City Council chose not to consider the item. The City Council directed staff to recommend amendments to the BMC to allow consideration of the request. If approved, Ordinance No. 1412 would amend certain sections within Chapter 10.10 of the BMC entitled “Parking Permits.”

RECOMMENDATION TO CITY COUNCIL

1) Read by title only, waive further reading, and introduce Ordinance No. 1412; or

2) Alternatively, discuss and take other action related to this item.

FISCAL IMPACT

None.

DISCUSSION

The purpose of Ordinance No. 1412 is to amend certain sections within Chapter 10.10 of the BMC entitled “Parking Permits.” The proposed BMC amendments in this Ordinance would, in the absence of an intersective street or highway, allow the City Council to bypass the 750 foot standard for determining the length of a parking block, which ordinarily cannot be less than 750 feet.

DISCUSSION – Continued

Specifically, the Ordinance would amend the “Parking Block” definition in § 10.10.020 to remove the following sentence: “In the absence of an intersective street or highway, the City Council can determine the length of a parking block, which cannot be less than 750 feet.” The Ordinance would also amend § 10.10.160 entitled “Designation of Specified Areas,” Subsection “B” to read:

“A specified area must consist of at least one parking block. In the absence of an intersective street or highway, the City Council can determine the length of a parking block, which ordinarily cannot be less than 750 feet. The City Council may, but is not required to, approve a parking block smaller than 750 feet if it can find, based upon substantive evidence provided by residents or the Director of Public Safety, that (1) a smaller parking block is desirable to protect public hea lth and safety; and (2) that a smaller parking block will not unfairly interfere with on street parking serving other nearby properties.”

CITY OF BELLFLOWER

ORDINANCE NO. 1412

AN ORDINANCE AMENDING THE BELLFLOWER MUNICIPAL
CODE (“BMC”) BY AMENDING SECTION 10.10.020 TITLED
“DEFINITIONS”; AND AMENDING SECTION 10.10.160 TITLED
“DESIGNATION OF SPECIFIED AREAS”

THE CITY COUNCIL DOES ORDAIN AS FOLLOWS:

SECTION 1. Bellflower Municipal Code (“BMC”) § 10.10.020 is amended as follows:

“10.10.020 Definitions.

* * *

Parking Block

“Parking block” means for purposes of preferential parking district formation only, all residential property abutting or having frontage along one side of the right-of-way of a public street or highway between a street or highway and a railroad right-of-way, terminus or dead-end street or highway, or City boundary. An intersecting street or highway only determines the boundary of the parking block on the side of the street or highway that it intersects.

* * *”

SECTION 2. BMC § 10.10.160 is amended as follows:

“10.10.160 Designation Process.

A. A specified area may be requested through a petition signed by residents living in at least 66% of the dwelling units of the proposed specified area and the Director of Public Safety verifies that the petition contains signatures from a sufficient number of qualified persons.

Alternatively, a specified area may be requested by order of the City Council without a petition. Once the request has been made by the resident petition process or by order of the City Council, the Director of Public Safety must undertake such surveys or studies as are deemed necessary to determine whether the area should be designated a specified area and must report his/her findings to the City Council.

B. A specified area must consist of at least one parking block. In the absence of an intersective street or highway, the City Council can determine the length of a parking block, which ordinarily cannot be less than 750 feet.

The City Council may, but is not required to, approve a parking block smaller than 750 feet if it can find, based upon substantive evidence provided by

residents or the Director of Public Safety, that (1) a smaller parking block is desirable to protect public health and safety; and (2) that a smaller parking block will not unfairly interfere with onstreet parking serving other nearby properties.

C. Before residents may present a petition, they must notify all affected residents and provide the Director of Public Safety with sufficient evidence to demonstrate that all affected residents have been notified.”

SECTION 3. Environmental Review. This Ordinance is exempt from further environmental review under the California Environmental Quality Act (California Public Resources Code §§ 21000, et seq., “CEQA”) and CEQA Guidelines (14 California Code of Regulations §§ 15000, et seq.) because it establishes rul es and procedures for operation of existing facilities and minor alterations in land use. The Ordinance, therefore, is categorically exempt from further CEQA review under CEQA Guidelines §§ 15301 and 15304. Further, the Ordinance is also exempt from additional CEQA review pursuant to CEQA Guidelines § 15061(b)(3) because the Ordinance is for general policies and procedure-making. This Ordinance does not authorize any new development entitlements, but simply establishes policies and procedures for allowing f uture construction projects to be considered. Any future project is subject to CEQA review as part of the entitlement review of that project.

SECTION 4. Construction. This Ordinance must be broadly construed in order to achieve the purposes stated in this Ordinance. It is the City Council’s intent that the provisions of this Ordinance be interpreted or implemented by the City and others in a manner that facilitates the purposes set forth in this Ordinance.

SECTION 5. Enforceability. Repeal of any provision of the BMC does not affect any penalty, forfeiture, or liability incurred before, or preclude prosecution and imposition of penalties for any violation occurring before this Ordinance’s effective date. Any such repealed part will remain in full force and effect for sustaining action or prosecuting violations occurring before the effective date of this Ordinance.

SECTION 6. Validity of Previous Code Sections. If this entire Ordinance or its application is deemed invalid by a co urt of competent jurisdiction, any repeal or amendment of the BMC or other ordinance by this Ordinance will be rendered void and cause such previous BMC provision or other the city ordinance to remain in full force and effect for all purposes.

SECTION 7. Reliance on Record. Each and every one of the findings and determinations in this Ordinance are based on the competent and substantial evidence, both oral and written, contained in the entire record relating to the project. The findings and determinations constitute the independent findings and determinations of the City Council in all respects and are fully and completely supported by substantial evidence in the record as a whole.

SECTION 8. Limitations. The City Council’s analysis and evaluation of the project is based on the best information currently available. It is inevitable that in evaluating a project that absolute and perfect knowledge of all possible aspects of the project will not exist. One of the major limitations on analysis of the project is the City Council’s lack of knowledge of future events. In all instances, best efforts have been made to form accurate assumptions. Somewhat related to this are limitations on the City’s ability to solve what are in effect regional, state, and National problems and issues. The City must work within the political framework within which it exists and with the limitations inherent in that framework.

SECTION 9. Severability. If any part of this Ordinance or its application is deemed invalid by a court of competent jurisdiction, the City Council intends that such invalidity will not affect the effectiveness of the remaining provisions or applications and, to this end, the provisions of this Ordinance are severable.

SECTION 10. Electronic Signatures. Ordinance may be executed with electronic signatures in accordance with Government Code § 16.5. Such electronic signatures will be treated in all respects as having the same effect as an original signature.

SECTION 11. The City Clerk, or her duly appointed deputy, is directed to certify the passage and adoption of this Ordinance; cause it to be entered into the City of Bellflower’s book of original ordinances; make a note of the passage and adoption in the records of this meeting; and, within fifteen (15) days after the passage and adoption of this Ordinance, cause it to be published or posted in accordance with California law.

SECTION 12. Effective Date. This Ordinance will take effect on the 30th day following its final passage and adoption.

SUBJECT: Consideration and possible action to select two Members of the City Council to serve on an Ad Hoc Subcommittee authorized to meet with City staff to discuss various matters related to Downtown Bellflower parking and circulation.

DATE: March 28, 2022

EXECUTIVE SUMMARY

Staff is requesting the formation of an Ad Hoc Downtown Parking Subcommittee comprised of two members of the City Council to meet and provide feedback and recommendations to the full Council regarding various parking and circulation matters associated with Downtown Bellflower (“Downtown”). The Ad Hoc Subcommittee would meet on an as-needed basis to discuss parking studies and analyses, parking enforcement, parklets, pedestrian and vehicle circulation, and other matters related to Downtown parking.

RECOMMENDATION TO CITY COUNCIL

1) Select two members of the City Council to serve on the Ad Hoc Subcommittee; or

2) Alternatively, discuss and take other action related to this item.

FISCAL IMPACT

None.

BACKGROUND

In Spring 2020, staff presented City Council an analysis of public parking in the north Downtown area, which includes the area between Flower Street to the south, the West Santa Ana Branch Rail Road Right of Way to the north, the Civic Center Complex to the east, and the public parking lots behind Bellflower Boulevard to the west (see attached Exhibit “A”). The analysis concluded that there is sufficient parking inventory in the north Downtown area during the peak demand times of Thursday – Sunday evenings.

City Council requested a follow up study be done approximately 18 months later to determine if the same surplus of parking exists in anticipation of the development project being completed and as activity returns to normal after the Pandemic.

2 Downtown Bellflower Parking Analysis
March 2020

Executive Summary

The increased popularity of Downtown Bellflower has resulted in an increased demand for parking. This is especially true in the northern part of downtown generally located along Bellflower Boulevard from the Pacific Electric Right-of-Way south to Flower Street. A number of new development projects in this area are expected to further increase the demand for parking.

SteelCraft Bellflower (opened in June 2019); the StandUp Comedy Club (opening in Spring 2020); the Brew Refinery, proposed microbrewery, restaurant, and lounge (projected to open in Summer 2021); and the Serrano Mixed-Use Transit Oriented Development project, proposed apartments, commercial retail, and a 4-screen art house movie theater (projected to open in 2022) will incrementally increase parking demand on the limited supply/capacity of parking in Downtown Bellflower.

This analysis, using the recent parking demand study for the Brew Refinery project, combined with the addition of curbside parking spaces and the new parking structure, and conservative assumptions regarding the parking demands of the new development projects in the pipeline, shows that the inventory of Downtown Bellflower parking spaces is more than sufficient to accommodate the increased demand generated by these development projects.

Introduction

Thanks to a number of factors including advanced planning, City involvement, a robust economy and good timing, Downtown Bellflower has seen extraordinary development and improvement since the completion of Belmont Court in 2014. However, with the new interest and investment in the downtown also comes an increased parking demand from new residents, patrons, and employees all of whom have a desire to park as close to their ultimate destination s as possible.

The goal of this analysis is to determine if Downtown Bellflower is nearing its capacity for parking.

For the purposes of this analysis, demand is defined as the “need” for parking spaces by the existing land uses as shown through the K2 Traffic Engineering Parking Study and the assumption made for the new developments. Capacity is defined as the total number of available, “longer - term” parking spaces in the Downtown Study Area North .

With the buildout of various approved and proposed projects incomplete, the results of this analysis will be based on conservative projections and assumptions. Additionally, Downtown - Page 4 of 36 -

3 Bellflower, which is typically thought of as Bellflower Boulevard from the Pacific Electric Railroad Right-of-Way (“ROW”) south to the 91 Freeway, is divided into northerly and southerly sections at Flower Street because of the difference in property characteristics of the two areas (Exhibit “A”). The portion of Bellflower Boulevard south of Flower Street to Walnut Street is a bit of a transitional area in that some properties have their own parking lots, while a significant amount of public parking is provided by on-street/curbside spaces and the public parking lot on Walnut Street and the privately owned, paid parking lot on Bellflower Boulevard between Maple Street and Walnut Street. This analysis will focus on the northern portion of the downtown between Flower Street and the ROW.

This analysis does not include the impact of rideshare services or shared trips/internal capture among two or more uses, all of which would reduce the demand for parking during peak times, and which are often associated with the new types of projects being planned and developed in Downtown Bellflower.

Walkability

Walkability is a key component of a thriving downtown. From new Transit Oriented Development (TOD) guidelines to new Accessory Dwelling Unit (ADU) guidelines, best practices and new legislation often sites ½ mile as a reasonable walking distance. This is evidenced in the City of Bellflower’s recent Transit Oriented Development Specific Plan, in which the specific plan study area is an area within a ½ mile radius of the proposed Downtown Bellflower Light Rail Station on Bellflower Boulevard.

The northern portion of the downtown, in which one major project (SteelCraft Bellflower) has been completed, and three more are on the way, is a walkable downtown area, recently enhanced by a major pedestrian streetscape program completed in 2016. Bellflower Boulevard from the ROW to Flower Street is approximately ¼ mile, as is the distance from the future comedy club to the County Parking Structure behind City Hall. Various studies have identified pedestrian walking speeds that range from 2.0 to 4.3 feet per second (the City Engineer uses 3.5 ft per second for traffic signal crosswalk timing). At those speeds, a person can walk a ¼ mile in 5 to 11 minutes, suggesting that barring time at traffic signals and crosswalks, the average person could walk from any of the public lots north of Flower Street to any of the merchants or attractions north of Flower Street in approximately 10 minutes. This also suggests a level of walkability in Downtown Bellflower that is higher than the industry standard. W alking distances from parking lots in the downtown to various attractions is shown on Exhibit B.

4 Baseline Data

Although developments are not permitted to include on -street/curbside parking spaces towards their parking requirements, curbside spaces are included in this analysis to provide a complete and accurate inventory of available public parking spaces in Downtown Bellflower . The baseline data for this analysis comes from the December 2019 Revised Parking Study (“Parking Study”) for the Brew Refinery and Restaurant project entitlement submittal at 16710 Bellflower Boulevard and Economic Development Department staff field surveys of curbside parking spaces. The Parking Study inventoried the Public Parking available in the Downtown from Flower Street, north to the ROW and did not include the Regional Transit Center Parking Structure at the northwest corner of Mayne Street and Bellflower Boulevard, because it was not open at the time of the study.

Downtown North Study Area

The Parking Study identified 12 public parking lots (Exhibit “C” lots labeled A - L) including the Library Garden Park parking lot on the south side of Flower Street and the Los Angeles County parking structure and Public Library parking lot, which are regulated by weekday time restrictions to accommodate parking for the County facilities (815 spaces). These 815 parking spaces do not include assigned Sheriff parking in Lot “B” and L.A. County employee parking in Lot “K” (County Parking Structure). The staff field survey of the number of curbside parking spaces totaled 185.

Including the new Parking Structure (278 spaces available in Spring 2020), the total number of parking spaces in the Downtown North Study Area is 1,27 8 (1,093 spaces in parking lots and 185 curbside spaces).

Adjusted Baseline Data

Now that an inventory of all the public parking spaces has been completed, the numbers will be adjusted to account for conditional parking space such as loading zones, or day and time limited parking. Some of these conditional spaces can be adjusted as needed as the Downtown evolves, however, for employee parking, the City Hall, County Library, and County Parking Structure parking lots are restricted to public use during typical weekday, da ytime working hours, and available after 5 pm and on weekends and holidays as described below. Long term parking in the non-restricted public parking lots is discouraged with a time limit of 72 hours and no parking for street sweeping on Wednesday morning from 12 am to 6 am.

5 20 Minute Parking and Loading Spaces (North Study Area)

There are 27 20- and/or 30-minute parking spaces (green painted curbs or tire-stops) scattered throughout the Downtown, with concentrations of these located in front of the post office and at SteelCraft. These spaces are typically adjacent to businesses with a need for pick-up, drop-off or deliveries, and close to the business entrances. Although these spaces take up room for longer term parking, they are typically curbside spaces and encourage those interested in longer term parking to seek parking in the main lots.

In the Downtown North Study Area, there are 7 loading spaces (white painted curbs). Six of those are located in front of White’s Funeral Home on Flower Street and the other is located on Oak Street, adjacent to SteelCraft Bellflower.

For the Downtown North Study Area, a total of 3 4 curbside parking spaces are restricted short- term parking spaces (20- or 30-minute parking or loading).

Day and Time Limited Parking

The Civic Center parking lots, which include Lots H, J, K, and L are Day and Time Limited lots (Exhibit “B”). Lot H, containing 28 parking spaces is used for City Hall employee parking during the work week and is available for public parking on th e weekends. Lot J, containing 36 parking spaces, is the primary parking lot for the County Library and is limited to 2-hour parking, Monday through Friday from 7 am to 4 pm. Lot K, a 3-story parking structure containing 279 parking spaces, is used for the County courthouse and health facility. The City has an agreement with the County of Los Angeles to allow for public parking in the structure in the evenings and on weekends. Lot L, containing 16 parking spaces adjacent to the Library Garden Park, is limite d to 1-hour parking from 7 am to 5 pm, Monday through Saturday. Since the peak parking demand times for the new developments do not conflict with the civic center parking lots mentioned above, those spaces will be counted as available spaces in this analys is.

Three Downtown North Study Area lots are time restricted, Lots D, E, and G. These lots limit parking to 2 hours between 7 am and 6 pm and contain a total of 131 parking spaces. These lots will also be counted as available spaces in this analysis as the time restrictions do not conflict with the peak times of the new developments.

Summary

Since the focus of this analysis is regarding longer term parking for patrons of Downtown Bellflower, the 34 time-restricted curbside and loading spaces are not included in the inventory - Page 7 of 36 -

6 of available parking spaces. Removing these spaces from the North Study Area reduces the total amount of longer-term parking spaces from 1,278 to 1,244.

Demand and Capacity Analysis

Using the inventory in the parking analysis prepared by K2 Traffic Engineering, Inc., staff added the 151 longer-term curbside parking spaces and 278 parking spaces in the Regional Transit Center Parking Structure to the 815 total available parking spaces identified in the Parking Study.

This gives the Downtown Study Area North a capacity of 1,244 parking spaces (Table 1).

K2 Study Parking Spaces (Lots A – L) 815
Total Curbside Parking Spaces 185
Regional Transit Center Parking Spaces (Lot M) 278
Time-limited Curbside Parking Spaces -34
Total Longer-term Parking Spaces 1,244
Table 1

It can be assumed that the longer-term curbside spaces, typically considered prime parking spaces, were full during the peak times identified by the Parking Study even though they weren’t observed. As such, the peak demand numbers identified by the Parking Study were increased by 151 parking spaces, the same number of available longer-term curbside parking spaces in the Downtown North area.

Using the above described baseline data for the projected supply and peak demand, additional peak demand was added for each of the new development projects proposed to open over the next 3 years (The Brew Refinery, The StandUp Club, and the Serrano Mixed -Use project).

Pursuant to the code and outlined in their respective entitlements, the Brew Refinery and the StandUp Club each are required to have 41 parking spaces, while the theater and commercial uses for the Serrano Mixed-Use project are required to have 97 parking spaces. All of these projects typically have peak parking times from Thursday through Saturday evening and are assigning their required parking to the public parking lots through Parking License Agreements with the City.

Further, to address potential concerns that the per code parking requirements may not accurately represent the actual parking demand of these uses, staff increased the demand for each use as shown in Table 2. The number of employees was estimated for each project and an additional parking space per employee was added to the total demand for each project. For the StandUp Club and the Serrano project, both having components of public assembly uses (a comedy club and multi-screen art house theater), one parking space for every two seats was added to the respective projects parking demand.

Conclusion

After the addition of both the increased parking capacity provided by the longer-term curbside parking spaces (151 spaces) and the Regional Transit Center Parking Structure (278 spaces) and accounting for the increased peak parking demand of three major development projects in the pipeline, 235 parking spaces will still be available throughout the Downtown North Study Area during peak demand (Exhibit D).

Based on people’s desire to park as close to their final destination as possible, it can be assumed that once these projects are completed, and even now, the bulk of the future available parking spaces during the evening and weekend peak demand time will be located in the County parking structure behind City Hall. As these projects come online and parking demand increases, it will be prudent for the new business operators and the City to adequately promote the various parking lot locations throughout the Downtown, especially the County parking structure.

Should peak parking demand outpace the projections, the City could employ various parking management strategies ranging from a return to public valet parking (valet parking can increase parking lot capacity through the stacking of vehicles), metered parking, late night paid parking, etc., to address parking deficiencies during peak parking demand times.

THE LOS ANGELES COUNTY POOLED SURPLUS INVESTMENTS
The Treasurer and Tax Collector (the Treasurer) of Los Angeles County has the delegated authority to invest funds on deposit in the County Treasury (Treasury Pool).

As of January 31, 2022, investments in the Treasury Pool were held for local agencies including school districts, community college districts, special districts and discretionary depositors such as cities and independent districts in the following amounts:

Invested Funds
Local Agency (in billions)
County of Los Angeles and Special Districts $18.589
Schools and Community Colleges 20.448
Discretionary Participants 4.408
Total $43.445
The Treasury Pool participation composition is as follows:

Non-discretionary Participants 89.85%
Discretionary Participants:

Independent Public Agencies 9.53%
County Bond Proceeds and Repayment Funds 0.62%
Total 100.00%
Decisions on the investment of funds in the Treasury Pool are made by the County Investment Officer in accordance with established policy, with certain transactions requiring the Treasurer's prior approval. In Los Angeles County, investment decisions are governed by Chapter 4 (commencing with Section 53600) of Part 1 of Division 2 of Title 5 of the California Government Code, which governs legal investments by local agencies in the State of California, and by a more restrictive Investment Policy developed by the Treasurer and adopted by the Los Angeles County Board of Supervisors on an annual basis. The Investment Policy adopted on March 9, 2021, reaffirmed the following criteria and order of priority for selecting investments:

1.Safety of Principal

2.Liquidity

3.Return on Investment
The Treasurer prepares a monthly Report of Investments (the Investment Report) summarizing the status of the Treasury Pool, including the current market value of all investments. This report is submitted monthly to the Board of Supervisors. According to -11-

the Investment Report dated February 28, 2022, the January 31, 2022 book value of the Treasury Pool was approximately $43.445 billion, and the corresponding market value was approximately $42.804 billion.

An internal controls system for monitoring cash accounting and investment practices is in place. The Treasurer's Compliance Auditor, who operates independently from the Investment Officer, reconciles cash and investments to fund balances daily. The Compliance Auditor’s staff also reviews each investment trade for accuracy and compliance with the Board adopted Investment Policy. On a quarterly basis, the County’s outside independent auditor (External Auditor) reviews the cash and investment reconciliations for completeness and accuracy. Additionally, the External Auditor reviews investment transactions on a quarterly basis for conformance with the approved Investment Policy and annually accounts for all investments.

The following table identifies the types of securities held by the Treasury Pool as of January 31, 2022:

Type of Investment % of Pool
Certificates of Deposit 4.60
U.S. Government and Agency Obligations 69.75
Bank Acceptances 0.00

Municipal Obligations 0.07
Corporate Notes & Deposit Notes 0.19
Repurchase Agreements 0.00

TO: Honorable Mayor and Members of the City Council

ATTENTION: Jeffrey L. Stewart, City Manager

FROM: Jim Dellalonga, Director of Economic Development

SUBJECT: Consideration and possible action to authorize the City Manager to execute Agreement File No. 930, in a form approved by the City Attorney, with Harbor Area Farmers Markets to manage and operate the Certified Farmers Market at Town Center Plaza.

DATE: March 28, 2022

EXECUTIVE SUMMARY

This action would authorize the City Manager to execute Agreement File No. 930, a two-year agreement with Harbor Area Farmers Markets (HAFM) to manage and operate the Bellflower Certified Farmers Market (Farmers Market) at Town Center Plaza, located at 16521 Adenmoor Avenue. The Farmers Market will continue to open on Monday mornings.

RECOMMENDATION TO CITY COUNCIL

1) Authorize the City Manager to execute Agreement No. 930, in a form approved by the City Attorney; or

2) Alternatively, discuss and take other action related to this item.

FISCAL IMPACT

The City currently receives 6% of gross sales from approximately 10 active Farmers Market vendors operating out of Simms Park (approximately $7,000 per year, net of required County permit fees and other costs). Under the proposed agreement, the City will receive 1% of gross sales and the Farmers Market will relocate to the Downtown at a much larger scale, starting with approximately 40 vendors with a much greater selection of items for sale. As a result, the City’s current revenue should be closely matched. This proposal will also save Parks and Recreation’s staff time, approximately 8-10 hours per week of a full-time employee and approximately 8 hours per week of a part-time employee, allowing these individuals to redirect those hours to other priority Parks and Recreation programs/activities.

DISCUSSION
City Parks and Recreation Department staff manages and operates the City’s weekly Farmers Market. It is held on Mondays from 9:00 a.m. to 1:00 p.m. at Simms Park.

City staff assigned to the Market typically devote their entire workday to running the Farmers Market every Monday.

Over the last few years, the Parks and Recreation Department released a number of Requests for Proposals (RFP) for the management and operation of the Farmers Market and its relocation to Town Center Plaza, most recently just before the pandemic in 2019. At that time, staff received one responsive proposal, but the operator was unwilling to accept certain required language in the City agreement. In early 2022, with the pandemic impacts and restrictions easing, staff released another RFP for the management and operation of the Farmers Market and its relocation to Town Center Plaza. One proposal was received from HAFM by the deadline.

HAFM is a non-profit organization founded in 1980 to address food insecurity in Long Beach. HAFM currently manages six weekly markets in surrounding cities. They participate in the Cal Fresh food assistance program, WIC, and Market Match.

To expand the Farmers Market, HAFM will partner with Uptown Village Market, to include handmade/artisan craft vendors. Uptown Village Market started in Long Beach in 2010 with 54 vendors and now has 150 vendors. It also has a database of local vendors.

AFN 930 is for HAFM to manage and operate the Farmers Market with a handmade/artisan craft market at Town Center Plaza. It is a two-year contract with the option to extend annually. The City will receive 1% of the Farmers Market gross sales.

The Farmers Market will continue to operate on Mondays from 9:00 a.m. to 1:00 p.m., but may change based on a survey and market information provided by HAFM, and is subject to final approval by the City.

HAFM will begin planning the transition and promoting the Farmers Market relocation to the community, with management and operation estimated to begin in June 2022. The City will partner with HAFM to help notify the community and promote the relocation and establishment of the Farmers Market at Town Center Plaza.

LICENSEE is not an agent or employee of CITY and is not entitled to participate - Page 4 of 13 -

in any pension plan, insurance, bonus or similar benefits CITY provides for its employees. Any provision in this Agreement that may appear to give CITY the right to direct LICENSEE as to the details of doing the work or to exercise a measure of control over the work means that LICENSEE will follow the direction of the CITY as to end results of the work only.

11. AUDIT OF RECORDS. LICENSEE will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. LICENSEE will retain such financial and program service records for at least three (3) years after termination under this Agreement.

12. INDEMNIFICATION.

A. LICENSEE will hold CITY harmless and free from any and all liability arising out of this Agreement, or its performance, except for such loss or damage arising from CITY’s sole negligence or willful misconduct. Should CITY be named in any suit, or should any claim be against it, by suit or otherwise, whether the same be groundless or not, arising out of this Agreement, or its performance, pursuant to this Agreement, LICENSEE will defend CITY (at CITY’s request and with counsel satisfactory to CITY) and will indemnify it for any judgment rendered against it or any sums paid out in settlement or otherwise.

B. For purposes of this section “CITY” includes CITY’s officers, officials, employees, agents, representatives, and certified volunteers.

C. LICENSEE expressly agrees that this release, waiver, and indemnity agreement is intended to be as broad and inclusive as is permitted by the law of the State of California and that if any portion is held invalid, it is agreed that the balance will, notwithstanding, continue in full legal force and effect.

D. It is expressly understood and agreed that the foregoing provisions will survive termination of this Agreement.

E. The requirements as to the types and limits of insurance coverage to be maintained by LICENSEE as required by Insurance Section, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by LICENSEE pursuant to this Agreement, including but not limited to the provisions concerning indemnification.

13. INSURANCE.

A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, LICENSEE will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below:

Type of Insurance Limits (combined single)
Commercial general liability: $2,000,000
Professional liability: $1,000,000
Business automobile liability: $1,000,000
Workers’ compensation: Statutory requirement

B. Commercial general liability insurance will meet or exceed the requirements of the most current ISO-CGL Form. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name CITY, its officials, and employees as “additional insureds” under said insurance coverage and to state that such insurance will be deemed “primary” such that any other insurance that may be carried by CITY will be excess thereto. Such insurance will be on an “occurrence,” not a “claims made,” basis and will not be cancelable except upon thirty (30) days prior written notice to CITY.

C. Professional liability coverage must be on an “occurrence basis” if such coverage is available, or on a “claims made” basis if not available. When coverage is provided on a “claims made basis,” the Consultant must continue to maintain the insurance in effect for a period of three (3) years after this Agreement expires or is terminated (“extended insurance”). Such extended insurance must have the same coverage and limits as the policy that was in effect during the term of this Agreement, and cover the Consultant for all claims made by the City arising out of any errors or omissions of the Consultant, or its officers, employees or agents during the time this Agreement was in effect.

D. Automobile coverage must be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto).

E. LICENSEE will furnish to CITY duly authenticated Certificates of Insurance and Endorsements evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of “A:VII.”

LICENSEE will, at its sole cost and expense, comply with all of the requirements of all federal, state, and local authorities now in force, or which may hereafter be in force, pertaining to the Property and will faithfully observe in the use of the Property all applicable laws. The judgment of any court of competent jurisdiction, or the admission of LICENSEE in any action or proceeding against LICENSEE, whether CITY be a party thereto or not, that LICENSEE has violated any such ordinance or statute in the use of the Property will be conclusive of that fact as between CITY and LICENSEE.

15. BREACH OF AGREEMENT. The violation of any of the provisions of this License will constitute a breach of this License by LICENSEE, and in such event said License will automatically cease and terminate.

16. WAIVER OF BREACH. Any express or implied waiver of a breach of any term of this License will not constitute a waiver of any further breach of the same or other term of this License.

17. ENTRY BY CITY AND PUBLIC. This License does not convey any property interest to LICENSEE. Except for areas restricted because of safety concerns, CITY and the general public will have unrestricted access upon the Property for all lawful acts.

18. INSOLVENCY; RECEIVER. Either the appointment of a receiver to take possession of all or substantially all of the assets of LICENSEE, or a general assignment by the LICENSEE for the benefit of creditors, or any action taken or offered by LICENSEE under any insolvency or bankruptcy action, will constitute a breach of this License by LICENSEE, and in such event said License will automatically cease and terminate.

13 Consideration Items

A Consideration and possible action to adopt Resolution No. 22 -13 – A Resolution ratifying certain actions completed by the City Manager; extending the existence of a local emergency; and authorizing a return to in person City Council Meetings.

CEQA: The Resolution itself and the actions anticipated by the Resolution were reviewed pursuant to the California Environmental Quality Act (Public Resources Code §§ 21000, et seq., “CEQA”) and the regulations promulgated thereunder (14 Cal. Code of Regulations §§15000, et seq., the “CEQA Guidelines”). Based upon that review, this action is exempt from further review pursuant to CEQA Guidelines § 15269(a) because the protection of public and private property is necessary to maintain service essential to the public, health and welfare.1

City Manager Stewart 1) provided a brief verbal presentation of the Staff Report; and 2) along with City Attorney Berger and City Clerk Ochiqui, responded to Council Members’ questions.

Mayor Pro Tem Santa Ines stated that he would like to have the opportunity for the City Council and key personnel to be able to utilize the hybrid meeting option in the event that one of the aforementioned were to fall ill.

1 CEQA findings regarding an anticipated imminent emergency are valid (see CalBeach Advocates v. City of Solana Beach (2002) 103 Cal.App.4th 529).

13 Consideration Items – Continued

A Consideration and possible action to adopt Resolution No. 22-13 – Continued

In response to Mayor Pro Tem Santa Ines, City Attorney Berger 1) clarified that a teleconference option has always been available to the City Council even prior to the pandemic, but after March 31, 2022, normal teleconferencing requirements under the Brown Act would apply, including that Council Members attending remotely would need to post the agenda at their remote location and allow public access for public comment purposes; and 2) noted that he believed City Manager Stewart was referring to continuing public access and participation in the meeting via Zoom, which the Brown Act does not regulate .

For clarification, 1) Mayor Pro Tem Santa Ines reiterated that he was only speaking about the City Council and key staff who are required to attend the meeting; and 2) Mayor Dunton added that Mayor Pro Tem Santa Ines’ proposed option would work if there was a need for City Council or key staff to quarantine as well.

Following discussion, it was the consensus of the City Council to continue to use teleconferencing on an as-needed basis only, in the event a Council Member, City Manager, City Attorney, or City Clerk become ill and/or need to quarantine.

Following discussion, it was moved by Council Member Koops, seconded by Mayor Pro Tem Santa Ines, and unanimously carried by the following roll call vote, to adopt Resolution No. 22-13:

b) issues related to street racing and public safety concerns with “take overs”, asking that they pass legislation to help cities with this issue and noting that sadly there was a street racing incident on Downey Avenue and Artesia Boulevard when they were at the tour that further proved what they were advocating for; and c) continued concerns regarding lack of Cal-Trans maintenance.

Christopher Lefevers, Resident, 1) as a representative for his block that was requesting the parking district, expressed concern that Item 14-C (Resolution No. 22-10) was withdrawn from the agenda and requested clarification as to why the item was withdrawn, since the residents had obtained 100 percent of the signatures required; and 2) requeste d notification with regard to the review and approval process.

At the request of Mayor Dunton and in response to Christopher Lefever’s comments, City Manager Stewart 1) explained that the approval from the Public Safety Commission with regard to Item 14-C (Resolution No. 22-10) is still valid; however, the delay is due to an unanticipated conflict in the Bellflower Municipal Code (BMC) discovered after the Public Safety Commission’s approval, since it specifically states that the block cannot be shorte r than 750 feet, which this block is, and so the parking district cannot be approved if it is in violation of the BMC and will require further review and potentially a correction to the BMC; and 2) requested that Mr. Lefevers call his office tomorrow to establish a form of contact in order to keep him and the residents updated on the public process with regards to the item.

In response to Christopher Lefever’s comments, Mayor Pro Tem Santa Ines assured him that the delay was not due to any error on the part of the residents of that block and clarified that the residents were not notified of the item on the City Council agenda because their testimony was not required like it had been when it was presented to the Public Safety Commission.

With regard to Item 14-E (Destruction of Obsolete Records), Mayor Pro Tem Santa Ines 1) mentioned that he had discussed the item with City Clerk Ochiqui prior to the meeting and expressed appreciation to the City Clerk’s Office, staff, and director for working on the records destruction; and 2) noted that the Record Retention Schedules were last reviewed under the former City Clerk and City Attorney and encouraged City Clerk Ochiqui and City Attorney Berger to reevaluate the current retention policy.

In response to Mayor Pro Tem Santa Ines’ comments, City Clerk Ochiqui thanked him for his comments and confirmed that the Record Retention Schedules would be updated in the near future.

Noting the removal of Item 14-C (Resolution No. 22-10), it was moved by Council Member Koops, seconded by Council Member Sanchez, and carried without objection, to approve the balance of actions stipulated on the Consent Calendar:
