DISCUSSION

On July 11, 2022, the City Council adopted Resolution No. 22-34 which set forth policies and procedures for the Economic Development Business Assistance Plan (the Plan). The Plan provides financial assistance and loans to business, restaurant and/or property owners to provide working/start-up capital and make various improvements that will help attract and retain businesses. Specifically, Chapter 5 of the Plan offers a Small Business Microloan from $5,000 to $30,000 for working/start-up capital, equipment/machinery purchases, inventory purchases and direct business expenses for small business located within the city. Disbursement of the loan amount is contingent upon the Applicant completing the application and meeting the criteria of the program.

Furthermore, Chapter 5 Small Business Microloans have terms of 10 years and interest rates of prime rate plus 2%. The longer term helps applicants by providing smaller payments over a longer period of time. The interest rate over the prime rate helps offset the increased risk sometimes associated with small business lending.

In July 2022, Tonia McMillian, owner of Darts Corner LLC, (the Applicant) submitted an application under Chapter 5 for a $30,000 Small Business Microloan for her business located at 17242-44 Downey Avenue. The Microloan will provide working and start-up capital due to the loss of an investment partner in the business. The application included a business plan, financial projections, job creation information, letters of support, and a commitment to cross-promote the City of Bellflower in its marketing efforts. Staff reviewed the application materials including a credit check, projected monthly cash flow analysis, a business loan rejection letter from Bank of the West, and a list of collateral. Collateralized items will be included on a UCC Financing Statement Filed with the Secretary of State.

Darts Corner is located within the shopping center at the northeast corner of Downey Avenue and Artesia Boulevard and opened for business in June 2022 taking the space formerly occupied by Enrique’s Mexican Restaurant. Under the Plan, the Applicant is providing a personal guaranty, collateral totaling the outstanding principal plus any accrued interest and has certified to creating 4 full-time equivalent (FTE) jobs (program requires 1 FTE). The year 1 cash flow projection indicates a debt coverage ratio of just over 1 with the infusion of personal funds as the new business gets established and stabilizes. The loan payments will begin 60-days following the full disbursement of the loan. Based on the prime rate at the time of application which is 5.5% (published by the WSJ on July 28, 2022) plus 2.0%, loan payments will be $358.32 at the total interest rate of 7.5%.

PROMISSORY NOTE OF
AGREEMENT FILE NO. 959

BETWEEN THE CITY OF BELLFLOWER
AND

DARTS CORNER, LLC

$30,000.00 Bellflower, CA

For value received, the undersigned (Borrower) promises to pay to the order of the City of Bellflower (Payee) (Holder) at its office in the City of Bellflower, State of California or at holder's option, at such other place as may be designated from time to time by the holder, $30,000 (Thirty Thousand Dollars), with simple interest on the unpaid principal computed from the date of the final advance to the undersigned at the rate of seven and one half percent (7.5%) per annum, payment to be made in installments as follows (Obligation):

Loan payments must be made in equal installments, each in the amount of $358.32, for a term of 120 months, commencing 60 days from date of the final drawdown, and continuing due and payable on the first business day of each month thereafter, when the full unpaid balance of principal and interest becomes due and payable. If Borrower makes scheduled payments in a timely manner and does not prepay any portion of the principal, the loan will be fully amortized in 120 months, with the final payment in the amount of $358.32.

If a payment not timely made remains overdue for a period of (10) days after the same becomes due and payable, Borrower, without notice or demand by the City of Bellflower or any other holder of the Note, must pay a late charge in an amount equal to five percent (5%) of the delinquent payment owing (the “Late Charge”) or $100.00, whichever is greater. Borrower agrees that an amount equal to the Late Charge is a reasonable estimate of the damage to the City of Bellflower or other holder of the Note in the event of late payment due hereunder.

Prepayment of any installment of principal or interest owing on this Note may be made before the maturity date thereof without penalty.

Upon an Event of Default, City has the right to accelerate the debt evidenced by the Loan Documents and declare all of the unpaid principal and interest immediately due and payable. Upon an Event of Default, the outstanding portion of the principal bears interest at the rate of seven- and one-half percent (7.5%), compounded monthly, or the highest rate permitted by law. Any failure by City to pursue its legal and equitable remedies upon an Event of Default does not constitute a waiver of City’s right to declare an Event of Default and exercise all of its rights under the Loan Documents. Nor does acceptance by City of any payment constitute a waiver of City’s right to require prompt payment of any remaining payment owed.

The covenants and conditions set forth or referred to in any and all instruments of hypothecation constituting the Collateral are hereby incorporated in the Note as covenants and conditions of the undersigned with the same force and effects as though such covenants and conditions were fully set forth herein.

amount of such payment to the amount of the Indebtedness, and charge interest thereon at the rate specified herein with respect to the principal amount of this Note.
