Phase one of the City’s proposed work under this grant is to develop the Urban Forestry Management Plan (“UFMP”) which will result in a strategic document that outlines the visions, goals and actions for managing and enhancing the tree canopy and green spaces throughout the City. Agreement File No. 230.4 will allow West Coast Arborists, Inc. (“WCA”) to commence with the development of the UFMP.

RECOMMENDATION TO CITY COUNCIL

2) Alternatively, discuss and take other action related to this item.

FISCAL IMPACT
The not-to-exceed amount for the development of the UFMP is $80,000. All costs incurred by the City will be reimbursed by GreenLatinos through the USDA IRA UCF grant on a quarterly basis.

DISCUSSION
The City was selected as a subrecipient for the USDA IRA UCF grant in the amount of $1,000,000. Phase one of the work under this grant is the development of a comprehensive Urban Forestry Management Plan. The UFMP will result in a strategic document that outlines the visions, goals and actions for managing and enhancing the tree canopy and green spaces throughout the City. The plan will assess the current inventory, provide strategies for maintenance and growth of trees, identify locations where additional trees could be planted and help develop policies to protect and preserve trees.

D. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY’s option, become CITY’s property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C).

17. OWNERSHIP OF DOCUMENTS; EXCEPTIONS; WARRANTY. Except as otherwise provided below, all documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT (collectively, “Documents”) under this Agreement are CITY’s property. CONSULTANT may retain copies of such Documents as desired but will deliver all original materials to CITY upon CITY’s written notice. CITY agrees that use of CONSULTANT’s completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY’s own risk. CONSULTANT warrants that all Documents it drafts and completes pursuant to this Agreement constitutes original work. Specifically, CONSULTANT understands and agrees that use of artificial intelligence (AI) tools including, without limitation, ChatGPT, Microsoft’s Bing Chat, Google’s Bard, and Meta’s LLaMA (Large Language Model Meta AI), in the performance of this Agreement does not constitute an original work, i.e., submitting Documents generated by such AI tools to CITY and representing it as CONSULTANT’s original work constitutes a material breach of this Agreement, constitutes a false claim, and may also violate applicable intellectual property right laws including, without limitation, United States Copyright Law. Accordingly, and notwithstanding any other provision of this Agreement as to ownership, CITY specifically rejects ownership of such Documents. CONSULTANT is required to indemnify and defend CITY to the fullest extent allowed by applicable law should it violate this Section.

19. INDEMNIFICATION.

A.CONSULTANT agrees to the following:
i.Indemnification for Professional Services. CONSULTANT will save harmless and indemnify and at CITY’s request reimburse defense costs for CITY and all its officers, volunteers, employees and representatives from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, any injuries or damages sustained by any person or property resulting or arising from any negligent or wrongful act, error or omission by CONSULTANT or any of CONSULTANT’s officers, agents,
employees, or representatives, in the performance of this Agreement, except for such loss or damage arising from CITY’s sole negligence or willful misconduct.
ii.Indemnification for other Damages. CONSULTANT indemnifies and holds CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney’s fees), injuries, or -7-

liability, arising out of this Agreement, or its performance, except for such loss or damage arising from CITY’s sole negligence or willful misconduct. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, whether the same be groundless or not, arising out of this Agreement, or its performance, CONSULTANT will defend CITY (at CITY’s request and with counsel satisfactory to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or otherwise.

B.For purposes of this section “CITY” includes CITY’s officers, officials, employees, agents, representatives, and certified volunteers.

C.It is expressly understood and agreed that the foregoing provisions will survive termination of this Agreement.

D. The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 23, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification.

20. ASSIGNABILITY. This Agreement is for CONSULTANT’s professional services.

CONSULTANT’s attempts to assign the benefits or burdens of this Agreement without CITY’s written approval are prohibited and will be null and void.

21. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which is it performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY.

CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees.

Any provision in this Agreement that may appear to give CITY the right to direct CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only.

22. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcript therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least three (3) years after termination or final payment under this Agreement.

23. INSURANCE.

A.Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT will procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below:

Type of Insurance Limits
Commercial general liability $2,000,000
Professional Liability $1,000,000
Business automobile liability $1,000,000
Workers compensation Statutory requirement
B.Commercial general liability insurance will meet or exceed the requirements of the most recent ISO-CGL Form. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name CITY, its officials, and employees as “additional insureds” under said insurance coverage and to state that such insurance will be deemed “primary” such that any other insurance that may be carried by CITY will be excess thereto. Such endorsement must be reflected on ISO Form No. CG 20 10 11 85 or 88, or equivalent. Such insurance will be on an “occurrence,” not a “claims made,” basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to CITY.

C. Professional liability coverage will be on an “occurrence basis” if such coverage is available, or on a “claims made” basis if not available. When coverage is provided on a “claims made basis,” CONSULTANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated. Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect.

D. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto).

E.CONSULTANT will furnish to CITY duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as -9-

may be reasonably required by CITY from time to time. Insurance must be placed with insurers with a current A.M. Best Company Rating equivalent to at least a Rating of “A:VII.”
F.Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, CITY may obtain such coverage at CONSULTANT’s expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate pursuant to Section 16.

G. Self-Insured Retention/Deductibles. All policies required by this Agreement must allow CITY, as additional insured, to satisfy the self-insured retention (“SIR”) and deductible of the policy in lieu of CONSULTANT (as the named insured) should CONSULTANT fail to pay the SIR or deductible requirements. The amount of the SIR or deductible is subject to the approval of the City Attorney and the Finance Director. CONSULTANT understands and agrees that satisfaction of this requirement is an express condition precedent to the effectiveness of this Agreement. Failure by CONSULTANT as primary insured to pay its SIR or deductible constitutes a material breach of this Agreement. Should CITY pay the SIR or deductible on CITY’s behalf upon the CONSULTANT’S failure or refusal to do so in order to secure defense and indemnification as an additional insured under the policy, CITY may include such amounts as damages in any action against CONSULTANT for breach of this Agreement in addition to any other damages incurred by CITY due to the breach.

24. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY’s prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation.

25. INCIDENTAL TASKS. CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update.

26. NOTICES. All communications to either party by the other party will be deemed made when received by such party at its respective name and address as follows:

Work Force
WCA actively maintains ongoing processes to assure that only qualified and competent staff provides safe and quality tree maintenance services. This standard exemplifies our company’s commitment to providing customers with competent, knowledgeable certified workers. PLAN FOR S ERVICES
What is a Urban Forest Management Plan?
An Urban Forest Management Plan (UFMP) is a guide to help manage the urban forest, now and in the future. This is an opportunity to document the community’s urban forest resources and identify goals for preservation, enhancement, and restoration. It is a roadmap that creates a shared vision for the future of an urban forest tree canopy.

Why Do We Need One?
Trees are an essential aspect of the landscape and have had a tremendous role in shaping the way people i see their community. Proper planting of more trees and caring for our existing trees can help assure a healthy urban forest for generations to come. Trees offer many benefits: from the shade and cooling of our streets; the habitat they provide for local fauna and the grace and beauty they add to our urban environment. However, planting and maintaining street trees requires a coordinated approach and this master plan will help by providing:
• A sound framework for the selection, use and maintenance of trees • Better tools for the planning and budgeting of future tree planting projects • Improved techniques for tree planting and protection
The UFMP presents an opportunity to link and integrate with other key plans and initiatives in the community that are relevant to trees. Policies, goals, maintenance budgets, and public education programs involving trees now exist in multiple silos throughout the community. In order for our collective efforts to be effective, it is essential that the UFMP make an attempt to span these silos, and for staff and stakeholders to work in unison.

Increased Public Safety
All public works agencies know that a large part of their primary mission is to assure safety and manage risk related to public infra-structure. A tree inventory and management plan will provide lists of trees requiring priority removal and pruning that a manager can carry out within the limits of budget and time. The inventory can be used subsequently to monitor trees for safety risks on a continual basis. By implementing recommendations made in the management plan, storm damage risks will also decline.

A UFMP includes an inventory of the existing tree
population, identifies new tree planting locations,
specifies canopy goals, management objectives,
maintenance tasks and actions, green waste and
wood recycling, best practices for wildlife and
tree risk and health monitoring plan.

13 Setting the Gold Standard
Increased Efficiency
Once an inventory has identified the work to be done and a management plan has prescribed a maintenance program, a manager can execute that work in a much more efficient manner than before. By scheduling all work in a given area to be done at the same time (rather than by reacting to single requests) the savings in travel and setup time are substantial, with historical examples showing about a 50 percent reduction in cost—especially when a system of rotational work and/or preventative maintenance is adopted. There is also increased efficiency in the office created by using an electronic inventory to locate and manipulate records and select and schedule work. The efficient response to citizen requests and questions also improves customer service.

Facilitate Short– and Long-term Planning
Planning can be made for both short term and long term by utilizing the results of the tree inventory in conjunction with the UFMP. Maintenance and planting needs can be identified and budgeting for the future can be better managed.

Justify Budgets
The UFMP provides the data and analysis needed to determine specific levels of funding for tree maintenance and tree planting projected over a multi-year period. With accurate data, a manager can establish, prioritize, and justify annual budget requests. The tasks and associated costs are clearly spelled out in the plan and can be supported by detailed lists. Many public works managers have found that they have much greater success with budget requests that are based on the analysis of high-quality data. Also, a good inventory provides a solid basis for grant applications.

Documentation
For many reasons, public works managers are frequently asked to provide documentation of their actions. This documentation can range from annual work accomplishments to a contractor’s costs per tree, from a removal list to a specific service request. Some requests may be routine, while others may have strong budgetary or even legal implications. The Urban Forest Management Plan and ArborAccess make such documentation very easy through reports that are included in the plan or that can be generated from the inventory database. ArborAccess come with standard reports, and there is usually a mechanism for creating special reports.

What Is Included?
The UFMP is tailored to the City’s needs based on the current needs and how the City wishes the forest to be managed in the future. A typical plan can take up to a year and involves outreach to the residents and business owners in the
community to incorporate their feedback.

PROPOSED METHOD TO ACCOMPLISH T HE WORK
ArborAccess
In today's changing financial environment,
municipalities must continually search for ways to
maximize their budget dollars. Agency staffs are being
asked to find "real" long-term solutions and are
searching for areas where operations can be
performed more effectively and efficiently, or both.

One such area is tree maintenance; however, an
efficient tree maintenance plan stems from a clear
and concise tree inventory.

ArborAccess is a versatile tree inventory software that is device agnostic, meaning it can be accessed from
any device, including iPads, iPhones, Androids, and
Windows devices. It works on any browser, including
Chrome, Edge, and Safari. ArborAccess is designed
and maintained in- house, ensuring that the software is always up-to-date and functioning optimally. As a
product for the customers, by the customers, ArborAccess continuously adds new features and welcomes feedback from users. The collaborative program allows both WCA and customer users to work together to create lists, work orders, and identify trees. Users can also add trees, insert work history, and much more, making ArborAccess a comprehensive solution for tree inventory management.

West Coast Arborists, Inc. (WCA) will provide the following:
 A digitized inventory and assessment database of all trees located within City as directed by Agency staff.
 Observation of Agency owned trees; check for disease/decline, dead, poorly structure, and insect infested trees all to be flagged for further inspection.
 An Arc-view/ArcInfo compatible file in a Windows-based format.  ·Provide data that will assist the Agency in meeting their tree goals  ·Provide all data developed or created for this project to the Agency in an electronic editable format
 Produce a final project report (“Inventory Deliverable.”)

Data Collection
We can expect each data collector to collect anywhere between 200– 300 tree sites per day considering the weather and physical areas to be collected. No subcontractors will be utilized for this project.

Software Updates/Technical Support
• Unlimited telephone and/or e-mail support to answer questions and aid Agency staff in the use of the software system.
• Provide training to Agency staff as needed.
• Provide routine maintenance, archive, backup, restore, and disaster recovery procedures upon request from the Agency. Provide upgrades upon release from WCA.

Inventory Collection
WCA proposes the following:
• Conduct a “Scope Refinement” meeting exclusive to the tree inventory process. • Discuss the basis for evaluating the Agency’s urban forest and assist Agency staff in determining the total number of trees to be inventoried. • Have one or more of our Inventory Specialists/Certified Arborist conduct a complete inventory based on the Cit’s approved criteria including all trees. • Provide the Agency with Global Positioning Satellite (GPS) Coordinates for each tree inventoried including creating an ESRIArcView/ArcGIS compatible shp.file. • Using a handheld computer and GPS receiver, the inventory collector will identify the trees by their global coordinates of longitude and latitude.

Equipment
Trees are inventoried using iPads and Android devices utilizing WCA’s proprietary inventory mobile application, ArborAccess.

Software Training
Our IT Department is based out of our corporate office in Anaheim, CA with regional offices located throughout California and Arizona. Each office has the ability to provide software training to our customers. We are also available to provide training sessions on-site at the customer’s discretion. On-site training is proven to be effective as it provides a guided firsthand experience.

We offer periodic tree maintenance and management workshops each year. These free workshops are provided to our customers regionally and educate over 250 people annually. They have proven to be a great roundtable and networking opportunity for the different agencies in attendance. Presentations are provided by WCA management staff and complimented with guest speakers in the industry. Certified Arborists and Tree Workers who attend are eligible to receive continuing education credits (CEU’s) from the International Society of Arboriculture.

The success of any urban forest program depends on the proper management of information.

Sample: Species Frequency Report
The Species Frequency report can assist your Agency in identifying the tree population within the urban forest. This type of information is valuable in the event of an insect infestation, deadly disease, or even estimating future maintenance costs. In addition, an analysis can be performed to evaluate the history of the performance of a particular species within your Agency.

Sample Management Tools:

Detailed Tree Site Characteristics
The advanced technology provides
a valuable tool to urban forestry
professionals by displaying specific
tree site information along with a
representative photograph of the
species type and a recommended
maintenance field. ArborAccess’
built-in quality control features assist
in data accuracy. As maintenance
is performed, the work history is
updated and accompanied with
bi-weekly invoices. This process
eliminates the need for dual-
inputting and helps keep the tree
inventory current and accurate.

CLIENT REFERENCES
West Coast Arborists understands the scope of the Urban Forest Management Plan and has completed similar projects for agencies throughout California. Additionally, we have successfully completed 300+ GPS tree inventory projects for customers that are valuable to managing their urban forest.

CITY OF INGLEWOOD Completed October 2023

WCA worked with the City of Inglewood to create a Urban Forest Managemant Plan. The plan not only describes how the city will care for its trees, but also provides a list of the species the city can plant in areas adjacent to public streets. The updated plan also sets a goal of increasing the overall number of trees on city properties, which will ultimately increase the capture of greenhouse gases. The City’s maintenance contract with WCA includes real time updates to the tree inventory.
