DISCUSSION

As the City continues to implement the objectives outlined in the Parks and Recreation Master Plan and the newly adopted City Strategic Plan, the need for dedicated grant research, grant writing, and park design concept services remains a priority. To support these efforts, staff recommends establishing an on-call agreement with KTU&A to assist in securing funding and advancing parks and recreation projects to shovel-ready status.

Staff is recommending KTU&A for this service agreement based on its extensive experience in grant development and park planning, as well as its deep familiarity with the Bellflower Parks and Recreation Master Plan, having served as a key partner and leader throughout the master planning process. KTU&A will ensure that projects align with available funding opportunities and the City’s long-term vision for parks and open spaces. Their expertise will enhance the City's ability to secure grant funding, develop concept plans, and ultimate ly improve recreational amenities for the Bellflower community. Details regarding potential task order projects, scope of work, and deliverables are outlined in the Agreement Exhibits.

14. WAIVER. CITY’s review or acceptance of, or payment for, work product prepared by CONSULTANT under this Agreement will not be construed to operate as a waiver of any rights CITY may have under this Agreement or of any cause of action arising from CONSULTANT’s performance. A waiver by CITY of any breach of any term, covenant, or condition contained in this Agreement will not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant, or condition contained in this Agreement, whether of the same or different character.

15. TERMINATION.

A. Except as otherwise provided, CITY may terminate this Agreement, or any individual Task Order, at any time with or without cause. Notice will be in writing at least thirty (30) days before the effective termination date.

B. CONSULTANT may terminate this Agreement, or any individual Task Order, at any time with CITY’s mutual consent. Notice will be in writing at least thirty (30) days before the effective termination date.

C. Should termination occur, all finished or unfinished documents, data, studies, surveys, drawings, maps, reports and other materials prepared by CONSULTANT will, at CITY’s option, become CITY’s property, and CONSULTANT will receive just and equitable compensation for any work satisfactorily completed up to the effective date of notice of termination, not to exceed the total costs under Section 1(C).

D. Should the Agreement, or any individual Task Order, be terminated pursuant to this Section, CITY may procure on its own terms services similar to those terminated.

E. By executing this document, CONSULTANT waives any and all claims for damages that might otherwise arise from CITY’s termination under this Section.

16. NOTICE OF BREACH AND OPPORTUNITY TO CURE. Neither party will be deemed to be in breach of this Agreement based on a breach that is capable of being cured until it has received written notice of the breach from the other party. The party charged with breach will have fifteen (15) days from the date of receiving such notice in which to cure the breach or otherwise respond. If the circumstances leading to the charge that the Agreement was breached have not been cured or explained to the satisfaction of the other party within fifteen (15) days from the date on which the party received notice of breach, the non-breaching party may terminate this Agreement. 7 City of Bellflower

17. OWNERSHIP OF DOCUMENTS; EXCEPTIONS; WARRANTY. Except as otherwise provided below, all documents, data, studies, drawings, maps, models, photographs and reports prepared by CONSULTANT (collectively, “Documents”) under this Agreement are CITY’s property. CONSULTANT may retain copies of such Documents as desired but will deliver all original materials to CITY upon CITY’s written notice. CITY agrees that use of CONSULTANT’s completed work product, for purposes other than identified in this Agreement, or use of incomplete work product, is at CITY’s own risk. CONSULTANT warrants that all Documents it drafts and completes pursuant to this Agreement constitutes original work. Specifically, CONSULTANT understands and agrees that use of artificial intelligence (AI) tools including, without limitation, ChatGPT, Microsoft’s Bing Chat, Google’s Bard, and Meta’s LLaMA (Large Language Model Meta AI), in the performance of this Agreement does not constitute an original work, i.e., submitting Documents generated by such AI tools to CITY and representing it as CONSULTANT’s original work constitutes a material breach of this Agreement, constitutes a false claim, and may also violate applicable intellectual property right laws including, without limitation, United States Copyright Law. Accordingly, and notwithstanding any other provision of this Agreement as to ownership, CITY specifically rejects ownership of such Documents. CONSULTANT is required to indemnify and defend CITY to the fullest extent allowed by applicable law should it violate this Section.

18. PUBLICATION OF DOCUMENTS. Except as necessary for performance of service under this Agreement, no copies, sketches, or graphs of materials, including graphic art work, prepared pursuant to this Agreement, will be released by CONSULTANT to any other person or public CITY without CITY’s prior written approval. All press releases, including graphic display information to be published in newspapers or magazines, will be approved and distributed solely by CITY, unless otherwise provided by written agreement between the parties.

19. INDEMNIFICATION. This Agreement contemplates that CONSULTANT will act both as a design professional (as defined by Civil Code § 2782.8) and for other management services. Accordingly, CONSULTANT agrees to provide indemnification as follows:

A. For design professional services (per Civil Code § 2782.8):

i. CONSULTANT must save harmless, indemnify and defend CITY and all its officers, employees and representatives from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, any injuries or damages sustained by any person or property arising from, pertaining to, or relating to the negligence, recklessness, or willful misconduct of CONSULTANT or any of CONSULTANT’s officers, agents, employees, or
representatives.

B. For all other services:

i. Indemnification for Professional Services. CONSULTANT will save harmless and indemnify and at CITY’s request reimburse defense 8 City of Bellflower

costs for CITY and all its officers, volunteers, employees and representatives from and against any and all suits, actions, or claims, of any character whatever, brought for, or on account of, any injuries or damages sustained by any person or property resulting or arising from any negligent or wrongful act, error or omission by CONSULTANT or any of CONSULTANT’s officers, agents,
employees, or representatives, in the performance of this Agreement, except for such loss or damage arising from CITY’s sole negligence or willful misconduct.

ii. Indemnification for other Damages. CONSULTANT indemnifies and holds CITY harmless from and against any claim, action, damages, costs (including, without limitation, attorney’s fees), injuries, or liability, arising out of this Agreement, or its performance , except for such loss or damage arising from CITY’s sole negligence or willful misconduct. Should CITY be named in any suit, or should any claim be brought against it by suit or otherwise, whether the same be groundless or not, arising out of this Agreement, or its performance, CONSULTANT will defend CITY (at CITY’s request and with counsel satisfactory to CITY) and will indemnify CITY for any judgment rendered against it or any sums paid out in settlement or otherwise.

C. For purposes of this section “CITY” includes CITY’s officers, officials, employees, agents, representatives, and certified volunteers.

D. It is expressly understood and agreed that the foregoing provisions are intended to be as broad and inclusive as is permitted by the law of the State of California and will survive termination of this Agreement.

E. The requirements as to the types and limits of insurance coverage to be maintained by CONSULTANT as required by Section 23, and any approval of said insurance by CITY, are not intended to and will not in any manner limit or qualify the liabilities and obligations otherwise assumed by CONSULTANT pursuant to this Agreement, including, without limitation, to the provisions concerning indemnification.

20. ASSIGNABILITY. This Agreement is for CONSULTANT’s professional services.

CONSULTANT’s attempts to assign the benefits or burdens of this Agreement without CITY’s written approval are prohibited and will be null and void.

21. INDEPENDENT CONTRACTOR. CITY and CONSULTANT agree that CONSULTANT will act as an independent contractor and will have control of all work and the manner in which it is performed. CONSULTANT will be free to contract for similar service to be performed for other employers while under contract with CITY.

CONSULTANT is not an agent or employee of CITY and is not entitled to participate in any pension plan, insurance, bonus or similar benefits CITY provides for its employees.

Any provision in this Agreement that may appear to give CITY the right to direct 9 City of Bellflower

CONSULTANT as to the details of doing the work or to exercise a measure of control over the work means that CONSULTANT will follow the direction of the CITY as to end results of the work only.

22. AUDIT OF RECORDS. CONSULTANT will maintain full and accurate records with respect to all services and matters covered under this Agreement. CITY will have free access at all reasonable times to such records, and the right to examine and audit the same and to make transcripts therefrom, and to inspect all program data, documents, proceedings and activities. CONSULTANT will retain such financial and program service records for at least four (4) years after termination or final payment under this Agreement.

23. INSURANCE.

A. Before commencing performance under this Agreement, and at all other times this Agreement is effective, CONSULTANT must procure and maintain the following types of insurance with coverage limits complying, at a minimum, with the limits set forth below:

Type of Insurance Limits (combined single)

Commercial general liability: $2,000,000
Professional Liability $1,000,000
Business automobile liability $1,000,000
Workers’ compensation Statutory requirement.

B. Commercial general liability insurance will meet or exceed the requirements of the most recent ISO-CGL Form. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name City, its officials, and employees as “additional insureds” under said insurance coverage and to state that such insurance will be deemed “primary” such that any other insurance that may be carried by City will be excess thereto. Such insurance will be on an “occurrence,” not a “claims made,” basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to City.

C. Automobile coverage will be written on ISO Business Auto Coverage Form CA 00 01 06 92, including symbol 1 (Any Auto).

D. Professional liability coverage will be on an “occurrence basis” if such coverage is available, or on a “claims made” basis if not available. When coverage is provided on a “claims made basis,” CONSULTANT will continue to maintain the insurance in effect for a period of three (3) years after this Agreement expires or is terminated (“extended insurance”). Such extended insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by City arising out of any errors or omissions of CONSULTANT, or its officers, employees or agents during the time this Agreement was in effect.

E. CONSULTANT will furnish to City duly authenticated Certificates of Insurance evidencing maintenance of the insurance required under this Agreement, endorsements as required herein, and such other evidence of insurance or copies of policies as may be reasonably required by City from time to time. Insurance must be placed with insurers with a current A.M.

Best Company Rating equivalent to at least a Rating of “A:VII.”

F. Should CONSULTANT, for any reason, fail to obtain and maintain the insurance required by this Agreement, City may obtain such coverage at CONSULTANT’s expense and deduct the cost of such insurance from payments due to CONSULTANT under this Agreement or terminate.

G. Self-Insured Retention/Deductibles. All policies required by this Agreement must allow CITY, as additional insured, to satisfy the self-insured retention (“SIR”) and deductible of the policy in lieu of CONSULTANT (as the named insured) should CONSULTANT fail to pay the SIR or deductible requirements. The amount of the SIR or deductible is subject to the approval of the City Attorney and the Finance Director. CONSULTANT understands and agrees that satisfaction of this requirement is an express condition precedent to the effectiveness of this Agreement. Failure by CONSULTANT as primary insured to pay its SIR or deductible constitutes a material breach of this Agreement. Should CITY pay the SIR or deductible on CITY’s behalf upon the CONSULTANT’S failure or refusal to do so in order to secure defense and indemnification as an additional insured under the policy, CITY may include such amounts as damages in any action against CONSULTANT for breach of this Agreement in addition to any other damages incurred by CITY due to the breach.

24. USE OF SUBCONTRACTORS. CONSULTANT must obtain CITY’s prior written approval to use any consultants while performing any portion of this Agreement. Such approval must approve of the proposed consultant and the terms of compensation.

25. INCIDENTAL TASKS. When required by any Task Order, CONSULTANT will meet with CITY monthly to provide the status on the project, which will include a schedule update and a short narrative description of progress during the past month for each major task, a description of the work remaining and a description of the work to be done before the next schedule update.

RE: City of Bellflower Parks and Recreation On-Call

Hi PJ and Kristen,

Below is our draft, general scope of work for grant research, grant writing, park concept design and landscape architecture services through construction management. These tasks are general processes and will be refined as a task order is initiated. Please let us know if you have any questions.

Task 1. Parks and Recreation Grant Research
Obtaining funding for park design and capital projects comes from thoughtfully designing and visioning the project to address the criteria of available grants. Projects that are designed to offer multiple community benefits and sustainable solutions for the requesting agency are more likely to receive funding.

The following general approach outlines the various steps the KTUA team anticipates in completing a park-related grant for cities and other agencies. KTUA will work closely with the City and identify tasks that KTUA can complete and tasks that much be completed by the City.

Task 1.1 Grant Pre-Planning
The first step in developing a grant is to identify the vision and goals and validate the need for this application. Asking questions early in the process will lead to a clear and concise application.

Project need and scope:
• Who is this project for and how will they be affected? • Will the project meet the community's needs?
• Does the project or program support other ongoing efforts? • Does the project or program support the long-term vision of the applicant? • Will the project be unique in the area?

Project Cost
• What is the total project cost?
• How much funding is needed for design, construction, operations, and maintenance? • Are local matching funds needed and available?
• What is the project schedule?
• Are there cost issues beyond the control of the project that should be considered (inflation, fluctuating labor and material costs, supply chain issues, etc.)?

16 Community Impacts
• Will the project improve/promote public safety and community health? • Will disadvantaged or underserved communities benefit? • Will the project provide a safe space for community members to connect and socialize? • Will the project help reduce crime in the area?
• Can environmental impacts be minimized?

Project Support
• Does the local agency and community support the project? • Has or can stakeholder partnerships be established?
• Does the project have local, state, and federal political support? • Can the support be documented?

Task 1.2 Identify Grant Opportunities
KTUA will work with the City to prepare a list of grants the City is interested in pursing and will prepare a schedule of release and due dates. KTUA will review which grants are the best fit for eligibility and can fund all or a majority of the project.

Upon selection of the most relevant grant program(s), a virtual conference call will be conducted to discuss the grant goals and objectives and to gather data and ideas for the grant application. Other items such as letters of support, graphics, scope of work, outreach, and demographic data will be identified if available.

Estimated Budget: $1,200

Task 2: Grant Writing
Task 2.1 Research, Data, and Graphic Collection
KTUA will conduct the necessary research to provide metrics to support the grant application. This includes demographic data and existing conditions data such as past community survey data, CalEnviroScreen, US Census data, and health information. Other data such as visual graphics, maps, and photos contribute to a strong application.

Task 2.2 Prepare the Grant Application
KTUA will adhere to the application guidelines when beginning to develop the narrative for the grant application. KTUA may conduct a brainstorming session to help identify themes and develop a strong project need statement. This task will focus on:
• Identify main points, concepts, and themes
• Determining how to meet the goals of the funding source • Developing broad concepts that support the project premise

Developing a Project Need Statement
Based on data gathered during pre-planning, research, and data collection, KTUA will work with the City to develop a strong project need statement. The need statement will be a clear, concise, and persuasive assertion about the project, or program, its mission, the need for the project, and the benefit the project will provide.

17 Application Outline
KTUA will create an outline to provide structure to the application. This outline will serve as guidance in writing the narrative detail and adding the supportive data. Format requirements for the application will be reviewed and tasks for completion will be assigned.

Narrative Detail
The KTUA team will take the lead in preparing the narratives, or provide materials for City staff to write (as needed), and provide a complete checklist of all the necessary information needed for the grant. The narrative will focus on:

• Crafting a clear project scope.
• Providing a comprehensive funding strategy with cost and budget data. • Gathering letters of support from the community, stakeholders, local businesses, and representative agencies.
• Providing details on the project benefits and community impact. • Including human interest stories about events and people that are relevant to the project. • Demonstrating the grantee’s experience and technical capacity to implement the grant. • Providing a project schedule.

KTUA will prepare supporting graphics, metrics, data, and maps needed to strengthen the grant.

Coordination with the City will be a continuous effort to make sure all materials are provided in a timely manner to complete all the necessary elements of the grant. Depending on the grant needs and grant writing budget allocated, KTUA has the capability to provide additional supporting graphics and information.

Graphic materials not yet produced such as additional 3D renderings, updated CAD drawings, and mapping analysis will be included as additional services.

The timeframe of the grant writing process will depend on when the grant application has been released, the due date, and what information is readily available to begin preparing the grant, typically between one and three months.

Task 2.3 Review the Grant Application
A draft of the application will be submitted to the City for review. Upon an expedited review period, KTUA will address the final comments. All supporting documentation will be included, and a final application will be delivered to the City for submission.

The City will be responsible for obtaining any necessary department, city council or other governing agency approvals (formal or informal) or resolutions. At this time the application will be ready for submission by the agency.

Task 2.4 Application Submittal and Follow-up
Prior to the submittal deadline, KTUA will ensure that the team fully understands the submittal protocols for uploading required forms and documents. Technology errors happen, particularly associated with deadlines, so redundancies or alternatives will be developed to avoid disqualification.

18 Once the grant application has been submitted, the grantor may come back to the applicant with additional questions or clarifications, or a request to visit the project site or other projects the City has successfully implemented with grant funding. The KTUA team will be available to prepare responses to questions, provide additional materials, and schedule site visits as needed.

Of course, securing the grant funding is the goal. However, win or lose, a debrief with the grantor is always beneficial at the end of the process to understand the strengths and weaknesses of the application. If the application was successful, the debrief process may shed light on other grant opportunities with this or other grantors that may be applicable if additional funding is still needed. If the application is not successful, it is an opportunity to reassess the relationship between the project need and the grant requirements to determine if the application needs to be repackaged in a different way or if other funding sources more closely match the project need. Since many agencies release grant opportunities on an annual or recurring basis, there may be future opportunities to re-submit an application.

Estimated Budget:

Task 2A, Low level-of-effort Grant: $3,500-$5,500
Task 2B, Medium level-of-effort Grant: $5,500-$8,500
Task 2C, High level-of-effort Grant: $8,500-$10,000

Task 3: Park Design Concepts
Task 3.1 Edits to Existing Concept Designs
With direction provided by the City, KTUA will edit existing park concept designs produced previously by the City. Edits to existing designs may include adjustments to CAD drawings, plan renderings, or 3D renderings.

Estimated budget: $7,500 (edits only)

Task 3.2 Park Concept Design Alternatives
With direction provided by the City, KTUA will prepare conceptual plans illustrating proposed park improvements that reflect the community’s needs at the identified high-priority sites. To start the process, properties will be selected to create relationship/bubble diagrams; these diagrams will consist of simple linework/colors (i.e., bubbles) that help define the relationship between different spaces/programmatic uses within the park. The City will review each of the relationship/bubble diagrams and determine sites to move forward with conceptual designs based on city and/or community input on the relationship/bubble diagrams. Park active and passive amenities, fields and fitness areas, circulation walkways, parking, gathering spaces, playgrounds, dog parks, trees, shade structures, etc., will be drawn conceptually and at an appropriate scale. Color will be added to the concepts for clarity (not illustrative renderings), and each concept will be annotated. The concepts will be provided to the City electronically in pdf format, and review meetings will be scheduled to discuss the concepts for each property.

Task 3.3 Final Park Concept Design
City comments will be summarized and provided to the City electronically. Based upon feedback from the City, KTUA will refine the concepts to provide a final concept design for the final park sites selected.

The concepts will be drawn at an appropriate scale, color rendered, and annotated for presentation purposes.

19 Upon completion of the preferred concept, 3D renderings will be developed for the two final concepts.

One full rendering will be developed in SketchUp and Lumion so different views can be extracted to highlight various elements of the concept. These big-vision graphics will help aid the development and support of these vacant or underutilized land for new park space and amenities.

Estimated budget: $20,000 (new concepts and renderings per park)
