RECOMMENDATION
Staff recommends that the City Council approve an amendment to extend the termination date of the agreement with Sunbox, Inc. for installation, servicing and stocking of vending machines at certain city facilities.
INTRODUCTION
The City contracted with Sunbox, Inc. on June 4, 2019 for installation, servicing, stocking vending machines at various City locations. Sunbox was awarded the contract for a nocost and no rent revenue service agreement as a result of a Request for Quotes from vendors who specialize in healthy options. The amendment extends the agreement an additional year through June 30, 2023, and includes two optional one-year extensions.
DISCUSSION
Sunbox, Inc. positions the City to continue to lead by example as a healthy City by providing fresh delivery of healthier snacks and beverages than traditional vending machines. Sunbox, Inc. provides strict standards for higher-quality foods. All options are free of hydrogenated fats, refined flours, refined sugars, artificial ingredients and preservatives. Additionally, Sunbox, Inc. offers vegan, vegetarian, ketogenic, paleo, raw, kosher, organic, gluten-free, dairy-free, nut-free, and big 8 allergen free foods. The existing vending machine agreement with Sunbox expires June 30, 2022. City staff recommends extending the agreement through June 30, 2023. The original agreement was for a term of one year with two additional one-year extensions. However, the vending machines were not fully operational during the term of the agreement due to the ongoing pandemic. If approved, the amendment extends the termination for an additional one year, with the option to extend for an additional two one-year terms. The amendment would allow the vendor a standard five year term to service the City.
FISCAL IMPACT
The agreement with Sunbox, Inc. is a no-cost service agreement with no rent revenues and is provided to allow for vending options at various City locations.

AMENDMENT NO. 2 TO THE AGREEMENT BETWEEN THE CITY

SERVICING, AND STOCKING OF VENDING MACHINES AT
CERTAIN CITY FACILITIES
This Amendment No. 2 is to that certain Agreement between the City of Beverly Hills (hereinafter called "CITY"), and Sunbox Inc. (hereinafter called "CONTRACTOR") dated June 4, 2019 and identified as Contract No. 275-19, as amended by Amendment No. 1 dated January 19, 2022 and identified as Contract No. 54-22 (“Agreement”).
RECITALS
A. CITY and CONTRACTOR entered into an agreement for installation, servicing, and stocking of vending machines at certain CITY facilities, which was previously amended.
B. CITY and CONTRACTOR desire to further amend the Agreement to extend the Termination Date.
NOW, THEREFORE, the parties agree as follows:
1. The Termination Date is hereby amended as set forth on the cover page.
2. Except as specifically amended by Amendment No. 1 and this Amendment No. 2, the remaining provisions of the Agreement shall remain in full force and effect.
