RECOMMENDATION
Staff recommends City Council approve a license agreement by and between the City of Beverly Hills and Camden 1, LLC, Camden 2, LLC, Camden 3, LLC, Camden 4, LLC, and Camden 5, LLC for the use of rooftop space at 433 North Camden Drive.
INTRODUCTION
The subject property consists of a 12-story office building located at the southwest corner of the S. Santa Monica Blvd./Camden Dr. intersection, often referred to as the Wells Fargo building due to the prominent identification signage on the building. The property is owned by Camden 1, LLC, Camden 2, LLC, Camden 3, LLC, Camden 4, LLC, and Camden 5, LLC (the “Owners”) and is managed by Starpoint Properties.
The City has proposed to license a portion of the rooftop at this location for the installation of certain equipment related to the operation of the Police Department’s small Unmanned Aerial Support (sUAS) program.
DISCUSSION
The Police Department utilizes sUAS to support police operations throughout Beverly Hills. The sUAS equipment is most effective from a high vantage point that has adequate space to accommodate the equipment’s required launch pad. The sUAS program is currently operated from the rooftop level of an existing City facility and the Police Department has identified 433 North Camden Drive as an ideal operational location for D-6
Meeting Date: September 12, 2022
the program given the height of the building, its central location in the Business Triangle, and available rooftop space.
The license agreement includes the following key terms:
The City, at no cost, shall have access to the rooftop space for the purpose of operating the sUAS program;
The Owners shall, at the City’s sole cost, perform minor building work to support the sUAS program equipment including the installation of necessary walk pads, electrical connections, and data service to the equipment area; The City may request to perform additional work to support the program, such work shall be subject to approval by the Owners and performed at the City’s sole expense; and
The agreement does not have an expiration date and shall continue until either party provides 120 days’ prior written notice to terminate.
FISCAL IMPACT
There are no reoccurring license fees associated with the agreement. The Owners and Starpoint Properties are allowing the City to use the space as a courtesy.
The City will be required to reimburse the Owners for the construction and installation costs associated with the use of the rooftop for BHPD drone communications equipment.
The initial work to support the use of the rooftop site for the sUAS program is currently estimated to cost between $25,000 and $30,000. This does not include the monthly cost of an AT&T service agreement for this site, which shall be contracted separately and paid for by the City. Any additional improvement work, whether performed by City contractors or the Owners shall be subject to the City’s standard purchasing/procurement processes.
The sUAS program is currently funded through the Police Department’s operating budget. Funding for the minor building work to support the equipment is available as part of the Police Department capital budget. No additional funding is requested at this time.

2. Until this Agreement is revoked (the “License Term”) pursuant to the terms of Section 3 hereinbelow, Owners hereby grant to the City a non-exclusive and revocable (pursuant to Section 3 below) license to use the Licensed Area (including the improvements described in Section 1) for the purpose of placing, constructing, installing, repairing, altering, replacing, maintaining and operating the Equipment (at the City’s sole cost). Such written notice may be given by StarPoint Property Management, LLC on behalf of Owner and by the City Manager on behalf of the City. The parties hereto do not intend to create a lease or any other interest in real property for the City through this Agreement, and the parties hereto only intend to create a license that is revocable (subject to the terms of this Section 3) by either the City or Owners.
4. The City shall use the Licensed Area solely for the Permitted Use as that term is defined in Recital B, and the City shall not use or permit the Licensed Area to be used for any other purpose or purposes whatsoever without the prior written consent of Owners, which may be withheld in Owners' sole discretion. The City shall not allow occupancy density of use of the Licensed Area which is greater than necessary to conduct the Permitted Use of the Licensed Area. The City shall not use or allow another person or entity to use any part of the Licensed Area for the storage, use, treatment, manufacture or sale of hazardous materials or substances as defined pursuant to any applicable federal, state or local governmental or quasi-governmental law, code, ordinance, rule, or regulation. The City shall not do or permit anything to be done in or about the Licensed Area which will in any way materially obstruct or unreasonably interfere with the rights of other tenants or occupants of the Building or injure or unreasonably annoy them, nor shall Tenant cause, maintain or permit any nuisance in or about the Licensed Area or the Building.
5. Owners shall provide the following services on all days during the License Term, unless otherwise stated below.

6. Interruption of Use. The City agrees that Owners shall not be liable for damages for failure to furnish or delay in furnishing any service or for any diminution in the quality or quantity thereof, when such failure or delay or diminution is occasioned, in whole or in part, by (i) repairs, replacements, or improvements, (ii) any strike, lockout or other labor trouble, (iii) inability to secure electricity, gas, water, or other fuel, (iv) any accident or casualty whatsoever, (v) act or default of the City or other parties, or (vi) any other cause beyond Owners' reasonable control; and, irrespective of the cause, such failures or delays or diminution shall never be deemed to constitute an eviction or disturbance of the City's use and possession of the Licensed Area. Owners shall not be liable under any circumstances for a loss of, or injury to, property or for injury to, or interference with, the City’s business, including, however occurring, through or in connection with or incidental to a failure to furnish any of the services or utilities as set forth in this Section 6. Owners may comply with voluntary controls or guidelines promulgated by any governmental entity relating to the use or conservation of energy, water, gas, light or electricity or the reduction of automobile or other emissions without creating any liability of Owners to the City under this Agreement.
7. Upon termination of this Agreement, the City shall promptly remove from the Licensed Area any and all Equipment and repair any damage caused by such removal, and the foregoing obligations shall survive such termination.
8. The City may not make any improvements, alterations, additions or changes to the Licensed Area (collectively, the "Alterations") without first procuring the prior written consent of Owners to such Alterations, which consent shall be requested by the City not DocuSign Envelope ID: AD65310A-7811-48CA-B37C-A4856A3608AA DocuSign Envelope ID: 4857FD4A-5D7C-4882-AB9C-8563A4673429 -5- B0785-0001\2674490v2.doc

The construction of the initial improvements to the Licensed Area shall be governed by the terms of the Owner’s Work, attached hereto as Exhibit C, and not the terms of this Section 8. The City will reimburse Owner for any and all expenses associated with completing the Owner’s Work after receipt of written demand for reimbursement enclosing reasonable evidence of the expenses. In the event the City orders any Alterations or repair work, beyond the Owner’s Work, from Owners or from a contractor selected by Owners, the charges for such work shall be deemed payable upon billing therefor, either periodically during construction or upon the substantial completion of such work, at Owners' option, provided Owner delivers written demand for payment to City with reasonable evidence of the charges. Upon completion of any work that is not Owner’s Work, the City shall deliver to Owners, evidence of payment, contractors' affidavits and full and final waivers of all liens for labor, services or materials. The City has inspected the Licensed Area and agrees to accept the Licensed Area "AS-IS," "WHERE-IS," and "WITH ALL FAULTS" on the date hereof, subject to the Owner’s Work.
