AGENDA REPORT
Meeting Date: November 7, 2023
Item Number:

To: Board of Directors, Parking Authority of the City of Beverly Hills From: Logan Phillippo, Real Property Development Manager Jonathan Gernes, Senior Management Analyst
Subject: APPROVAL OF THIRD AMENDMENT OF LEASE BY AND

BETWEEN THE PARKING AUTHORITY OF THE CITY OF BEVERLY
HILLS AND SOUTHWEST WINE & SPIRITS, LLC AT 447 NORTH
CAÑON DRIVE
Attachment: 1. Third Amendment of Lease

RECOMMENDATION
Staff recommends The Parking Authority Board of Directors approve the Third Amendment of Lease by and between The Parking Authority of the City of Beverly Hills and Southwest Wine & Spirits, LLC (the “Tenant”) for the property located at 447 North Cañon Drive.

INTRODUCTION
Southwest Wine & Spirits, LLC exercised a lease renewal option in 2022 extending the term from December 20, 2022 to December 19, 2027. The proposed amendment would establish the base rent schedule for the duration of this extension term.

DISCUSSION
The Parking Authority of the City of Beverly Hills entered into a lease agreement with Southwest Wine & Spirits, LLC’s predecessor-in-interest at 447 North Cañon Drive in September 2011. The lease was subsequently amended and assigned, with the Tenant exercising the first option term under the lease in 2022. The lease is scheduled to expire on December 19, 2027, unless further extended.

Per the terms of the lease, the Tenant has continued to pay monthly rent at the same rate immediately preceding the start of the option term whilst The Parking Authority and the Tenant reached a fair market rent determination. The proposed Third Amendment of Meeting Date: November 7, 2023

Page 2 of 2 ends

Lease addresses the monthly rent payable by the Tenant for the duration of the first option term and the rent owed beginning December 20, 2022. The key terms are as follow:
 Base rent shall be $41,008.40 per month beginning December 20, 2022 through December 19, 2023, with 3% annual increases beginning December 20, 2023; and
 The Tenant shall pay $105,765.18 upon its signature of the Third Amendment representing monthly rent outstanding from December 1, 2022 through November 30, 2023.

FISCAL IMPACT
The proposed lease amendment increases the rent payable to $41,008.40 effective December 20, 2022 and increases the rate by 3% annually thereafter. In total $2,612,629.80 would be collected in base rent during the five-year extension term. The Parking Authority would also continue to collect monthly operating expenses that are subject to annual adjustments based on annual changes in the Consumer Price Index (CPI).

There are no broker’s commissions associated with this lease amendment.
