Subject: LEASE BY AND BETWEEN THE CITY OF BEVERLY HILLS AND THE PALEY CENTER FOR MEDIA AT 444 NORTH REXFORD DRIVE
Attachment: 1. Lease
RECOMMENDATION
Staff recommends City Council approve a lease by and between the City of Beverly Hills and The Paley Center for Media at 444 N. Rexford Drive.
INTRODUCTION
The lease allows The Paley Center for Media (“Paley”) exclusive use of the ground floor room in the Beverly Hills Public Library known as the “Teen Zone” to provide free-ofcharge access to The Paley Library Collection, an archive of television and radio that spans more than a century of historic holdings and numbering over 160,000 titles.
DISCUSSION
Paley is a non-profit organization headquartered in New York that serves to promote discussion on the relevance and importance of television, radio, and other emerging platforms of media. It operated the Museum of Television and Radio at 465 N. Beverly Drive in 1996 and was later renamed The Paley Center for Media in 2007.
In 2020, the museum at 465 N. Beverly Drive closed. Paley subsequently entered into a two-year lease at the Beverly Hills Public Library for (i) a 192-square-foot study room for use as Paley staff offices and (ii) a 166-square-foot area just outside the study room for the purposes of providing the public with free-of-charge access to The Paley Library Collection. In 2022, that lease was extended for two additional years and expired on February 29, 2024. However, due to the pandemic and other factors, Paley did not move into the premises and the City continued to make the study room available for public use through the term of that lease.
Meeting Date: April 16, 2024
Paley has stated their intent to bring The Paley Library Collection to the Beverly Hills Public Library in 2024. After further assessing Paley’s program goals and utilization of the Library’s study rooms and other areas, staff has recommended using the Teen Zone to best accommodate Paley’s proposed programming while minimizing impacts to the Library. The space is larger, approximately 1,350 square feet, and enclosed. This allows Paley to place more consoles to access The Paley Library Collection and offer supplemental programming within their space. Additionally, the space offers better ways to visually distinguish the tenant’s own operations, which will include separate Paley staff and operating hours, discussed below.
Key Lease Terms
• Initial term of 5 years, with a nominal rent of $5.00 for the entire period • One extension term of 5 years, with additional $5.00 payment • Irrespective of the above term, the City may terminate at any time upon one year’s prior written notice to Paley
• While the scope of the Paley’s tenant improvements are in development, they will be subject to City approval at the City’s sole and absolute discretion and will be performed by Paley at Paley’s sole expense
• All of Paley’s tenant improvements will become the property of the City at the end of the lease term and the City will bear any costs to reconfigure the space to its condition prior to the construction of Paley’s approved tenant improvements, if the City desired to do so at that time in the future
• Cash security deposit of $27,000
• $650 monthly operating expense pass-through payment, reflecting Paley’s estimated share of electricity, janitorial services, and some as-needed service requests to building engineers. This amount will increase by 3% per year. Subject to a 10% cap/increase per year, the City reserves the additional right to adjust this estimated operating expense pass-through to match the City’s actual costs. • Paley may purchase up to 4 monthly parking passes at the 450 N. Cresent Drive structure at the prevailing parking structure rate, currently $105 per pass • Construction work or noisy work associated with Paley’s improvements must be performed outside of the Beverly Hills Public Library operating hours, unless otherwise approved by the City in writing
• Program requirements, discussed below
Program and Operating Requirements
Since the value to the City is through programming for the public and not through collection of rent, the lease describes various program and operating requirements Paley shall provide at its sole expense:
• Free-of-charge public access to The Paley Library Collection • A minimum of six desktop computers to access The Paley Library Collection • Installation of a librarian’s desk for up to two people (Paley staff) • Minimum operating hours of 6 hours per day, 5 days per week. Paley can set those hours so long as they fall within Beverly Hills Public Library operating hours; at least one Paley staff member must be present at those times • Supplemental free-of-charge programming such as screenings and educational classes for the public that showcase and explore media’s impact on culture and society
Meeting Date: April 16, 2024
• Paley shall not use the premises for private events, however, preregistration for public events to manage attendance is permitted
• Paley will collaborate with the City on an opening night ribbon-cutting event on an invitation-only basis
FISCAL IMPACT
The City would collect $5 in rent for the first five years and $5 for the extension term, if extended. Paley would also pay $650 per month (increased by 3% per year) for estimated usage of electricity, water, janitorial services, and related expenses. The City would not incur any direct costs. However, staff time would be required to review, approve, and coordinate Paley’s construction and administer Paley’s lease.

Assistant City Manager

LEASE
THIS LEASE (the “Lease”) is dated April 16, 2024, and is entered into by and between the CITY OF BEVERLY HILLS (“Landlord”), and THE PALEY CENTER FOR MEDIA, a 501(c)(3) corporation (“Tenant”).
RECITALS
A. Landlord owns the building at 444 N. Rexford Drive in Beverly Hills, California (the “Building”).
B. Landlord leased space in the Building to Tenant pursuant to a Lease dated February 18, 2020, as amended by an Amendment to Lease dated April 12, 2022 (the “Prior Lease”). Tenant never actually moved in and occupied that space and the Prior Lease has since expired.
C. Landlord and Tenant desire to enter into a new lease in a different area of the Building that is described on Exhibit “A” (“Premises”), without relieving Tenant of any obligations or liabilities that might exist under the Prior Lease.
NOW THEREFORE, in consideration of the foregoing recitals and the mutual promises contained herein, Landlord and Tenant agree as follows:
1. Conditions Precedent; Lease of Premises.
1.1 Conditions Precedent. Tenant may not occupy the Premises until Tenant delivers to Landlord certificate(s) of insurance in a form acceptable to Landlord for the insurance required under Section 8.3 below.
1.2 Demise. Subject to Section 1.1, Landlord hereby leases the Premises to Tenant, and Tenant hereby leases the Premises from Landlord, upon the terms hereafter set forth.
1.3 Parking. Tenant understands and acknowledges that the parking structure and facilities at 450 North Crescent Drive (the “Parking Facilities”) are currently intended to be utilized, and shall at all times (in Landlord’s sole and absolute discretion) be available and used as a public parking facility. Tenant’s employees shall have the right to purchase up to four (4) monthly parking passes from Landlord at the prevailing rates charged by Landlord for use of the Parking Facilities. Landlord shall have the right, in Landlord’s sole and absolute discretion, to modify or increase the charges for use of the Parking Facilities from time to time. Tenant shall have the right to use the Parking Facilities, on an unreserved basis, at the rate charged for parking by Landlord (or the owner of the Parking Facilities) from time to time. Landlord represents that the current monthly charge for one parking pass for the Parking Facilities is $105.00.
2. Term.
2.1 Term; Possession. The term of this Lease (the “Term”) shall commence on the date of this Lease and shall expire five (5) calendar years thereafter (i.e., on April 15, 2029) provided, however, that City shall have the right in its sole and absolute discretion to terminate DocuSign Envelope ID: A5FC55CB-C14E-4D80-89E8-FA470E51F9D5 -2-

this Lease at any time (including during the extension term described in Section 2.2 below) upon at least one (1) year’s prior written notice (time being of the essence in that regard).
2.2 Tenant Extension Option. Tenant shall have the right to extend the initial Term of this Lease by five (5) calendar years, provided Tenant gives Landlord at least two hundred seventy (270) days’ prior written notice of such extension (time being of the essence in that regard).
2.3 Condition of Premises. Tenant has inspected the Premises and is familiar with all aspects thereof. Tenant accepts the Premises in its existing “AS IS” condition, subject to all matters of record, without representation or warranty (express or implied).
A Certified Access Specialist (CASp) can inspect the subject premises and determine whether the subject leased premises comply with all of the applicable constructionrelated accessibility standards under state law. Although state law does not require a CASp inspection of the subject premises, the commercial property owner or lessor may not prohibit the lessee or tenant from obtaining a CASp inspection of the subject premises for the occupancy or potential occupancy of the lessee or tenant, if requested by the lessee or tenant. The parties shall mutually agree on the arrangements for the time and manner of the CASp inspection, the payment of the fee for the CASp inspection, and the cost of making any repairs necessary to correct violations of construction-related accessibility standards within the premises; however, Tenant hereby acknowledges and agrees that Landlord shall have no obligation whatsoever to agree to make or pay for any such repairs.
3. Rent.
3.1 Rent. Upon Tenant’s execution of this Lease, Tenant shall deliver the sum of $5.00 to Landlord as rent for the Term. All other sums payable under this Lease shall be additional rent. Should Tenant exercise its option to extend the Term under Section 2.2 above, it shall deliver an additional sum of $5.00 as rent for the extended Term, due promptly upon Tenant’s delivery to Landlord of the written notice of extension.
3.2 Place for Payment. All sums payable to Landlord under this Lease (collectively, “Rent”) shall be paid to Landlord in lawful currency of the United States at Landlord’s offices located at 455 N. Rexford Drive, Beverly Hills, California 90210, Attention:
Cashier, or at any other place or places that Landlord may designate by written notice to Tenant.
3.3 Security Deposit. Landlord currently holds the sum of $5,000 as a security deposit under the Prior Lease. Concurrently with its execution and delivery to Landlord of a counterpart original of this Lease, Tenant shall deliver an additional $22,000 to Landlord, and Landlord shall continue to hold such $5,000 sum, and shall also hold such $22,000 sum, for a total of $27,000 as the security deposit under this Lease (“Security Deposit”), as security for the faithful performance by Tenant of all the terms, covenants, and conditions of this Lease to be kept and performed by Tenant during the term hereof. If Tenant defaults with respect to any provision of this Lease, including, but not limited to the provisions relating to the payments, Landlord may (but shall not be required to) use, apply or retain all or any part of this Security Deposit for the payment of any additional rent or any other sum in default, or for the payment of any amount which Landlord may spend or become obligated to spend by reason of Tenant’s default, or to compensate DocuSign Envelope ID: A5FC55CB-C14E-4D80-89E8-FA470E51F9D5 -3-

Landlord for any other loss or damage which Landlord may suffer by reason of Tenant’s default.
If any portion of the Security Deposit is so used or applied Tenant shall, within five (5) days after written demand therefor, deposit cash with Landlord in an amount sufficient to restore the Security Deposit to its original amount and Tenant’s failure to do so shall be a default under this Lease.
Landlord shall not be required to keep the Security Deposit separate from its general funds, and Tenant shall not be entitled to interest on the Security Deposit. If Tenant shall fully and faithfully perform every provision of this Lease to be performed by it, the Security Deposit or any balance thereof shall be returned to Tenant within thirty (30) days following expiration of the Term. If Landlord transfers its interest in the Premises, Landlord shall transfer the cash Security Deposit to Landlord’s successor in interest. TENANT HEREBY WAIVES THE PROVISIONS OF SECTION 1950.7 OF THE CALIFORNIA CIVIL CODE AND AGREES THAT THE FOREGOING PROVISIONS OF THIS SECTION SHALL GOVERN LANDLORD’S USE AND RETURN OF THE SECURITY DEPOSIT.
4. Utilities and Common Area Building Expenses. Commencing on the date of this Lease, Tenant shall pay Landlord, as additional rent, the sum of $650.00 per calendar month (prorated for any partial month) subject to three percent (3%) annual increase, without demand, offset or deduction, on or before the first business day of each calendar month (prorated for any partial calendar month during the Term), for all electricity, gas, water, sewer, waste water services and other utilities for the Premises and for common area and building operation and maintenance costs (including janitorial services) (“Additional Rent”). Landlord reserves the right, at any time during the term of this Lease, to further increase Tenant’s required payment for such utilities and common area building expenses based on Landlord’s good faith estimate of actual expenses given in writing to Tenant; so long as such further increase(s) shall not increase the then-current Additional Rent by more than ten percent (10%) in any calendar year.
5. Possessory Interest Taxes. Tenant shall pay when due any possessory interest taxes assessed against Tenant’s possessory interest herein. (Tenant represents that Tenant’s operation is free and open to the public, such that Tenant believes Tenant currently qualifies for the Free Museum Property Tax Exemption pursuant to Revenue and Taxation Code Section 202 and Section 3(d) of Article XIII of the California Constitution.)
6. Use; Improvements; Compliance with Laws; Inspections.
6.1 Use; Hours. Tenant shall use the Premises only for providing all members of the public with access to the Paley Library Collection and supplemental programming, as more particularly described in Exhibit “B” (“Programming and Operating Requirements”). Tenant shall not use or permit the Premises to be used for any other purpose without the prior written consent of Landlord, which may be withheld in Landlord’s sole and absolute discretion.
Tenant shall comply with, and cause its guests, invitees, contractors, and employees to comply with, all of Landlord’s policies and procedures delivered or available to Tenant that relate to the Building, the Beverly Hills Public Library, or both, including, without limitation, (i) Landlord’s Public Internet Access Policy and Landlord’s Computer Usage Access and Rules, both of which are available to Tenant online at:
https://www.beverlyhills.org/departments/communityservices/beverlyhillspubliclibrary/contactus /libraryreportspolicies/, and (ii) all other rules and requirements imposed by Landlord and DocuSign Envelope ID: A5FC55CB-C14E-4D80-89E8-FA470E51F9D5 -4-

Landlord’s “Library Services Manager” or his or her designee that Landlord shall from time to time promulgate and/or modify (attached hereto in their current form as Exhibit “C”), provided however that Landlord shall not establish Rules and Regulations that unreasonably interfere with Tenant's occupancy, use or enjoyment of the Premises for the use of the Premises permitted by this Lease, or that detrimentally and materially alter Tenant's rights or obligations under this Lease. All such policies may be modified by Landlord from time to time
6.2 Improvements. Tenant shall not make or cause to be made to the Premises any addition, renovation, alteration, or reconstruction (collectively, “Improvements”) without first obtaining the written consent of Landlord, which consent shall be at Landlord’s sole and absolute discretion.
All improvements constructed or installed, including, but not limited to, any and all demising walls, doors, windows, hardware, or wayfinding signage shall be installed by Tenant at Tenant’s sole expense. All requests for Improvements shall be accompanied by complete sets of plans and specifications for the proposed Improvements suitable for submission to Landlord’s architect for evaluation and a statement of the identity of the contractor who will perform such Improvements. Tenant shall pay all reasonable out-of-pocket costs incurred by Landlord in the evaluation, as applicable, of the plans and specifications, including, but not limited to, Landlord’s general contractor’s, architects’ and engineers’ fees. Landlord shall have the right to approve the architect, contractors, subcontractors designing or performing such Improvements, which approval shall not be unreasonably delayed, withheld or conditioned and shall be granted or denied within fifteen (15) business days (provided that in any event Building standard subcontractors shall be used for work affecting structural portions, or base building mechanical and fire and life safety systems and utility systems so long as such subcontractors are competitively priced and reasonably available). All Improvements to be performed by Tenant in the Premises, including the delivery, storage and removal of materials, shall be reasonably scheduled through Landlord, and shall be performed in accordance with regulations imposed in good faith by Landlord. All Improvements shall be completed in a good and workmanlike manner and in accordance with all applicable Laws.
All Improvements shall be completed in accordance with the approved plans and specifications therefor. Promptly following the completion of any Improvements where the preparation of “asbuilt” plans would be customary for the particular Improvements performed, Tenant shall deliver to Landlord both a “hard” copy and a digital CAD-compatible format of the “as-built” plans and specifications (including all working drawings) for such Improvements. Promptly following the completion of any Improvements for which any governmental permit, approval or sign-off is required under applicable Laws, Tenant shall deliver to Landlord a copy of signed-off permits, inspection cards or other documentation evidencing governmental approval of completion of the work.
Tenant shall surrender the Premises with Tenant’s Improvements including, but not limited to, light fixtures, floor coverings and partitions, but excluding personal property, trade fixtures and signs, in place and upon surrender Tenant’s Improvements shall become the property of Landlord.
If Tenant shall make any permitted Improvements, Tenant shall carry “Builder’s All Risk” insurance in an amount reasonably determined by Landlord covering the construction of such Improvements. Any Improvements to the Premises which are required by reason of any DocuSign Envelope ID: A5FC55CB-C14E-4D80-89E8-FA470E51F9D5 -5-

future law, ordinance, rule, regulation or order of any governmental authority having jurisdiction over the Premises or the Building, or any future change in any such existing law, ordinance, rule, regulation or order, and which does not pertain to the structural portions of the Building or the Building Systems, shall be at the sole cost of Tenant. Any inspection by Landlord of such Improvements shall in no event constitute Landlord’s approval of the work so performed, nor shall Landlord be responsible for or have any liability with respect to such inspections. If Tenant’s Improvements trigger: (i) required improvements for disabled access (ii) any other required improvements to any other portion of the Building, such improvements shall be at Tenant’s sole cost. Landlord reserves the right to require Tenant to purchase furniture (including but not limited to tables, desks, chairs, lamps and other lighting) consistent with the design of the Beverly Hills Public Library and to approve Tenant’s furniture layout.
Tenant shall have the right to install one (1) sign next to the Premises upon first obtaining the written consent of Landlord, which consent shall be at Landlord’s sole and absolute discretion.
All of Tenant’s Improvements are a work of public improvement for which Tenant shall pay prevailing wages under California Labor Code 1720, et seq. (the “Prevailing Wages Laws”) and Tenant shall otherwise comply with such Prevailing Wages Laws in connection with all Tenant Improvements. Tenant shall defend, indemnify and hold Landlord harmless from and against any and all claims, liabilities, damages, losses, costs and expenses arising out of, caused by or relating to Tenant’s failure to comply with the preceding sentence.

Tenant, shall, at Tenant's sole expense, fully, diligently and in a timely manner, comply with all applicable laws, building codes, regulations, ordinances, rules, directives, covenants, or restrictions of record, the requirements of any applicable fire insurance underwriter or rating bureau, and the recommendations of Landlord's engineers and/or consultants which relate in any manner to the Premises (collectively, “Applicable Requirements”), without regard to whether such Applicable Requirements are now in effect or become effective hereafter.
6.4 Inspections. Landlord and Landlord's consultants shall have the right, but not the obligation, to enter into the Premises at any time, in the case of an emergency, and otherwise at reasonable times, for the purpose of (a) inspecting the condition of the Premises, and (b) verifying compliance by Tenant with this Lease.

7.2 Damage. Should, at any time during the Term, any material portion of the Premise be destroyed in whole or in part by fire, theft, the elements, or other such events, then either party may terminate this Lease by written notice given promptly thereafter.
8. Indemnity and Insurance.
8.1 Exculpation of Landlord. (a) The death or injury of any person, including any person who is an employee or agent of Tenant, or the damage to or destruction of any property, including property owned by Tenant or by any person who is an employee or agent of Tenant, from any cause whatsoever while such person or property is in the Premises; (b) Any work performed on the Premises or materials furnished to the Premises at the instance or request of Tenant or any person or entity acting for or on behalf of Tenant; or
(c) Tenant’s failure to comply with any requirement of law or any requirement imposed on Tenant or the Premises by any governmental agency or authority;
(d) Tenant’s failure to perform any of Tenant’s obligations under this Lease when and as required by the terms hereof.
The foregoing defense and indemnity obligations of Tenant shall not apply to acts of Tenant’s invitees/guests outside of the Premises provided such invitees/guests are not in the Building for the sole purpose of using the Premises, but are also in the Building for the purpose of using the Beverly Hills Public Library (which is also located in the Building).
8.3 Insurance.

9. Assignment and Subletting. Tenant shall not assign this Lease or sublet the Premises.
10. Default and Remedies.
10.1 Events of Default. Any of the following events shall constitute an “Event of Default” under this Lease:
(a) Tenant fails to make any payment of money called for by any provision of this Lease (whether to Landlord or any third party) when due, or to provide reasonable evidence of any insurance required by the terms of this Lease, or to fulfill any other obligation under this Lease that, by not being fulfilled, endangers or threatens life or property, where such failure continues for a period of five (5) business days following written notice to Tenant; or (b) Tenant fails to perform fully and when due any of its other covenants, conditions or obligations under this Lease and after written notice from Landlord specifying the nature of such failure of Tenant, Tenant (i) does not immediately commence taking all necessary and appropriate actions to remedy such failure, or (ii) does not thereafter diligently and continuously pursue all such remedial actions, or (iii) does not fully cure such failure within the minimum period of time reasonably required under the circumstances to achieve a cure, which DocuSign Envelope ID: A5FC55CB-C14E-4D80-89E8-FA470E51F9D5 -9-

minimum period shall be at least thirty (30) days after Landlord’s written notice of such failure, in any event within ninety (90) days after Landlord’s written notice of such failure, time being strictly of the essence; provided, however, that Tenant shall not be entitled to cure the breach of any covenant that is non-curable; or
(c) any voluntary or involuntary assignment, transfer or encumbrance of this Lease, or subletting, occurs in violation of Section 6; or (d) any right or interest of Tenant is subjected to attachment, execution, or other levy, or to seizure under legal process, which is not released within sixty (60) days; or (e) a receiver is appointed to take possession or control of Tenant’s operations on the Premises for any reason, including assignment for benefit of creditors or voluntary or involuntary bankruptcy proceedings; or
(f) Tenant makes a general assignment for the benefit of creditors or a voluntary or involuntary petition is filed by or against Tenant under any law for the purpose of adjudicating Tenant a bankrupt, or for extending time for payment, adjustment or satisfaction of Tenant’s liabilities, or for reorganization, dissolution or arrangement on account of or to prevent bankruptcy or insolvency, unless such assignment or proceeding, and all consequent orders, adjudications, custodies and supervisions are dismissed, vacated or otherwise permanently stayed or terminated within sixty (60) days after such assignment, filing or other initial event.
10.2 Remedies. Upon the occurrence of any Event of Default, and without the giving of any additional notice not otherwise required hereunder or by law, Landlord may exercise the following rights and remedies in addition to all other rights and remedies provided by law or equity, either cumulatively or in the alternative:
Terminate Tenant’s right to possession of the Premises by any lawful means, in which case this Lease shall terminate and Tenant shall immediately surrender possession of the Premises to Landlord. In such event Landlord shall be entitled to recover any amounts necessary to compensate Landlord for all the detriment approximately caused by Tenant's failure to perform its obligations under this Lease or which in the ordinary course of things would be likely to result therefrom, including the cost of recovering possession of the Premises, and reasonable attorneys' fees. Any notice required under Section 10.1 may be in the form required for an unlawful detainer action and any applicable grace period required by Section 10.1 and the unlawful detainer statute shall then run concurrently.
10.3 Landlord’s Performance of Tenant’s Obligations. If Tenant fails to perform any affirmative duty or obligation under this Lease within five (5) business days after written notice (or in case of an emergency, without notice), the Landlord may, at its option, perform such duty or obligation on Tenant’s behalf, including the obtaining of insurance policies, or governmental permits, licenses and approvals. The costs and expenses of any such performance by Landlord shall be due and payable by Tenant upon Landlord’s written demand. If any check given to Landlord by Tenant shall not be honored by the bank upon which it is drawn, Landlord, at its option, may require that all future payments by Tenant to Landlord be made by bank cashier's check.

10.4 Remedies Cumulative. The remedies given to Landlord in this Section shall not be exclusive but shall be cumulative with and in addition to all remedies now or hereafter allowed by law and elsewhere provided in this Lease, to the extent permitted by applicable law.
10.5 Waiver of Breach. The waiver by Landlord of any breach of Tenant of any of the provisions of this Lease shall not constitute a continuing waiver or a waiver of any subsequent breach by Tenant either of the same or a different provision of this Lease. No waiver, benefit, privilege or service voluntarily given or performed by either party shall give the other any contractual right by custom, estoppel or otherwise. The subsequent acceptance of rent pursuant to this Lease shall not constitute a waiver of any preceding default by Tenant other than default in the payment of the particular rental payment so accepted, regardless of Landlord’s knowledge of the preceding breach at the time of accepting the rent, nor shall acceptance of rent or any other payment after termination constitute a reinstatement, extension or renewal of the Term or revocation of any notice or other act by Landlord.
10.6 Landlord Default. Landlord shall not be in default under this Lease unless Landlord receives written notice of the default from Tenant, and thereafter fails to commence to cure the default within thirty (30) days thereafter, or fails to diligently prosecute the cure to completion.
11. Miscellaneous.
11.1 Tenant’s Duty to Surrender Premises; Landlord Election to Require Demolition. Upon the expiration or earlier termination of this Lease, Tenant shall surrender possession of the Premises to Landlord in good, safe and broom-clean condition, normal wear and tear excepted. All property that Tenant does not remove may be disposed of or retained by Landlord without liability or obligation to Tenant, and Tenant hereby waives all statutes and laws to the contrary.
11.2 Survival. Each obligation of Tenant’s obligations under this Lease that, by its nature, is to be, or may need to be, performed after the expiration or any earlier termination of this Lease shall survive such expiration or termination. Without limiting the generality of the preceding sentence, Tenant’s defense and indemnification obligations under this Lease shall survive the expiration or termination of this Lease.
11.3 Interest on Overdue Payments. All other sums of any nature that Tenant fails to pay to Landlord when due under any provision of this Lease or that Landlord pays to any third party on behalf of Tenant pursuant to any provision of this Lease shall bear interest from the date due to Landlord or paid by Landlord, as applicable (the “Due Date”), at the prime interest rate published from time to time by the Wall Street Journal plus two (2) percentage points (but in no event to exceed the maximum lawful rate).
11.4 Attorneys’ Fees. In the event either party brings a suit, action or other proceeding against the other party under or that in any way relates to or arises out of this Lease, the prevailing party (meaning the party that obtains substantially the relief sought by it) shall be entitled to have and recover from the other party all costs and expenses of the suit, action or DocuSign Envelope ID: A5FC55CB-C14E-4D80-89E8-FA470E51F9D5 -11-

proceeding, including reasonable outside attorneys' fees, from the commencement of the suit, action or proceeding through the entry of judgment.
11.5 Limitation on Landlord’s Liability. The obligations of Landlord under this Lease shall not constitute personal obligations of Landlord or its directors, officers, employees or affiliates, and Tenant shall look to the building, and not to any other assets of Landlord, for the satisfaction of any liability of Landlord with respect to this Lease, and shall not seek recourse against Landlord or its individual directors, officers, employees or affiliates, or any of their personal assets for such satisfaction.
11.6 Reservations by Landlord. Landlord reserves to itself the right, from time to time and without the consent or joinder of Tenant, to grant such easements, rights and dedications as Landlord may deem necessary, and to cause the recordation of parcel maps and restrictions, so long as such easements, rights, dedications, maps and restrictions do not unreasonably interfere with the use of the Premises by Tenant. Tenant agrees to sign any documents reasonably requested by Landlord to effectuate any such easement rights, dedication, map or restrictions.
11.7 Notices. All notices required or permitted by this Lease shall be in writing and shall be delivered by certified mail, with postage prepaid, or by reputable overnight delivery service (such as Federal Express). Until changed by a notice given in accordance with the provisions of this Section, the respective addresses of Landlord and Tenant for the purpose of receiving notices required or permitted by this Lease are as follows:

11.9 Counterparts. This Lease may be executed in counterparts, all of which together shall constitute one and the same document.
11.10 Partial Invalidity. Should any provision of this Lease be held by a court of competent jurisdiction to be either invalid, void, or unenforceable, the remaining provisions of this Lease shall remain in full force and effect unimpaired by the holding.
11.11 Entire Agreement. This instrument constitutes the sole and only agreement between Landlord and Tenant respecting the Premises, the leasing of the Premises to Tenant, and the other subject matter of this Lease, and correctly sets forth the obligations of Landlord and Tenant to each other as of its date. Any agreements or representations respecting the Premises, their leasing to Tenant by Landlord, or any other matter discussed in this Lease not expressly set forth in this instrument are hereby superseded and are null and void.
11.12 Use of Tenant Marks. Landlord acknowledges that Landlord shall not have the right to use names, symbols, emblems, designs, marks or colors of Tenant without the prior written consent of Tenant.
11.13 Memorandum of Lease. Concurrently with its execution and delivery of this Lease, Tenant shall concurrently execute and deliver to Landlord (for execution by Landlord and recording) a duly acknowledged counterpart of a Memorandum of Lease in the form attached hereto as Exhibit “D”. 1. Except as may be specifically provided in the Lease to which these Rules and Regulations are attached, no sign, placard, picture, advertisement, name or notice shall he installed or displayed on any part of the outside or inside of the Building (except within the Premises) without the prior written consent of Landlord. Tenant shall not place anything against or near exterior windows or doors which may appear unsightly from outside the Premises or which are visible from the exterior of the Premises (other than window coverings, other merchandise, professionally prepared signage, or displays consistent with Tenant's permitted uses of the Premises). Landlord shall have the right to remove, at Tenant’s expense and with 24 hours’ prior written or oral notice, any sign installed or displayed in violation of this rule.
2. Tenant shall not obstruct any sidewalks (except to the extent allowed by an outdoor dining permit issued by Landlord in its governmental capacity), halls, passages, exits, entrances, elevators, escalators or stairways of the Building. Landlord shall in all cases retain the right to control and prevent access thereto of all persons whose presence in the judgment of Landlord would be prejudicial to the safety and interest of the Building and its tenants. Neither Tenant nor any employee or invitee of Tenant shall go upon the roof of the Building.
3. Tenant shall cooperate with Landlord in maintaining the Common Areas. All cleaning and janitorial services for the Common Areas shall be provided exclusively through Landlord.

None of Tenant’s contractors or subcontractors shall be entitled to (1) display identification or other signage at the Building, (2) use the passenger elevators at the Building, or (3) park anywhere in the Parking Facilities except in the area designated by Landlord.

8. Except as permitted under the Lease, Tenant shall not use or keep in the Premises any kerosene, gasoline or inflammable or combustible fluid or material other than those limited quantities necessary for the operation or maintenance of equipment. Tenant shall not use or permit to be used in the Premises any foul or noxious gas or substance, or permit or allow the Premises to be occupied or used in a manner unreasonably offensive or objectionable to Landlord or other occupants of the Building by reason of noise, odors or vibrations; provided, however, that the Landlord acknowledges that as part of the permitted use and operation of a restaurant, there will be typical restaurant noise and possibly odors from the kitchen. Tenant shall not bring into or keep in or about the Premises any birds or animals; provided, however, the foregoing prohibition shall not apply to service or emotional support animals.
9. Tenant shall not use any method of heating or air conditioning other than that installed by Landlord, except for supplemental air conditioning systems installed in accordance with the provisions of the Lease.
10. Tenant agrees to cooperate fully with Landlord to assure the most effective operation of the Building’s heating and air conditioning and to comply with any governmental energysaving rules, laws or regulations. Tenant shall keep corridor doors closed.
11. Landlord reserves the right, exercisable upon thirty (30) days prior written notice to Tenant, to change the name and/or street address of the Building.

13. The toilet rooms, toilets, urinals, wash bowls and other apparatus shall not be used for any purpose other than that for which they were constructed and no foreign substance of any kind whatsoever shall be thrown therein. The expense of any breakage, stoppage or damage resulting from the violation of this rule shall be borne by the tenant who, or whose employees or invitees, shall have caused it.
14. Tenant shall not use the Premises for any business or activity other than that specifically provided for in this Lease.
15. Tenant shall not install any radio or television antenna, loudspeaker or other devices on the roof(s) or exterior walls of the Building. Tenant shall not interfere with radio or television broadcasting or reception from or in the Building or elsewhere.

Tenant shall repair any damage resulting from noncompliance with this rule.
17. Canvassing, soliciting and distribution of handbills or any other written material, and peddling in the Building are prohibited, and Tenant shall cooperate to prevent such activities. Notwithstanding the foregoing, Tenant may distribute handbills and other written material within the Premises.
18. Landlord reserves the right to exclude or expel from the Building any person who, in Landlord’s judgment, is intoxicated or under the influence of liquor or drugs or who is in violation of any of the Rules and Regulations of the Building.
19. Tenant shall store all its trash and garbage within its Premises or in other facilities provided by Landlord. Tenant shall not place in any trash box or receptacle any material which cannot be disposed of in the ordinary and customary manner of trash and garbage disposal. All garbage and refuse disposal shall be made in accordance with reasonable directions issued from time to time by Landlord.
20. Tenant shall comply with all reasonable safety, fire protection and evacuation procedures and regulations established by Landlord or any governmental agency.
21. Tenant’s requirements will be attended to only upon appropriate application to the Building management office by an authorized individual. Employees of Landlord shall not perform any work or do anything outside of their regular duties unless under special instructions from Landlord, and no employee of Landlord will admit any person (Tenant or otherwise) to any office without specific instructions from Landlord.
22. There shall be no smoking within the Building or immediately adjacent to Building entrances (except in areas, if any, designated therefor by Landlord).
23. Landlord may waive any one or more of these Rules and Regulations for the benefit of Tenant or any other tenant, but no such waiver by Landlord shall be construed as a waiver of such Rules and Regulations in favor of any other tenant.
24. These Rules and Regulations are in addition to, and shall not be construed to in any way modify or amend, in whole or in part, the terms, covenants, agreements and conditions of the Lease; provided, however, in the event of a conflict between these Rules and Regulations and the terms of the Lease, the terms of the Lease shall govern and control.

26. Tenant shall be responsible for the observance of all of the foregoing rules by Tenant’s employees, agents, customers, invitees and guests.
