RECOMMENDATION
The City Attorney recommends that the City Council:

1. Approve an Agreement between the City of Beverly Hills and Greenberg Glusker Fields Claman & Machtinger LLP, for special counsel services related to the negotiation of the development agreement for the proposed 9600 Wilshire Blvd Specific Plan (Saks Project); and

2. Approve a corresponding purchase order in the not-to-exceed amount of $600,000.

INTRODUCTION
The City previously entered into an Agreement with Greenberg Glusker Fields Claman & Machtinger LLP, (“Greenberg”) to provide special counsel services in connection with negotiation of the past several development agreements. The City would like to enter into a new agreement with Greenberg to reflect Greenberg’s latest rates and to engage Greenberg to assist in the negotiations with regard to the Saks Project.

DISCUSSION
Greenberg assists the City’s Ad Hoc Committee, comprised of two City Councilmembers and senior staff, in representing the City in the negotiation of development agreements, with a focus on optimizing the value of community benefits. Greenberg typically represents real estate developers and brings the perspective of the private sector to the City’s negotiations.

The Greenberg team will be led, as always, by Bob Baradaran. Mr. Baradaran has over 25 years of experience in the real estate industry acting as outside counsel to developers and investors across the U.S. in virtually every commercial real estate product type (i.e. multi-family, mixed-use, hospitality, office, retail and industrial), executing on equity and debt investments totaling in excess of $15B.

FISCAL IMPACT
Invoices for Greenberg are paid from a developer funded escrow account. There is no fiscal impact on the City’s budget.
