INTRODUCTION
This report provides a summary of the amendments to the City of Beverly Hills Community Charitable Foundation (“Foundation”) By-Laws adopted by the Foundation’s Board of Directors on March 25, 2025.

DISCUSSION
On March 25, 2025, the City of Beverly Hills Community Charitable Foundation Board of Directors adopted amendments to Section 4.A (Qualifications, Selection and Term of the Office of Directors) of Article VI (Directors) of the Amended and Restated By-Laws (“By-Laws”).

Section 4.A of the By-Laws previously provided that three of the five Director positions on the Board shall be filled by the (i) Vice Mayor; (ii) a Councilmember chosen by the Mayor and ratified by the City Council; and (iii) the City Treasurer. The amendment revised the manner in how the two members of the City Council are selected. Revised Section 4.A states that two Councilmembers selected by the Mayor shall fill the two Director positions. The Mayor’s appointments are not required to be ratified by the City Council. Notwithstanding, any councilmember may call up for review the Mayor’s appointments. In such case, the City Council shall either ratify the appointments or instead select other councilmembers to serve in lieu of members appointed by the Mayor.

The two councilmembers shall serve for a term that is concurrent with the term of the Mayor that appointed those councilmembers to the Board. This is consistent with the current bylaws in that these two director positions are annual positions. New language was added to provide that Councilmember Directors will continue to serve until his or her successor is appointed. As the City rotates the Mayor position annually, this allows continuity until new councilmembers are appointed or the current councilmembers are reappointed.

FISCAL IMPACT
None.
