RECOMMENDATION
Staff recommends that City Council waive the bidding requirements and approve Amendment No. 1 to the agreement with Throne Labs, Inc. for temporary restroom trailer units at Will Rogers Park and approve a change purchase order in the amount of $39,900 for a total not-to-exceed amount of $127,900 for Fiscal Year 2025-26.
INTRODUCTION
The existing restroom facility at Will Rogers historic park was constructed in the 1980s and had not been updated to provide access to the public per the Americans with Disabilities Act (ADA), and the building was also undersized and did not meet the high use demand. The Will Rogers renovation project was approved by City Council during the 2024-2025 budget process and broke ground in March 2025.
DISCUSSION
It was anticipated that the Will Rogers restroom construction would take approximately seven months to construct. Due to the high level of attraction to Will Rogers Park and its foot traffic, it was imperative to have a temporary facility that would uphold the City’s standards in cleanliness, accessibility, and safety. A traditional temporary facility would not be able to provide the level of upkeep and safety without constant monitoring from

staff. Throne Labs was able to provide a temporary facility that included remote monitoring with staff available 24/7 to provide maintenance and cleaning of the facility. Users of the facility are also tracked via a tap card or a mobile application. This has allowed staff to monitor the usage of the facility and track any bad actors that deface the facility. Lastly, having controlled access to the facility has also provided an added level of security to users.
At the time of bidding, cost comparison between traditional temporary facility and Throne Labs temporary facility, including cost associated with installation, rental and maintenance, was done. It was determined that labor required for direct sewer connection, power and water supply connection, maintenance and site restoration after traditional temporary facility returns, outweigh the cost of Throne Labs facility and maintenance service. It was also concluded that there were no comparable suppliers offering the combination of features and solutions listed in Throne Labs Sole Source Justification Letter, required to provide the temporary facility that would uphold the City’s standards in cleanliness, accessibility, and safety. For these reasons and since the original agreement was under the $100,000 threshold with City Manager’s approval, staff entered into a single source contract with Throne Labs following Beverly Hills Municipal Code (BHMC) Section 3-3-112(H) allowing exemption to the City’s bidding requirements.
The construction of the restroom has taken longer than anticipated due to several unforeseen site conditions, and Throne Labs’ agreement is close to expending its consideration. An amendment to the contract to extend the rental period is in the best interest of the City to continue public use of the restroom facilities until the completion of the project by the end of December.
FISCAL IMPACT
Funds are currently available in the Capital Improvement Project Fund 560 for this expenditure.

PARK PUBLIC RESTROOM REPLACEMENT PROJECT
This Amendment No. 1 is to that certain Agreement between the City of Beverly Hills (hereinafter called "CITY") and Throne Labs, Inc. (hereinafter called "CONTRACTOR") dated February 13, 2025, and identified as Contract No. 62-25 (“Agreement”).
RECITALS
A. CITY and CONTRACTOR entered into the Agreement for two portable restroom trailer units and maintenance services for Will Rogers Memorial Park during construction of replacement restroom facilities.
B. CITY and CONTRACTOR desire to amend the Agreement to increase the consideration due to a revised construction timeline.
NOW, THEREFORE, the parties agree as follows:
Section 1. The CONSIDERATION shall be amended as set forth above.
Section 2. Exhibit B, “Schedule of Payment and Rates”, is hereby amended as attached hereto and incorporated herein.
Section 3. Except as specifically amended by this Amendment No. 1, the remaining provisions of the Agreement shall remain in full force and effect.

EXHIBIT B
SCHEDULE OF PAYMENT AND RATES
CITY shall compensate CONTRACTOR for the satisfactory performance of the work described in Exhibit A in an amount not to exceed One Hundred Thirteen Thousand Seven Hundred Dollars ($113,700.00) for all labor, materials, taxes, and expenses at the rates set forth in Attachment 1 to Exhibit B.
A contingency in an amount not to exceed Fourteen Thousand Two Hundred Dollars ($14,200.00) is for additional, unforeseen, and unanticipated work outside the Scope of Work described in Exhibit A shall not be undertaken without the express direction by CITY in writing. Compensation for said additional work shall be mutually agreed upon by CITY and CONTRACTOR in writing.
In no event shall this Agreement total exceed One Hundred Twenty-Seven Thousand Nine Hundred Dollars ($127,900.00).
CONTRACTOR shall submit to CITY a detailed invoice, on a monthly basis or less frequently, for the services performed pursuant to this Agreement. Each invoice shall itemize the services rendered during the billing period and the amount due. Within 30 days of receipt of each invoice, CITY shall pay all undisputed amounts included on the invoice. CITY shall pay CONTRACTOR said Consideration in accordance with the schedule of payment set forth in this Exhibit.
