RECOMMENDATION
Staff recommends City Council approve the Second Amendment of License Agreement with Miller-DM, Inc. DBA Mercedes Benz of Beverly Hills (the “Licensee”) at 348 Foothill Road.
INTRODUCTION
The City’s license agreement with Miller-DM, Inc. DBA Mercedes Benz of Beverly Hills expires January 10, 2026, and the proposed second amendment increases rent and extends the term to a month-to-month basis.
DISCUSSION
The City of Beverly Hills initially entered into a license agreement with the Licensee’s predecessor-in-interest Jardine California Motors Limited in July 2004. The Licensee utilizes 348 Foothill Road for parking. The agreement has been subsequently amended and extended to now expire on January 10, 2026. There are no options to further extend the term.
The proposed Second Amendment to License Agreement has the following key terms:
• Term: Effective January 11, 2026, the license agreement shall operate on a monthto-month basis, whereby either the City of Beverly Hills or Licensee may terminate the agreement upon thirty (30) days prior written notice; and • License Fee: Effective January 11, 2026, the monthly license fee shall be $15,000, and increase by 3% on each anniversary thereafter.

FISCAL IMPACT
The proposed Second Amendment of License Agreement increases the monthly license fee payable to $15,000 beginning January 11, 2026, and provides for annual 3% increases beginning on January 11, 2027, and each anniversary thereafter.
There is no broker commission payment associated with this Second Amendment of License Agreement and there is no tenant improvement allowance.

SECOND AMENDMENT OF LICENSE AGREEMENT
THIS SECOND AMENDMENT OF LICENSE AGREEMENT (this “Amendment”) is dated as of ________________, 2025, and is entered into by and between the CITY OF BEVERLY HILLS, a California municipal corporation (“Licensor”), and MILLER-DM, INC., a Delaware corporation (dba “MERCEDES BENZ OF BEVERLY HILLS”) (“Licensee”).
R E C I T A L S
A. Licensor and Licensee’s predecessor-in-interest (Jardine California Motors Limited, a California corporation) entered into that certain License Agreement dated July 6, 2004 and Licensor and Licensee amended it by an Amendment of License Agreement dated January 11, 2024 (the “Agreement”).
B Pursuant to the Agreement, Licensor agreed to license to Licensee a portion of that certain real property described as the “East Premises” in such License Agreement, located at 348 North Foothill Road in the City of Beverly Hills, County of Los Angeles, State of California as more particularly described in the Agreement (the “Premises”).
C. Licensor and Licensee now desire to further amend the Agreement as hereinafter set forth.
A G R E E M E N T
NOW, THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee agree as follows:
1. Term. On January 11, 2026, the Agreement shall become a month to month Agreement/tenancy, terminable upon thirty (30) days’ prior written notice by one party to the other, and all of the terms of the Agreement as modified by this Amendment, shall apply to the extension and such month-to-month tenancy.
2. Monthly License Fee; Annual Adjustments. Commencing on January 11, 2026, the monthly license fee under the Agreement shall increase to FIFTEEN THOUSAND AND NO/100 DOLLARS ($15,000.00) per month, payable in advance on the first business day of each calendar month without prior demand and without offset or deduction (prorated for any partial calendar month), and such monthly sum shall be increased as of each anniversary thereof by three percent (3%).
3. Counterparts. This Amendment may be executed in any number of counterparts, each of which, when executed and delivered, shall be deemed to be an original, and all of which, taken together, shall be deemed to be one and the same instrument.
4. Time of the Essence. Time is of the essence of every provision hereof in which time is a factor.
5. DocuSign. The parties may use DocuSign to execute and deliver this Amendment.
