RECOMMENDATION
Staff recommends the Parking Authority Board of Directors approve the Eighteenth Amendment of Lease by and between the Parking Authority of the City of Beverly Hills and Lucerne Hardware Co. (the “Tenant”) for the property located at 333 North Crescent Drive.

B. The Lease affects a portion of the building located at 333 North Crescent Drive, Beverly Hills, California (the “Property”).

C. Landlord and Tenant now desire to further amend the Lease as provided herein.

A G R E E M E N T
NOW, THEREFORE, in consideration of the foregoing recitals, which are incorporated herein by this reference, the rents to be paid hereunder and of the covenants and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Landlord and Tenant hereby agree as follows:

1. Monthly Rent. Commencing on January 1, 2027, the monthly rent payable under the Lease shall be Eight Thousand Thirteen Dollars and Six Cents ($8,013.06) per month and shall thereafter increase annually by changes in the CPI (further described below).

2. CPI Rent Adjustment. On January 1, 2028, and each anniversary thereof (each, an “Adjustment Date”), the Base Monthly Rent shall be adjusted as follows:

The base for computing the adjustment is the Consumer Price Index for All Urban Consumers, not seasonally adjusted for the Los Angeles-Long Beach-Anaheim, CA Area, published by the United States Department of Labor, Bureau of Labor Statistics (“Index”), which is published for the twenty-seventh month preceding that Adjustment Date (“Beginning Index”). If the Index published for the third month preceding that Adjustment Date (“Extension Index”) is less than or equal to the Beginning Index, the Monthly Base Rent shall not be adjusted, and the Monthly Base Rent shall remain the same as in effect immediately prior to that Adjustment Date. If the Extension Index is more than the Beginning Index but less than one hundred five percent (105%) of the Beginning Index, the Monthly Base Rent shall be adjusted to an amount determined by multiplying the Monthly Base Rent in effect immediately prior to that Adjustment Date by a fraction, the numerator of which is the Extension Index and the denominator of which is the Beginning Index. However, in no event shall Base Monthly Rent decrease, and in no event shall cumulative increases over any two years exceed five percent (5%) of the Base Monthly Rent in effect prior to the applicable two-year period. If the Extension Index is equal to or more than one hundred five percent (105%) of the Beginning Index, the Monthly Base Rent shall be adjusted to an amount equal to one hundred five percent (105%) of the Monthly Base Rent in effect immediately prior to that Adjustment Date.

If the Index is changed so that the base year differs from that used for the Beginning Index, the Index shall be converted in accordance with the conversion factor published by the United States Department of Labor, Bureau of Labor Statistics. If the Index is Docusign Envelope ID: 853B47C2-B62B-432D-B2C8-A6CA11DD0CEB -3-

discontinued or revised during the term, such other government index or computation with which it is replaced shall be used in order to obtain substantially the same result as would be obtained if the Index had not been discontinued or revised.

3. Extension of Term. The term of the Lease is hereby extended to December 31, 2033. Tenant shall not have any right to further extend the term.

4. Assignment and Subletting. Tenant shall not assign the Lease or sublet the Premises without the Landlord’s prior written consent, in its sole and absolute discretion.

5. Waiver of Relocation Benefits. Tenant shall take full responsibility for moving all personal and business assets, furnishings, fixtures, equipment and personal property, from the leased premises upon the expiration of the Term or any earlier termination of the Lease pursuant to the terms hereof, and for any resulting loss of business goodwill and going out of business expenses (the “Relocation”). Landlord shall not have any obligation to provide assistance to Tenant in connection therewith under the Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970 (42 U.S.C. 4601 et seq.), if applicable, or under Title 1, Division 7, Chapter 1 of the Government Code of the State of California (Section 7260 et seq.), or any similar and applicable local laws or regulations. In connection therewith, and to the fullest extent permitted by law, Tenant further agrees that, effective upon the expiration of the Term or any earlier termination of this Lease pursuant to the terms hereof, Landlord shall be, and hereby is, fully and forever released from any and all claims and liabilities, whether direct or indirect, known or unknown, foreseen or unforeseen, that have arisen, or that may arise, in connection with the Relocation. By such release, Tenant expressly waives the provisions of California Civil Code Section 1542 that provide:
“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS

THAT THE CREDITOR OR RELEASING PARTY DOES NOT

KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT

THE TIME OF EXECUTING THE RELEASE AND THAT, IF

KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY

AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR
OR RELEASED PARTY.”
Tenant understands that, by waiving these provisions, Tenant waives the right to make claims against Lessor for matters pertaining to the Relocation that are presently unknown or unanticipated.

7. Continuing Effect. Except as specifically modified hereby, the Lease shall remain unaffected and unchanged by reason of this Amendment. The Lease is hereby ratified and affirmed by Landlord and Tenant and remains in full force and effect as modified hereby.

8. Memorandum of Amendment of Lease. Upon its execution and delivery of this Amendment, Tenant shall concurrently execute and deliver a duly acknowledged counterpart of the Memorandum of Amendment of Lease in the form attached hereto as Exhibit “A”.
