RECOMMENDATION
Staff recommends that City Council approve Amendment No. 1 to the agreement with Liftech Elevator Services, LLC (formerly Liftech Elevator Services, Inc.) for ongoing/regular and as-needed maintenance service for City elevators and lifts.
INTRODUCTION
The City provides building maintenance services for more than 65 buildings and facilities totaling approximately 3.2 million square feet. These services are delivered through a combination of City Facilities Services staff, ongoing maintenance agreements, and capital improvement projects administered by the Public Works Department.
Following a competitive selection process, City Council approved an agreement with Liftech Elevator Services, Inc. ("Liftech") (Agreement No. 497-22) in 2022 for maintenance services for City elevators and lifts. The agreement includes ongoing/regular maintenance and as-needed repair services.
Over the past several years, several major repairs and equipment replacements have also been completed under the agreement to minimize service disruptions at City facilities, parking structures, and City-leased tenant locations and to maintain elevator operations.
While routine maintenance was anticipated under the agreement, these major repairs and

equipment replacements were not originally contemplated when the agreement amount was established.
Accordingly, an amendment is needed to fund continued ongoing/regular and as-needed maintenance services through the final year of the agreement, Fiscal Year 2026-27.
DISCUSSION
The maintenance agreement provides ongoing maintenance and as-needed repair services for the City's vertical transportation equipment, including 56 elevators, three escalators, six wheelchair lifts, and one dumbwaiter located at Greystone Mansion.
Liftech performs work throughout the City, including City-owned and City-occupied facilities such as City Hall, the Library, the Police Department, parking structures, and Cityleased tenant spaces. The contractor provides one full-time dedicated elevator mechanic who performs scheduled preventive maintenance and responds to unplanned repair needs on an as-needed basis. The agreement also establishes maintenance frequencies, reporting requirements, and performance standards. Examples of as-needed maintenance performed during Fiscal Year 2025-26 are provided in Attachment 2.
In addition to routine as-needed maintenance, Capital Improvement funding has been utilized to complete major repairs and equipment replacements under the agreement over the past several years. Much of this work was time-sensitive and necessary to restore elevators to service. Because these major repairs and replacements were not anticipated when the agreement amount was originally established, the remaining contract balance is sufficient to fund only the first three months of Fiscal Year 2026-27. The proposed amendment will provide funding for the remaining nine months of the fiscal year.
Attachment 3 summarizes major capital repair work completed during Fiscal Year 2025-26.
Separately, the Architectural Services Division administers the City's elevator modernization program through individual Capital Improvement Projects. The modernization schedule is based on the anticipated lifecycle of each elevator and lift. Staff is currently reviewing this schedule to determine whether adjustments to project priorities or timing are warranted.
The proposed amendment will fund ongoing/regular and as-needed maintenance services through June 30, 2027, the expiration date of the current agreement. Staff anticipates conducting a competitive procurement during Fiscal Year 2026-27 to ensure a new maintenance agreement is in place before the current agreement expires.
FISCAL IMPACT
The proposed amendment would add $754,000 to the existing agreement consideration of $3,349,329, for a new total agreement consideration of $4,103,329 to support the remaining term of the current agreement to June 30, 2027. This amount was calculated based on the following:
$413,050.77 indicates the amount needed for on-going/regular maintenance at the monthly rate of $45,894.53;
$41,305.08 used to indicate a 10% contingency for ongoing/regular services; Meeting Date: August 11, 2026
$49,644.15 used to indicate the projected consideration amount for “as-needed” maintenance services (e.g. overtime call-backs, parts and materials); and $250,000 used to indicate a value for any major repairs or upgrades needed to be funded out of CIP 00937 City Elevator Replacement and Upgrades.
CIP 00937 contains funding in Fund 405 for elevator modernizations. During the zerobased budget CIP process, funding was allocated for elevator modernizations, but not for large replacement and upgrades to elevator components that are needed outside of the modernization process. To provide adequate funding for such projects, staff is requesting a transfer of $250,000 from Fund 405 in CIP 00811 Major Building Systems Maintenance and Replacement under sub-CIP 811.002 (Ongoing Repairs and Maintenance—Facilities) to Fund 405 in CIP 00937 to cover any large replacements or upgrades, like those described earlier and in Attachment 3, that may be needed this fiscal year. Staff will work with the Finance Department to establish a CIP Sub-Program for these projects in CIP 00937.
Funding for the amendment to cover Fiscal Year 2026-27 comes from the Facilities Services (Fund 405) and Parking Services (Fund 810) operating budgets and existing CIP funds, so the amendment does not require additional appropriations.

CITY on a monthly basis for the Basic Fee for the prior month’s Services under this Agreement. CITY shall pay the Basic Fee to CONTRACTOR within thirty (30) days of CITY’s receipt of each invoice from CONTRACTOR. The Basic Fee may be increased or decreased as the result of (i) a change to the Scope of Services that must be approved by the City Manager or designee in writing, (ii) the addition or deletion of any Properties or Units pursuant to Section 2 below, or (iii) an annual adjustment pursuant to Section 3 below.

If the scope of the engagement changes or the cost of the engagement will exceed the not-to-exceed amount, then the CONTRACTOR shall obtain written permission from CITY or CITY shall execute a change to the IPO at the discretion of CITY.
c. Withholding of Payments. Failure by CONTRACTOR to provide Basic Services or Extra Services in accordance with this Agreement or Amendment, or failure by CONTRACTOR to comply with any provision of said documents in its performance of the Basic Services or Extra Services, shall entitle CITY (in addition to any other remedies CITY may have) to withhold payments due to CONTRACTOR as CITY deems necessary in CITY’s reasonable discretion.
2. Addition or Deletion of Properties or Vertical Transportation Equipment. Either or both Properties and Units of Vertical Transportation Equipment may be added at any time during this Agreement term pursuant to a written request agreed upon by CITY and CONTRACTOR.
The request shall address the price adjustment and changes to the Rate Schedule attached to the subject Units. The deletion of Properties or Units shall proportionally reduce the Basic Fee for the applicable Property, and the addition of Properties or Units shall proportionally increase the Basic Fee for the applicable Property.
3. Adjustments to the Rate Schedule. The Rate Schedule set forth above in this Exhibit (the “Original Rate Schedule”) contains the “Regular Billing Rates” for all Services under this Agreement until the Rate Schedule is adjusted in accordance with this Section 3. The Rate Schedule is subject to annual adjustments upon the request of either CONTRACTOR or City Manager or designee in accordance with the following procedure. a. Adjustment Procedure. At least 90 days prior to the start of the fiscal year (July 1, starting on July 1, 2023), CONTRACTOR or CITY may request an annual rate adjustment. CITY will ask for additional information if needed. CITY shall review and approve or disapprove of such request in writing.
b. Maximum Allowable Annual Increase. Notwithstanding any other provision of this Agreement, the maximum allowable increase or decrease for any one year period during the term of this Agreement (and any extension of the term), shall be a maximum of three percent (3%) for the labor costs upon giving CITY ninety (90) days’ prior written notice.
This maximum increase/decrease limitation shall apply to adjustments to both (1) the Basic Fee for each Property reflected in the Vertical Transportation Equipment Listing Table shown in Attachment 1 to Exhibit A and (2) the Rate Schedule.

4. Extra Services Billing Procedure: Within 15 business days of the end of each month during this Agreement Term, CONTRACTOR shall provide CITY with an invoice for the amount of Extra Services, if any, performed during the month. The Extra Services charges shall be broken down for Elevator location and car number and purchase order number. If travel time is included, CONTRACTOR shall provide backup documentation for such travel time if requested by CITY. CITY will not accept lump sum invoices without such breakdown. If CONTRACTOR fails to provide the invoice for Extra Services to CITY within 15 days of the end of each month during this Agreement term, CITY shall receive a discount for each day thereafter that CONTRACTOR fails to provide the invoice, equal to five percent (5%) of the amount payable for Extra Services included in the invoice. All Extra Services invoices must have a signature of the approved account representative for the applicable units under Agreement (from the applicable CONTRACTOR Account Manager listed on the list of CONTRACTOR’s Approved Personnel, Attachment 3 to Exhibit A), indicating that the invoice has been reviewed prior to being sent to CITY.
5. Billing Errors: CONTRACTOR agrees to give notice to CITY within five (5) business days of CONTRACTOR’s discovery of any instance where the amount invoiced to CITY by CONTRACTOR was incorrect or inaccurate. CONTRACTOR’s failure to notify CITY in accordance with this Section shall entitle CITY to terminate this Agreement as provided in Section 14 of the Agreement.
6. Dates for Billing Purposes. For purposes of billing for Services performed under this Agreement or adjustments to the Basic Fee or Rate Schedule set forth herein, the following terms shall have the following meanings:
a. Commencement Date: The Commencement Date of Services under this Agreement shall be the “Commencement Date” set forth in CITY’s written Notice to Proceed to CONTRACTOR.
b. Anniversary Adjustment Date: The “Anniversary Adjustment Date” shall be no more than one time per calendar year. Only adjustments occurring on or after July 1, 2023 shall be applicable.
