to system components will require the scheduling of webTrader Service unavailability , including monthly inter-site transition drills and service pack/release upgrades. OATI will pre-arrange a designated time period to perform Scheduled Outage events with Customer to accommodate business circumstances following reasonable practices with the attempt to limit Scheduled Outage periods to a minimal extent. OATI will take reasonable efforts not to extend a Scheduled Outage for more than a 30-minute length of time. An estimate of a Scheduled Outage will be provided to Customer at least 24 hours prior to a Scheduled Outage of up to one (1) hour in length and at least 48 hours prior notice will be provided for any Scheduled Outage of greater than one (1) hour in length. b. Unscheduled Outage. Operational events due to unforeseen misoperations or malfunctions of system components or functions can occur. OATI has included hardware and software components in the operations environment that provide redundancy for critical components and allow continuous operations. This environment will significantly reduce the number of webTrader Service interruptions due to Unscheduled Outage occurrences. OATI will take reasonable effort to expeditiously resolve the cause of an Unscheduled Outage and prevent a recurrence of an event and will return the service as soon as practicable.

Section 1.03. OATI Standard Support. OATI will provide support to webTrader Service 24 hours per day and 365 days per year by utilizing a single point of contact support staff. During Normal Business Hours the support staff can be contacted by telephone [763.201.2020] or by e- mail [[email protected]] as outlined in published OATI support contact information. All critical issues should be reported to OAIT via telephone at 763.201.2020. OATI will take all reasonable effort to ensure that the reported webTrader Service availability event or other Customer support related event is responded to within 30 minutes of the event notification when OATI published support procedures are followed. Emergency or critical issues must be reported by telephone to the OATI Help Desk at 763.201.2020.

OATI has implemented a three (3) tier after-hours emergency notification mechanism that provides a first point of contact for problem resolution or diagnostics. The second tier contact is for usage either by the contact representative for call escalation or by the tier-1 support professional for technical assistance. Tier-3 support is used primarily for environmental type of events that include system hardware failure, system software problems typically outside of the business application software functionality, electric energy supply interruptions, HVAC malfunctions or any other system, building, or other event that impacts System availability.

Section 1.04. Problem Resolution. Production environment issues or outages are reported to OATI by following OATI problem reporting processes. All issues or outages are assigned a severity level by mutual agreement of the parties. Issues which are considered Critical in severity should be reported to OATI via telephone at 763.201.2020. Issues considered High in severity can be reported to the OATI Help Desk via the support telephone number and in the online webSupport. Issues considered Medium or Low severity should be reported via the online webSupport tool only. The severity level classifications are defined as follows:

Critical: Issues that result in a critical feature or function becoming unavailable to the user and customer business is being impacted immediately. This includes drastic program or system errors such as application failures (exceptions), inability to perform data transfers, failure to access databases, and the inability to display information to the users, which makes the software unusable, and there is no workaround available.

As much as practical, OATI will place customizations into the base OATI webTrader product.

Section 2.02. Industry Standards Compliance. OATI systems are in many cases designed and implemented to be compliant with industry standards set by the FERC , NERC, NAESB, other industry or governmental organizations, or information service providers. From time to time standards are modified to meet new industry business requirements and OATI will modify webTrader Service to meet the modified standards. OATI will take reasonable efforts to implement changes to industry standards and meet required industry implementation timelines and hold Customer cost to a minimum to maintain compliance and schedule. a. Minor Compliance Changes. OATI will perform a reasonable amount of webTrader Service modification to meet changes to industry standards that are generally agreed to by the industry as a usability enhancement, a minor enhancement to current application requirement, or a correction to a known bug or misunderstanding of industry standard implementation at no cost to Customer. Such items will be integrated into Customer’s system at no additional charge to Customer.
b. Substantive Compliance Change. Changes to industry standards that are generally agreed to by the industry as substantive changes to the functionality of a specific standard or the functionality of the system or service provided by an external market operator or information service provider, a significant change to the operation of an application that implements an industry standard or external system or service, or requires the replacement of a critical technology component of an application that implements an industry standard or interfaces to an external system or service may result in a monetary charge to Customer if continued compliance with the specific industry standard is deemed necessary. OATI will inform Customer within a reasonable time prior to the occurrence of an industry standard change or modification required to webTrader Service due to a change in an industry standard. A written Change Order will be negotiated and executed prior to the implementation of a Substantive Compliance Change.

Section 2.03. Performance and Capacity Planning. OATI staff will monitor webTrader Service usage in OATI production environments on a continuous basis and will recommend changes or enhancements to ensure system performance meets reasonable usage requirements.

OATI staff will provide necessary actions to manage capacity levels of databases and other potential capacity restrictive components of webTrader Service and will effect timely changes or enhancements to ensure system capacity allows for acceptable system usage. Network link performance between the OATI Data Center and Customer user workstation will not be included in webTrader Service performance base-line determination or performance measurement at any time.

or when significant recommended configuration changes occur. OATI staff will effect timely changes and/or enhancements to ensure webTrader Service performance meets usage requirements. Changes or enhancements to maintain webTrader Service performance and usage requirements will be performed and implemented by OATI without cost or expense to the Customer unless substantial usage loads have occurred due to: a) an increase in the number of contracted Customer users, entity codes, or served entities; b) regulatory changes or those mandated by such organizations as FERC, NAESB, NERC, etc.; c) changes in functionality; or d) other substantial business process changes requested by the Customer.

OATI personnel will provide necessary actions to manage capacity levels of databases and other potential capacity restrictive components of webTrader Service and will effect timely changes and/or enhancements to ensure OATI performance of all obligations under this Service Level Agreement including without limitation sufficient capacity for usage by the Customer. Changes or enhancements to manage capacity and meet usage and performance requirements will be performed and implemented by OATI without cost to the Customer unless due to: a) an increase in the number of contracted Customer users, entity codes , or served entities; b) regulatory changes or those mandated by such organizations as FERC, NAESB, NERC, etc.; c) changes in functionality; or d) other substantial business process changes requested by the Customer have occurred, and such changes will be assessed on change control documents.

2.04. System Modification Testing. OATI staff will implement the OATI standard software deployment processes which include end- to-end testing, and will resolve critical and high variances identified during such testing prior to release for customer testing. When necessary, Customer staff will also be required to perform tests and validation prior to the implementation of a modification or enhancement. OATI will provide access to an environment for the performance of necessary testing or validation by Customer.

ARTICLE THREE

Open Access Technology International (OATI) presents this Technical Response to the City of Burbank’s (Burbank) Request for Proposal for a Scheduling and Transaction Management System. Within this Technical Response, OATI presents details of the two options being presented to Burbank for the OATI webTrader solution. Hardware configurations are also presented, as is the table of conformance per Burbank’s Technical Specifications.

In addition, a complete OATI webTrader Software Product Description is attached. OATI webTrader is a comprehensive solution and the details supporting the table of conformance can be located within this Product Description document.

Technical Response
This document contains proprietary information of OATI, Inc. Do not copy or distribute without explicit permission of OATI, Inc. 2 OATI Proposed Solutions
OATI proposes the OATI webTrader solution to Burbank to fully comply with Burbank’s technical requirements. OATI proposes that the OATI webTrader solution be utilized by Burbank in one of two options. It should be noted that both options present identical functionality. The difference is merely where the solution is physically located and who maintains the hardware/software. The two options are presented below:

Option 1
OATI proposes to deliver the OATI webTrader solution to Burbank’s site, to be maintained by Burbank, and integrated with OATI’s service solutions of OATI webTag and OATI webSweep.

Burbank would access the complete webTrader solution via the internet, but the hardware/software of OATI webTrader would be located within Burbank’s facilities.

Option 2
OATI proposes that the OATI webTrader solution be hosted at OATI’s Data Center in Minneapolis, MN, fully maintained by OATI staff, and integrated with OATI’s service solutions of OAIT webTag and OATI webSweep. Burbank would access the complete webTrader solution via the Internet.

Within each of the above options, OATI has the capability to meet all of Burbank’s technical requirements. OATI has provided the OATI webTrader solution multiple times for multiple customers in both of the above configurations. OATI is available to discuss any questions with Burbank regarding the options.
