SUBJECT: Approval of a Support Position on a Resolution Relating to Amendments to the Cal Cities Bylaws at the 2022 Annual Conference

RECOMMENDATION
Direct the City of Burbank’s voting delegate or alternate delegate to vote in support of a Resolution Relating to Amendments to the Cal Cities Bylaws during the 20 22 Annual Conference.

BACKGROUND
The City of Burbank is a member of Cal Cities (formerly League of California Cities), an advocacy organization that represents the interests of over 400 municipalities across the state. The Cal Cities 2022 Annual Conference is scheduled for September 7 through September 9, 2022 at the Long Beach Convention Center and presents an opportunity for city officials to learn and collaborate on mutual issues. The Annual Business Meeting occurs during the General Assembly on the last day of the conference, where member cities take action on conference resolutions . On July 15, 2022, the Cal Cities Board of Directors voted to present proposed bylaws amendments to the General Assembly at the 2022 Annual Conference. A proposed resolution containing these changes was published on August 8, 2022, along with background materials and a summary of the proposed amendments (Attachment 1).

DISCUSSION
Per Cal Cities’ protocols, the Board of Directors may propose bylaws amendments to be adopted by a 2/3 vote of the General Assembly during the Annual Conference. If approved by the General Assembly, the amendments to the bylaws will go into effect after 60 days on November 9, 2022.

CITY MANAGER’S
OFFICE
2 The proposed amendments reflect the implementation of initiatives as adopted in Cal Cities’ 2018 Strategic Growth Plan. This year, the Board recommends the following amendments for adoption:

1. Formalize oversight of the Resolutions Committee by establishing the Second Vice President as the chair of the committee, while retaining t he President’s authority to appoint the vice chair of the committee.

2. Ensure a more inclusive Nominating Committee by adding a committee member appointed by the Cal Cities President from among the Caucus Board of Directors and one additional committee member appointed by the Cal Cities President from among the At-Large Directors for a total of 13 committee members.

3. Clarify that, unless the Board establishes otherwise, the Cal Cities President appoints the chair of Board-established committees.

4. To avoid confusion and clarify organizational responsibilities, remove “Treasurer” from the title of the Second Vice President.

5. To promote consistency, replace the term “Board member(s)” with “Director(s).”

Currently, the Cal Cities Board of Directors consists of 5 8 members, including the Cal Cities president, first vice president, second vice president, immediate past president, executive director, a representative from each of the Cal Cities 16 regional divisions, 10 municipal departments, and five caucuses. Also seated on the Board are the mayors or designees of the 10 largest cities by population, and 12 selected at -large members. The Board of Directors also includes California city officials (currently two) serving on the National League of Cities Board of Directors.

Cal Cities recognizes five caucuses , participation in which is open to any member and provides an opportunity for city officials with common interests to connect and communicate with each other. The five caucuses include the African American Caucus; the Asian- Pacific Islander Caucus; the Latino Caucus; the Lesbian, Gay, Bisexual, Transgender, Queer (LGBTQ) Caucus; and the Women’s Caucus.

FISCAL IMPACT
There is no fiscal impact associated with this action. Costs for regist ration, travel, and attendance at the annual conference are accounted for in the Fiscal Year 202 2-2023 Adopted Budget.

CONCLUSION
The City of Burbank is an active member of Cal Cities, which advocates on behalf of California communities. It is vital that the City of Burbank be represented at the Annual 3 Business Meeting and cast a vote on the proposed res olution in accordance with City Council direction. Therefore, it is recommended, through City Council’s approval of this report, the voting delegate submit a position on the proposed resolution in alignment with the majority decision of City Council. Abstaining, opposing, or supporting this resolution will not commit Burbank into adopting or implementing any of Cal Cities’ policy positions.

Staff recommends Council direct the voting delegate or alternate delegate to support the proposed Resolution to make the recommended bylaws amendments.
