1 REIMBURSEMENT AGREEMENT
THIS REIMBURSEMENT AGREEMENT (“Agreement”) is made this ___ day of ____________, 2023 (the “Effective Date”), by and between Plains All American Pipeline (“Plains”), whose mailing address is 333 Clay Street, Ste. 1600, Houston, TX 77002 and the City of Burbank, CA (“City”), whose mailing address is P.O. Box 6459, Burbank, CA 91510-6459. Either Plains or City may singularly be hereinafter referred to as “Party” and collectively referred to as “Parties.”
BACKGROUND
A. City desires to construct a bike path on the route of the Southern California Regional Rail Authority, formerly the Union Pacific Railroad right of way, (“Project”).
Plains owns fiber optic cable system of manholes and ducts within the aforementioned right of way as a result of a recorded Memorandum of Easement (“Project”);
B. As a result of the Project, it is necessary for Plains to adjust 5 (five) manhole lids to the future bike path grade in order to accommodate City’s Project in the right of way, as set forth in more detail and as depicted in this Agreement (the “Work”), and in accordance with, and as more particularly described, in the attached Exhibit A (“Engineering Drawing”) and Exhibit B (“Scope of Work”), incorporated herein; and,
C. Plains, under the terms hereinafter stated, is willing to perform the Work, provided City reimburses Plains for all of its costs associated with the Work including actual out-of-pocket expenses, all cost of Plains employees’ time (including the cost of employee benefits), the inclusion of any Conditions and Exclusions defined in Exhibit A, and a fee of thirty percent (30%) to reimburse Plains for internal general and administrative costs (“Costs”).
D. The City Council of the City has determined that it is in the best interests of the City to dispense with competitive bidding in the procurement of the services being purchased by the City under this Agreement.
AGREEMENT
In consideration of the mutual covenants in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:
1. Plains will perform the necessary Work subsequent to the execution of this Agreement by both Parties subject to the terms and provisions of this Agreement, and will administer and oversee the Work, including administration of construction contractor work in accordance with the scope of work outlined in Exhibit B.

2 2. C
ity will bear and be responsible for and pay in accordance herewith the costs incurred by Plains related to the Work, as specified below.
3. The initial estimated cost of the Work is One Hundred Forty Two Thousand One Hundred and Five Dollars ($142,105); City will also reimburse Plains thirty percent (30%) for general and administrative expenses (“G&A”) in the amount of $42,632, for an estimated total reimbursable cost of One-Hundred Eighty Four Thousand Seven Hundred Thirty Seven Dollars ($184,737; the “Estimated Cost”). Actual Costs to be reimbursed by City to Plains hereunder may be more or less than such Estimated Cost, which will not be construed as a limitation of costs for the Project. Payment of the Estimated Cost is due and payable with the execution of this Agreement. If, at any time, it is determined that the costs will exceed the Estimated Cost then City shall pay the additional amounts as necessary to fully compensate Plains for the costs of the Work. Upon completion of the Work, a final summation of costs (“Final Cost”) will be made, and if the Final Cost exceeds the Estimated Cost and any additional costs previously paid by City, Plains will invoice City for the remaining balance of the Final Cost. Plains will endeavor, in good faith, to keep all costs to a reasonable amount considering the scope of the Work, and shall not exceed the Estimated Cost by thirty percent (30%) without obtaining City’s prior written consent, including in the event of unforeseen site conditions. If the Estimated Cost and any additional costs previously paid by City exceed the Final Cost then Plains will refund the difference to City.
4. City understands and acknowledges that all pricing estimates of the actual Work to be performed are good faith estimates and the actual costs may be higher or lower than such estimates.
5. Should actual costs exceed the Estimated Cost, City agrees to submit payment to Plains within thirty (30) days from the receipt and approval of an invoice.
6. Plains shall have no obligation to start the Work until written notice has been provided by City that the Work has been agreed to, approved by and authorized by City; a fully executed Agreement has been received by Plains; a satisfactory starting date has been mutually agreed upon by both City and Plains; the Estimated Costs have been paid to Plains; and City has located and identified all utilities that are not covered by the applicable One Call system. Prior to starting the Work, City shall cooperate with Plains in obtaining or causing to be obtained, in a form acceptable to Plains, any right, permit, permission, easement and access rights, at the sole cost and expense of City required for Plains to perform the Work and City shall, if requested by Plains, survey and stake all easements and access rights that pertain to the Work.
7. For any work performed by Plains that involves entry onto Metropolitan Transportation Authority right of way that is managed by the Southern California Regional Rail Authority, Plains will comply and/or execute any necessary Right-of-Entry forms (Form 5, 6, 37) from the Southern California Regional Rail Authority prior to the performance of such work.
