FIRST AMENDMENT FOR
AS-NEEDED ROADWAY SIGNING AND STRIPING SERVICES
This First Amendment to Agreement for As -Needed Roadway Signing and Striping Services with Sterndahl Ente rprises, Inc. (“Contractor”) (“First Amendment”), effective on October 26, 2024, is by and among Sterndahl Enterprises, Inc. (contractor) and the City of Burbank (“City”) (collectively, the “Parties”).
RECITALS
A. Contractor and City have executed the Agreement for As-Needed Roadway Signing and Striping Services (“Agreement”) effective as of October 26, 2023 for as-needed roadway signing and striping services by Contractor to City.
B. Contractor and City desire to use same Agreement for continued services for the period of one (1) additional year beginning October 26, 2024.
C. Contractor and City desire to amend the Agreement to increase the contract price from $900,000 to $1,350,000.
AMENDMENT TO TERMS AND CONDITIONS
1.0 Amendment to Term. Section 3 (Term) of the Agreement is hereby amended and restated as follows:
“3. TERM”
The term of this agreement shall be extended for the period of one (1) year beginning October 26, 2024.
2.0 Amendment to Bonds (Attachment 1), add language to allow for bond rider.
A. Bond Rider. In lieu of new bonds, Contractor may provide a Bond Rider using the City form.
3.0 Amendment to Contractor IIPP Certification (Attachment 3).
Paragraph 5. B.1 0 is added.
11. A workplace violence prevention plan conforming to the requirements of Labor Code 6401.9.
4.0 Ratification. All other provisions of the Agreement not inconsistent with this First Amendment shall remain in full force and effect.
5.0 Authority to Execute. Each party represents and warrants that all necessary action has been taken by such party to authorize the undersigned to execute this agreement and bind it to the performance of its obligations hereunder.
6.0 Counterparts. This agreement may be executed in counterparts and each such duplicate counterpart shall constitute an original, any one of which may be used for any purpose without the production of its duplicate counterpart. Moreover, each counterpart shall be deemed for all purposes to be an original, and all such counterparts together shall constitute one and the same instrument, binding on all Parties hereto.
Transmission by facsimile, electronic mail, and/or other validated instantaneous electronic transmission to one Party of a true copy of a counterpart duly executed by the other Party shall constitute valid delivery of such counterpart, and shall be valid, binding and effective for all purposes. Notwithstanding the foregoing, the authority under this paragraph to execute this agreement with an electronic signature shall be limited to a physical ("wet ink") signature placed on a counterpart to this agreement by a Party, and transmitted electronically as described in this paragraph to the other Party.
