SUBJECT: Award of Bid for Eight (8) Fully Equipped Marked Police Patrol Vehicles and (3) Fire Department Support Vehicles
Recommendation
It is recommended that the City Council of the City of Calexico approve the following:

1. Authorize City Manager to Award Bid and Purchase Eight (8) Fully Equipped Marked Police Patrol Vehicles for the Calexico Police Department and (3) Fully Equipped Marked Fire Department Support Vehicle
Background:

The Calexico Police Department and City Clerk's Office advertised a Request for Proposal (RFP) for the Purchase or Lease of Fully Equipped Marked Police Patrol Vehicles. Robinson Ford was the only Dealer to submit a formal BID.

Discussion and Analysis
The Calexico Police, Fire and Finance Departments worked together on language for the RFP.

The RFP was for the full purchase of the above vehicles. The funding of this purchase would come out of the City of Calexico's American Rescue Plan Act (ARPA). This expenditure was previously approved Council as Item #14 on October 6, 2021 , Calexico City Council Meeting.

Funding allocated is $604,000.00 for Police and $300,000.00 for a total of $904,000.00.

Right now a global computer chip shortage is causing delays of up to six months on the delivery of some new cars. Robinson Ford expects vehicles to arrive late 2022 or early 2023 for this bid.

Background:

On October 6, 2021 , the Calexico City Council approved seeking Bids for the following equipment:

1. Three (3) Fire Utility Vehicles; and

2. Eight (8) Fully Equipped Police Vehicles.

The funding for these purchases will come from the American Rescue Plan Act (ARPA). The Invitation for Bids was published on October 7, 2021 with a deadline for the Bids to be received on October 27, 2021 .

Discussion & Analysis:

On October 27, 2021, the Office of the City Clerk received two (2) bids from the following auto dealerships:

1. Robinson Ford Calexico

2. Alexander Ford Yuma
After careful review of all bids received, staff has determined that the two (2) bids submitted did not meet the requirements set forth in the Invitation for Bids. Therefore, staff requests City Council reject all bids as nonresponsive. Staff seeks to re-advertise for the purchase of Police and Fire Department Vehicles on February 17, 2022.

Adopt Resolution No. of the City Council of the City of Calexico accepting and appropriating unanticipated revenue in the amount of $9,526,987 from the American Rescue Plan Act (ARPA) State and Local Fiscal Recovery Funds, Federal Emergency Management Administration (FEMA), California Governor's Office of Emergency Services (CalOES) in the Fiscal Year 2021-22 Budget as outline in the attached resolution.

Background:

The U.S. Treasury Department released final allocation amounts and interim guidance on the use of ARPA funding. The final allocated amount to the City of Calexico is $9,526,987. A fact sheet from the U.S. Treasury on the State and Local Fiscal Recovery Funds from the ARPA is attached.

Discussion &Analysis:

Staff estimates that all funds received from ARPA will be obligated and or expend by December 31, 2026 on eligible uses as specified below:

1. Respond to the COVID-19 public health emergency and support various activities to decrease the spread of the virus;

2. Address negative economic impacts caused by the public health emergency;

3. Replace lost public sector revenue due to the pandemic

4. Provide premium pay to eligible workers or grants to eligible employers of essential workers; and

5. Invest in water, sewer, and broadband infrastructure.

Through September 2021, the City has submitted to FEMA $90,000 in eligible claims, pending CDR review and $140,000 are pending submission. The City received $504,948 through the State Controller's Office the Coronavirus Relief Funds. City Administration is developing an expenditure plan for American Rescue Plan Act (ARPA) funds.

On September 16, 2021, the City Manager and Finance Director presented a proposal on how the funds should be used for the Public Safety Fleet. The Proposal is as follows:

Fire Department:
• Two Fire Rescue Ambulances - Estimated Cost $187, 000 per unit. • Three Fire Utility Vehicles - Estimated Cost $100,000 per unit • Estimated Total Cost $674,000.

Police Department:
• Six Ford Explorer Fully Equipped Patrol Vehicles - Estimated Cost $73,000 per unit
• Two Pickup Truck Fully Equipped Patrol Vehicles - Estimated Cost $83,000 per unit.
• Estimated Total Cost $604,000.

City Administration is also requesting authorization to develop and publish a Request for Proposals (RFP) for items listed above.

Fiscal Impact: None currently since the funding will come from ARPA funds.

INSTRUCTIONS FOR SUBMITTING BIDS

1. Bid Submittal
a. Bid must be submitted on the form(s) provided by and made available at the Calexico Police Depat1ment 420 E. 5°1 Street Calexico, CA 92231. All items shall be filled in and the signatures of all persons signing shall be written and printed in longhand. All bids submitted must have signature sheet, (Attachment A) completed, dated, wit11 firm's name and signed by a duly authorized officer of the firm. The Police Department will consider bids for Pw·chase or LeasePurchase. All bidders shall indicate on the bid cost sheets, (Attaclunents B-1 and B-2), whether the bid includes a bid for Purchase or Lease-Pw·chase or both. Both bid cost sheets shall be completed, signed and returned with bid submittal. Bid may include both Purchase and Lease-Purchase options.

Bids not submitted on the fonn(s) provided may not be considered by the Police Department.
b. All bids shall be presented under sealed cover. Clearly identified on the outside to read:
• Name of the bidder
• Address of the bidder
• Subject of the Bid
• Bid Submittal Deadline Date
c. Please submit one (1) original signature hard copy to be signed in blue ink (original copies marked as such) and one (I) copy.
d, All bids shall remain firm for at least ninety (90) calendar days after Bid Submittal Deadline unless otl1erwise specified. Within ninety (90) calendar days after the Bid Submittal Deadline opening, a purchase order and/or a contract may be awarded by the City to the lowest responsive bidder, as it may deem pmper in its absolute discretion. The time for awarding a purchase order and/or a contract may he extended al the sole discretion of the City, if required to evaluate bids or for such other purposes as the City may dete1mine, unless the bidder objects to such extension in writing with their bid.
e. Delivery dates of all items/services shall be specified on the bid. 20 f Mistakes must be colTected, and the correction inserted; correction must be initialed in blue ink by the person signing the bid.
g. Bidder shall be able to withdraw their bid at any time prior to the Bid Submittal Deadline. After bid submitted deadline, the bidder shall not be relieved of its bid without the consent of the City, nor shall any change in the bid be made because of a mistake. The City may allow a bidder to withdraw a bid because of a mistake only when the bidder has notified the City in writing within five (5) work days following the bid opening, specifying in detail how the mistake occurred, and has established to the satisfaction of the City that: (1) a mistake was made; (2) the mistake made the bid materially different from what the bidder intended; and (3) the mistake was made in filling out the bid and was not due to an error in judgment nor to carelessness in inspecting the site nor in reacting the plans or specifications.
h. The submission of a bid shall be considered an agreement to all the terms, conditions, and specifications provided herein and in the various bid documents, unless specifically noted otherwise in the bid.

2. Award
An evaluation team shall validate and evaluate all bids received. All requirements identified in this bid must be satisfied in order to ensw-e that a bid will qualify for consideration.

The City reserves the right to:
a. Award bids received on the basis of the entire list of items/services; b. Reject any or all responses, or any pru.t thereof;
c. Waive any infollilality in the bids;
d. Dete1mine whether the lowest responsive and qualified Purchase bid or the lowest responsive and qualified Lease/Purchase bid is in the best interest of the City; and e. Accept the lowest responsive and qualified Pmcbase bid or accept the lowest responsive and qualified Lease-Purchase bid. The Calexico Police Department's decision shall be final.

3. Interpretation, Corrections and Addenda
The Bidder must carefully examine the specifications, terms and conditions provided in the Invitation for Bid and become fully informed as to the requirements set forth therein If anyone planning to submit a bid discovers any ambiguity, conflict, discrepancy, omission or error in the bid, has any questions in relationship to the "Scope of Work", or 21 any other related matters, they shall immediately notify the contact person as shown on the "Cover Sheet" of such concem in writing and request clarification or modification of the document(s) no later than the deadline as set forth herein:

No further requests for clarification or objections to the bid will be accepted or considered after this date. Any change in the bid will be mode only by written addendum, issued by the Calexico Police Department via the City Clerk's Office to each firm in receipt of the Invitation for Bid and shall be incorporated in the bid.

The Bidder shall sign and date the addendum and submit same with the bid. Any oral communication by the City's designated contact person or any other City staff member concerning this proposal is not binding on the City and shall in no way modify this proposal or the obligations of the City or any Bidders.

All inquiries shall be directed to the designated City staff person as shown. Contact with any other City personnel, any undue "badgering" of such City personnel by the Bidder is prohibited. Failure to comply with this request may be considered cause for disqualification of your bid.

4. Bid Submittal Deadline
The bid must be received in the Office of the City Clerk on or before 2:00 P.M. local time on Wednesday, October 27,2021. All bids shall be presented under sealed cover, clearly identified on the outside to read:

Without law or policy to the cont.rmy, if the bidder took reasonable steps to submit the bid in due lime, and failure of the bid to be on hand al the time of cJosing was not the result of negligence or other fault of the bidder, but was the result of negligence by the City, the City reserves the right to accept such bid.

5. Specific Compliance
AJl bidders will be required to abide by all applicable Federal and State laws and regulations.

6. Acceptance Test
Upon receipt of written notification of the completion of the delivery of the items/services called for under this bid, City, at its option, may conduct a fifteen (15) workday on-site acceptance test. The acceptance test of the items/services will be conducted for the purpose of demonstrating, that, in City's sole opinion that such items/services pe1form in accordance with the manufacturer's specifications.

In the event the items/services do not successfully pass the acceptance test, City shall notify the successful bidder, in writing, specifying in reasonable detail in what respects the items/services failed to pelfolm. Seller shall immediately correct any deficiencies, disclosed by the acceptance test. City may repent the fifteen (15) workdays test again until the items/services have successfully passed the acceptance test.

In the event that the items/services fail to pass the acceptance test within sixty (60) calendar days of the date that the notification of the completion of the delive1y of the items/services are received, City shall have the option of immediately te1minati.ng any pmchase order issued as a result if this bid without financial liability or penalty of any kind, or, with mutual agreement the parties may continue the acceptance testing. The option to terminate any purchase order issued as a result of this bid, as aforesaid, shall remain available to City during any mutually agreed to continuation of the acceptance test after the aforesaid sixty (60) calendar day period. If City elects to termination any purchase order issued as a result of this bid, the successful bidder shall refund all monies received from City up to the period of tennination, within thirty (30) calendar days from receipt of written termination by City.

7. Calexico Business License
Prior to the issuance of any pW'chase order and/or the perfomrnnce of any contract derived from this bid, the successful bidder and its subcontractors shall be required to maintain a Calexico City 23 Business License in accordance with the City of Calexico Municipal Code. Any questions concerning the business license requirement and/or fees should be directed to the City of Calexico Finance Department at 760-768w2133.

8. Aftermarket Equipment
After market emergency vehicle equipment must be purchased through Airwave Communications, Imperial, CA 92251. The City of Calexico has a sole provider policy approved for this request. Airwave Communications is the closest auth01ized insta1ler and servicing agent for all the equipment installed.
24 SECTION 3

GENERAL TERMS AND CONDITIONS

1. Invitation for Bid/Bid Rejcction/Waivm· oflnfol'malitics This invitation for bid includes an invitation for both Purchase Bid and Lease-Purchase Bid options. The Police Deprutment, in its sole discretion, will determine whether a Purchase Bid or Lease-Purchase Bid is in the best interest of the City.

THE CITY RESERVES THE RIGHT TO REJECT ANY OR ALL BIDS OR ANY

PART THEREOF, TO WAIVE ANY INFORMALITIES IN THE BID AND MINOR IRREGULARITIES, TECJ-INICAL DEFECTS OR CLERICAL ERRORS.

The City's decision shall be final. The City's waiver of an immaterial defect shall in no way modify the bid documents or excuse the bidder from full compliance with its specifications if the bidder is awarded the bid.

2. Condition of Eguipment Bid
If equipment is proposed, it is to be the newest and latest model in cwrent production.

Used, re-manufactured, shopworn, demonsh'alor, prototype or discontinued models are not acceptable unless othe1wise stipulated under this bid.

3. Brand Names
For this BID only FORD Explorers, FORD F-150 Police Responder, FORD Expedition, FORD F-250 will be considered.

4. Payments, Invoicing and W-9 Certificntion Form
Invoices in triplicate, shall be mailed or delivered to the City Department whose name and address shall appear in the "INVOICE T0 11 section of any plll'chase order and/or contract as a result of this bid. In addition to the itemized invoice(s) submitted by the successful bidder for payment, the successful bidder must also complete and submit a Form W-9, "Request for Taxpayer Identification Number and Certification", to the Cily.

Both invoice(s) and W-9 form shall be forwarded to the City at the address indicated in the pw'Cliase order and/or contrnct. UJJon approval by the City, the sum due hereunder shall be paid to the successful bidder within thirty (30) calendar days following acceptance pursuant to Section "Acceptance Test", and receipt of a proper i.nvoice(s). 25 5. Lease-Purchase
Lease-Purchase Financing options and documentation must be Jll'OVided. Lease-Purchase must include all equipment and all te1ms as a full purchase agreement.

6. Delivery Hours
Delive1y will be accepted from 9:00 a.m. to 4:00 p.m., Monday through Thursday, by appointment.

7. Damage of Jtcms
All damages pursuant to items received by City due to the successful bidder's negJigence shall be the responsibiJity of successful bidder to replace.

8. Alternate Bids
Alternate bids mny be considered at the discretion of the City if altematc bids are called for in this bid. City will be the final authority to accept or reject an alternate bid.

9. Cash Discount
In connection with any cash discount specified on this bid, time will be computed from the date of the complete delivery of the items/equipment as specified, 01· :from date correct invoices are received in the City depm1ment requesting such items/equipment, whichever is later. For the pmpose of enming the discount, payment is deemed to be made on the date of mailing of the City wanant or check.

10. Pricing
Unless otherwise provided, the items/services stated herein will not be subject to any price increase from the date of acceptance of bid to the date of termination/extension as stated herein. If the successful bidder established prices for any items/services listed herein is decreased during the term of this bid, then such discounts/ reductions in price shall be immediately applicable so that City may have benefit of such lower prices.

11. Risk of Loss
The successful bidder shall bear risk of loss until goods have reached tl1e final Destination point. Therenfter, City shall bear risk of loss.

12. Examination of Bid Documents
All bidders shall carefully examine the specifications herein and must fully inform themselves of the conditions and requirement of the items/services to be furnished.

Failure to do so will be ut bidder's own 1isk and cannot secw·e relief on the plea of enor, 26 or dispute, or question such specifications and the directions exp1aining or interpreting them.

Should a bidder find discrepancies in, or omissions from, the specifications, or should he/she be in doubt to their meaning, he/she shall at once notify the Calexico PoJice Department. Notification is to be in written fom1 and must be submitted at least seven (7) work days prior to the Bid Submittal Deadline. Any inte1pretalions by the City will be made in written fo1m. Any change in requirements will be done in the fo1m of a written addendum. The receipt of any resulting amendment must be acknowledged in accordance with the directions on the amendment. Oral explanations or instructions given before the nward of the contract will not be binding upon tbc City.

9 13. Request for Changes
The City reserves the right to order in writing changes in the bid or alterations, additions, or omissions at any time p1ior to acceptance of the items/services without voiding the bid, and the successful bidder shall comply with such order. The successful bidder may also request changes in the bid, but no work will be perfonned on such changes until the request is approved in wdting by the City. Such changes shall be perl01med in accordance with the original bid requirements except as modified by an ·amendment.

Except as herein provided, the successful bidder shall have no claim for any other compensation due to changes in the work.

Any changes or deviation from the conlract made without autho1ity in writing from the CaJexico Police Department will be at the bidde1Js own risk. No such changes slmll be made nor adjustment in compensation granted unless the successful bidder receives an executed amendment prior to making the changes.

14. Qualification of Bidder
·nm City may make such investigation as it deems necessary to determine the ability of the bidder to provide the services requested herein, and the bidder shall furnish to the City all information and data for this purpose as the City may request. The City reserves the right to reject any bid sbould the evidence submitted by, or investigation of, the bidder fail to satisfy the City that such bidder is properly qualified to carry out the obligations of the bid and to complete the requirements contemplated therein.

15. Default
In the event the successful bidder who is awarded a purchase order and/or contract resu1ti.ng from this bid shall be in breach or default, the City may procure the items/services from other sources and may deduct from any monies due, or that may thereafter become due to the successful bidder, the difference between the price named in the purchase order and/or contract and actual cost thereof to the City. Prices paid by the 27 City must be considered the prevailing market price at the time such purchase is made.

These rights and remecLies shall not be exclusive but in addition to any other rights and remedies provided by contract law. Periods of perfonnance may be extended if the facts as to the cause of delay justify such extension in the opinion of the City.

16. Canccllntion of Purchase Order and/or Contract
The City may te1minate any pW'chase order and/or contract derived from this bid as follows:
a. WITHOUT CAUSE at any time by giving thirty (30) calendar days written notice to the successful bidder.
b. WITII CAUSE (Default) at any time by giving ten (10) calendar days wiitten notice to the successful bidder. Cancellation for cause shall be at the discretion of the Calexico Police Depru1ment and shall be, but is not limited to, failure to supply the items, materials, equipment or services specified within the time allowed or within the terms, conditions or provisions of this bid.

The successful bidder may not cancel any purchase order and/or contract derived from this bid, without prior written consent of the Calexico Police Department. 10 17. Rejection of Bid

THE CITY RESERVES THE RIGHT TO REJECT ANY OR ALL BIDS OR ANY

PART THEREOF, TO WAIVE ANY INFORMALITIES IN THE DID, AND ALSO TO WITHHOLD A WARD FOR A PERIOD OF NINETY (90) CALENDAR DAYS FROM DA TE OF BID OPENING.

18. Nondiscrimination
a. During the perfmmance of this bid, bidder and any sub-bidders shall not unlawfully discriminate against any employee 01· applicant for employment because of race, color, anceslly, religion, sex, national origin, marital status, age, medical condition (cancer related), physical handicap (including AIDS), or sexual orientation. Equal employment extends, but is not limited to recruitment, compensation, benefits, layoff, termination, and all other conditions of employment Bidder and sub-bidders shall ensure that the evaluation and treatment of their employees and applicants for employment are free of such discrimination. Bidder and sub-bidders shall comply with the provisions of the Fair Employment and Housing Act (Government Code, Section 12900 et seq.) and the applicable regulations promulgated there under (California Administrative Code, Title 2, Section 7285.0 et seq.) The applicable regulations of the Fair Employment and Housing Commission implementing Government Code, Section 12900, set forth in Chapter 5 of Division 4 of Title 2 of the California Adminisb'ative Code and incorporated into this contmct by reference and made a part hereof as if set forth in full.
28 b. Bidder and any sub-bidders shall give written notice of their obligations under this clause to labor organizations with which they have a collective bargaining or other agreement.
c. Bidder shall include the nondiscrimination and compliance provisions of the clause in all subcontracts to perfmm work under the contract. d. Bidder shall grant access by representative of the Department of Fair Employment and Housing and the City upon reasonable notice at any time during normal business hours, but in no case less than twenty-four (24) hours notice, to such of its books, records, accounts, other sources of information and its facilities as said Deprutment or City shall require to ascertain compliance with this clause.

19. Non-discrimination of the Disabled
The City will not aid or pe1p etuate disciimination against a qualified disabled individual by funding as an agency, organization, or person that discriminates on the basis of handicap in providing aid, benefit, or service to beneficiaries of the program or activity.

The City is committed to provide access to all City services, programs, and meetings open to the public for people with disabilities.

In this regard the City and all of its vendors and bidders will take all reasonable steps to ensure that disabled individuals have the maximum opportunity for the same level of aid, benefit, or service as any other individual.

20. Governing Law and Venue
This bid, or any contract that may result from the award of this bid, shall be deemed to be made under, and shall be govemed by and construed in accordance with, the laws of the State of California. Any action brought to enforce the te1ms, or provision of this bid or any contract that may result from the award of this bid, shall have venue in Imperial County, State of California.

21. Taxes
Sales Tax should be shown separately on the bid fo1m, when and where indicated. The City is exempt from Federal Excise Tax and should not be included in your bid. If your company is outside California and collects sales tax, please state the amount as a separnte item if the City is to remit the tax.

22. Liabilities
The bidder shall hold the City, its officers, agents, servants, and employees, harmless from liability of any nature or kind because of use of any copyrighted, or un-copyrighted composition, secret process, patented or unpatented invention, ruticles or appliances furnished or used m1der this order, and agrees to defend, at its own expense, any and all 29 actions brought against the City or bidder because of the unauthorized use of such items.

23. Indemnification
Conll'actor has the contracted duty (hereinafter 11 the duty") to indemnify, defend and hold harmless, City, its City Council, officers, employees, agents and assigns from and against any and all claims, demands, liability, judgments, awards, interest, attomey's fees, costs, experts' fees and expenses of whatsoever kind or nature, at any time arising out of or in any way connected with tbe performance of this Agreement, whether in tort, contract or othe1wise. This duty shall include, but not be limited to, claims for bodily injury, property damage, personal injury, and contractual damages or otherwise alleged to be caused lo any person or entity including, but not limited to employees, agents and officers of Contractor.

Contractor's liability for indemnity under this Agreement shall apply, regardless of fault, to any acts or omissions, willful misconduct or negligent conduct of any kind, on the pa11 of the Contractor, its agents, subcontractors and employees. The duty shall extend to any allegation or claim of liability except in circumstances found by aju1y or judge to be the sole and legal result of the willful misconduct of City. This duty shall arise at the first claim or allegation of liability against City. Contractor will on request and at its expense, defend any action suit or proceeding arising hereunder. This clause for indemnification shall be inteipreted to the broadest extent permitted by law.

24. Wuranty, Manufoctul"er
Manufacturers shall fully warrant all materials and equipment fumished under the terms of this bid against poor and inferior quality. While under warranty, manufacturers shall repair or replace inoperable materials or equipment in a timely manner to minimize the disruption of City operations. A copy or description of the manufacturers' warranties shall accompany each bid for the material and equipment proposed, detailing the scope and length oftbe warranties.
