Late Communications
City Clerk Chavez Dec 9, 2022
California City Hall, 21000 Hacienda Blvd
California City, CA 93505-2259
City Clerk Chavez,
Re: Deficiencies, Errors & Observations of the Presented 2022/23 Budget Include this letter into the record for the upcoming city council meeting and distribute to city council members, city manager, and finance director; place this topic on the agenda to discuss at the next city council meeting.

This letter has three purposes. First, the attachment documents 18 specific problems with proposed 2022/23 budget. Second, six funds with cash deficits totaling almost (910l) are highlighted and solutions suggested. Third, the Post Script to this letter recommends the Interim City Manager focus attention on solving near- term problems.

The attached 2-page memo dated Dec 8, 2022 summarizes 18 problems with the 2022/23 budget as presented at the Dec 8, 2022 Council Meeting. The staff-offered budget was too incomplete; requiring corrections and modifications to be minimally acceptable for upcoming approval. A considerable portion of the verbal discussion between Council and staff contained misconceptions and incorrect responses, which were frustrating to hear. This Council-Staff dialogue should have taken place in May 2022 for a workable budget by the end of June 2022.

Besides the topics addressed in the attachment, the content of the table below and amplified on pages 2 & 3 should be resolved for the Council-approved 2022/23 budget because it looks at the larger picture, including the start of fiscal year and the end of fiscal year cash balances based on the proposed revenue and expenses.

Fund July 2022 FY 2022/23 FY 2022/23 June 2023
Name Starting Cash Revenue Expenses Ending Cash
General Fund $12,160,997 $7,604,000 $5,636,917 $14,128,080 Police ($822,217) $3,367,500 $3,695,350 ($1,150,067)
1/2 Cent Sales $170,078 $246,000 $416,650 ($572)
Fire $709,714 $3,418,500 $3,358,500 $769,714
Streets $132,001 $1,093,500 $1,028,400 $197,101
OHV Permits $184,470 $184,000 $182,600 $185,870
OHV Grants ($1,108,359) $1,363,000 $963,000 ($708,359)
TDS ($2,753,975) $182,500 $465,900 ($3,037,375)
Water $3,526,616 $4,785,000 $4,687,800 $3,623,816
Sewer $3,546,798 $1,785,000 $1,752,850 $3,578,948
Airport ($2,501,623) $220,500 $309,629 ($2,590,752)
DAR ($1,109,002) $429,000 $258,640 ($938,642)
Balsitis ($7,361) $225,000 $225,000 ($7,361)
Reserve Fund 60 $2,056,852 $2,035,464 $843,600 $3,248,716 It is important to look at the major ending cash deficits to (right column) understand why they exist. The cash deficits of Police, OHV Grants, TDS, Airport and Dial-A-Ride will be covered on the next two pages. One additional cash deficit is not revealed 2022/23 budget, and must be addressed - that is the ($1,461,446) deficit in Street CIP. Adding the six major deficits (five bolded in the table plus Street CIP totals to a whopping ($9.89M). The City Council cannot afford to ignore these cash deficits when deciding expenditures for the overdue 2022/23 budget. 1 6 January 10, 2023
Cash Deficit #1 Police Fund 18 at ($1,150,067). The primary reason for this cash deficit has an origin back when the 2018 Council approved a 50/50 split of Measure C revenue. Measure A was a 55/45 split and both Police and Fire departments were doing OK. In the first 4 years of Measure C Police and Fire, each received $13.2M from Measure C. Had the 55/45 split been applied, the Measure C revenue would have been divided $13.9M for Police and $12.5M for fire.

Police cash deficit would have been reduced by $700K and Fire would still be in the black. The 50/50 split was a bad Council decision back in 2018. Police is an essential service.

Cash Deficit #2 OHV Grants Fund 16 at ($708K). With the catch-up of City annual audits, the OHV Grant Fund has received all backlogged grant money. OHV Grants await distribution of 2022/23 grant revenue; all totaled the $1.36M either has arrived or will arrive. However, due to overspending, OHV Grants will still be ($708K) in cash deficit by June 2023. This means OHV Grants will continue to draw from General Fund cash to cover expenses. The OHV Staff should instead reallocate relevant expenses from ÖHV Grants to OHV Permits. OHV Staff should seek a loan to cover anticipated overspending in the OHV Grants fund instead of drawing from General Fund cash, this approach would instill more spending discipline within the OHV Grants Fund. OHV is not an essential service.

Cash Deficit #3 Tierra Del Sol Fund 40 at ($3,037,375). The City Councils have dug themselves into a deep cash deficit hole with TDS. Tough decisions await to pay off the ($3lVi) cash deficit while attempting to minimize a ballooning debt. First, the Council needs to face reality and comply with the 2022 Kern County Grand Jury recommendations. Golf course participation (rounds played) is far below a minimum level to break even. There are an insufficient number of golfers to sustain golfing operations with or without an on-site restaurant.

So far, the Council has ignored the huge TDS cash drain and concocted Prop 218 non- compliant (below cost of service irrigation) water rates that intentionally reduced Water Fund revenue by $80OK per year (this is documented). TDS is NOT an essential service.

Cash Deficit #4 Airport Fund 53 at ($2,590,762). Similar to TDS, the Airport is a huge money pit due to the loss of Skydiving, Soaring, and General Aviation activity. According to the FAA, Cal City Airport is resident to only 8 aircraft (Important note: Rosamond Skypark has 71 aircraft and Tehachapi Airport has 47 aircraft). Prior Airport Managers had a propensity to highly exaggerate the level of flight activity at the airport. When has the current Airport Manager (no aviation experience) made a presentation about the Airport operations, needs, and forecasts? Read the following closely City Council. Mojave Air & Space Port had been subsidizing (on a small scale) the Cal City Airport to keep it open as an alternative landing field in case of Mojave Airport temporary closure due to an emergency. There are an abundance of paved runways and lakebed runways in proximity to Mojave Airport.

The City Council has continued to approve FAA Grants for airfield improvements, by doing so it makes closing or selling the airport further out of reach because proportions of the FAA Grants would need to be repaid before closure or ownership handover. Any change of status of the Cal City Airport would need pre-approval by the FAA. The current Interim City Manager may not have the necessary qualifications to negotiate with Mojave Air & Space Port and the FAA. A temporary approach could be for Mojave Air & Space Port to assume airport management as a contract (fixed based operator) FBO of the Cal City Airport; however, if that were to happen, expect a big wish list of improvements for continued airport operations. Alternatives used at other underutilized airports have been to repurpose the runway/taxiway for automotive events or privatize the airport. Any thought of linking a housing development to the airport is a speculative long shot. California City Airport is NOT an essential service. 2 7 January 10, 2023
Cash Deficit #5 Dial-A-Ride Fund 54 at ($948,642). The last Transportation Audit found that the City's Dial-A-Ride (DAR) expenses were too high. Further, the discussion at the Dec 8, 2022 Council Meeting revealed the box fares were below 10% of expenses. Expenses too high and revenue too low should provide a catalyst for Council intervention to either improve the numbers or pursue alternatives such as Uber, Lift, and existing Cal City Taxi Services. The hurdle to overcome is for those customers with mobility restrictions. If the issue of mobility- restricted customers can be solved, then the remaining transportation services could shift to commercial sources.

Very little data are publicized regarding current utilization and trends of DAR. Unknown is the number and percentage of rider-ship that have family/friends available to substitute for DAR.

Implied here is that the true customer demand, especially for mobility-restricted users is not adequately understood. How many times per day is DAR used for mobility-restricted customers? Overall, is Cal City Dial-A-Ride an essential service? Or, is Dial-A-Ride an essential service for only for those customers with mobility restrictions? Cash Deficit #6 Streets Capital Improvement Fund 94 at ($1,461,446). There has been considerable public concern regarding the condition of City streets. The Finance Dept. Streets CIP October 2022 Balance Sheets show little State funds due (less than $11K). Additionally, only $85K in revenue has been received. So, the known sources of Streets CIP funds compared to the Streets CIP cash deficit of ($1.46M) as of October 2022 is a serious source of concern. Has the Finance Dept not yet posted inbound Street funds due to the City after catch- up in annual audits? Back in June 2020(2-1/2 years ago), Streets CIP had a cash deficit of only ($145K); now that cash deficit has grown by a factor of ten.

Frankly, the residents of Cal City have seen little progress in street improvements, except for short distances on Poppy and Hacienda. How did the Street CIP Fund accumulate so much cash debt with little evidence of progress, particularly in residential neighborhoods? Note: One of the conditions of CIRA in the City's Performance Improvement Plan (agreement) was for hiring of a qualified Public Works Director. If none was found, then the alternative was hiring a qualified Streets Superintendent with experience in water and sewer O&M and CIP.

Streets improvement, maintenance, and safety are essential services.

Refer to the 2-page public input to the Dec 8, 2022 Special Council Meeting on the 2022/23 budget is attached to this document.

Meowers
Atch: Dec 8, 2022 two-page Input to the Public's first look at the 2022/23 budget Cc: City Council, Interim City Manager, MDN, All Stakeholders PS: I strongly recommend that Interim City Manager Hart NOT consult with Mojave Air & Space Port regarding the Cal City Airport, he may not possess sufficient aviation qualifications to converse on topics of interest. I strongly recommend that Interim City Manager Hart NOT consult with the Tehachapi City Manager regarding prison closure. The Tehachapi City Manager claimed on Bakersfield TV Station that the prison closure would have little impact on them. There are too many hot topics to resolve within Cal City. These types of meetings usually result in no action or deferred discussions. It is NOT yet time to engage these entities; leave them for a permanent City Manager to pursue at a later date.

P.S.S: At least 15 actual expense lines (July - Oct 2022) are not in the 2022/23 Budget. 3 8 January 10, 2023
To: City Clerk, Interim City Manager, & City Council Dec 8, 2022 Public Input -- Deficiencies, Errors, & Observations Regarding 2022/23 Budget

1. Budget document missing Staff & Council Management Discussion & Analysis called MD&A

2. Eighteen (18) separate City Funds have been omitted from the budget document; significantly understates total estimated expenditures and revenue

3. Transfers of funds (in & out) - individual paths and specific amounts per path of transfers are unspecified

4. Budget does not show General Fund transfer of Measure C NEW Revenue to Police and Fire funds; New Revenue includes 90% of cannabis tax revenue and 90% of marginal increases over 2017/18 baseline for property tax, sales & use tax. This understates Police and Fire funds revenue.

5. Applying cash balance changes based on the 2022/23 budget, there will be more city funds with negative cash balances by end of June 2023 than at the beginning of July 2022.

6. Approximately 80-100 expense lines are included in the 2022/23 budget that were ZERO SPENT in the prior two fiscal years. This inflates expense estimates.

7. Reserve Fund 12 has disappeared; it was holding $559K of VLF in lieu cash from 2021/22; where did it go?

8. AMMDA (Aspen Mall Landscaping and Lighting District) Fund 71 is missing from the budget. This is an O&M fund receiving revenue from assessments on businesses occupying the Aspen Mall.

9. ALL Capital Improvement Funds (except GF CIP Fund 97) are omitted from the budget; despite the Council recently approving a $3.3M capital improvement project in Water CIP Fund 95. Failure to include Water CIP Fund 95 also masks failure to collect Water Standby Fees via assessments

10. Housing Corp (Desert Jade and The Legends) Fund 74 is omitted from the budget document, further fueling speculation of selling the properties.

11. Total actual expenditures increased by 5.5% from 2020/21 to 2021/22, now for the 2022/23 budget estimated expenditures increase by a whopping 18% even with 18 different City funds excluded from the budget.

12. Electricity (lines 281) expense estimates for 2022/23 are dramatically higher than actuals in 2021/22, despite the City's use of solar power contract that was supposed to reduce electricity costs.
9 January 10, 2023

13. The monthly lease charges for contractor use of the Van Pray property is supposed to increase from $4,000/month to $7,500 per month at the 10 year point which I believe occurs in Dec 2022. Neither the $4,000/month ($48K/year) nor $7,500/month ($90K/year) lease revenue appears in the 2022/23 budget, Airport Fund 53 revenue line 53-3791.

14. No use of analytical trend analysis to establish realistic estimates from prior year actuals; this increases inaccuracies of the budget estimates - a core deficiency in Cal City budgets.

15. Almost all estimates are rounded up to the next $10,000, $1,000, or $100 again increasing inaccuracies of the budget estimates - a core deficiency in Cal City budgets.

16. Based on the proposed 2022/23 budget, the following major City funds will be cash negative (in the red) as of June 30, 2023
a. OHV Grants Fund 16 = ($708K)
b. Police Fund 18 = ($1.150M)
c. Public Safety Fund 26 = ($140K)
d. Tierra Del Sol Fund 40 = ($3.037M)
e. Airport Fund 53 = ($2.591M)
f. Dial-A-Ride Fund 54 = ($938K)
g. Total = ($8.564M)

17. Recurring cash negative funds are being SUBSIDIZED by the General Fund and other cash positive funds, according to the State Auditor. The City 2022/23 budget is treating these ($8.564Ml) in cash deficient funds as undocumented loans masking true City cash status. This is a bad practice.

18. Suggested ARPA expenditures are dubious; there was supposed to be plan submitted to the State on intended use of funds.
a. The City owns three road graders (city yard), in neglected condition, plus one new road grader at Borax Bill (OHV permit funded). No effort has been made to declare the existing road graders as excess property. No effort to share road graders between departments.
b. City's siren claims by public works that "water mains have failed" apparently is lower priority than new vehicle purchases. c. ARPA money is also intended for City physical infrastructure improvements such as for water, sewer, recycled water, and streets.

The quick-look above is only scratching the surface of deficiencies, errors, and omissions in the 2022/23 budget. J. M. P.

MEMORANDUM
To: California City City Council
From: Office of the City Attorney
Date: January 6, 2023
Subject: Appointment of Mayor Pro Tempore Post Certification of November 8, 2022 Election

EXECUTIVE SUMMARY
Following certification of the election results for the November 8, 2022, election, the City Attorney's Office was asked to provide input regarding the appointment of Mayor Pro Tempore pursuant to California City Municipal Code ("Municipal Code") Section 2-1.104(b). A review of the Municipal Code, California Government Code, and past practices in the City of California City ("City") has determined that Ronald V.

Smith Jr. should be appointed as Mayor Pro Tempore for the City.

DISCUSSION
Municipal Code Section 2-1.104(b) states "the most senior member of the Council who has not yet served as Mayor Pro Tempore shall serve as Mayor Pro Tempore." It goes on to say that in the event two councilmembers have equal seniority, as is the current case with Councilmember Jim Creighton and Councilmember Karen Macedonio, then "the council member who has received the most votes during the most recent election shall serve as Mayor Pro Tempore." There is a question as to whether the use of "most recent election" in the Municipal Code refers to the general election held on November 3, 2020, or the general election held on November 8, 2022.

Government Code Section 36801 states "The city council shall meet at the meeting at which the declaration of the election results for a general municipal election is made pursuant to Sections 10262 and 10263 of the Elections Code and, following the declaration of the election results and the installation of elected officials, choose one of its number as mayor, and one of its number as mayor pro tempore." Pursuant to the Government Code, the Mayor Pro Tempore position is selected after certification of election results and installation of newly elected officials, the reference to the "most recent election" in the Municipal Code refers to the election whose results have just been certified. In addition, section 2-1.104 (b) of the Municipal 15 January 10, 2023
January 6, 2023

Page 2 ends

Code states the appointment of the Mayor Pro Tempore is to occur after a Mayor has been seated, after certification of election results.

Both Government Code Section 36801 and Municipal Code Section 2-1.104(b) are clear that the Mayor Pro Tempore appointment occurs after certification of election results, making the reference to "most recent election" in Municipal Code Section 2-1.104(b) to the most recently certified election, the general election held on November 8, 2022.

CONCLUSION AND RECOMMENDATION
The California City Municipal Code is clear as to the process for appointing a Mayor Pro Tempore in the event that there are two councilmembers with equal seniority, as is currently the case. The councilmember who received the most votes in the November 8, 2022, election is Ronald V. Smith Jr and Councilmember Smith should be appointed as Mayor Pro Tempore.

Both the appointment in 2020 and 2018 were made with a motion by the Mayor and a second by another same process be followed for this appointment.

COUNCIL AGENDA ITEM
JANUARY 10, 2023
PREPARED BY: Dr. Jim Hart, Interim City Manager
SUBJECT: PRESENTATION BY CORE COMPLIANCE AND APPROVAL FOR CITY MANAGER TO

ENTER INTO AND AGREEMENT FOR CANNABIS COMPLIANCE SERVICES

BACKGROUND/ DISCUSSION
The City currently allows cannabis manufacturing, cultivation, delivery and retail sales.

To date, the City has not had sufficient staff to ensure approved cannabis operations are complying with City codes, keeping proper records, properly calculating taxes, etc.

The Fire Department and Code Enforcement has monitored compliance with planning and building codes but has not done any enforcement/oversight of the business operations, sales or tax calculations.

Staff was authorized by the City Council to recruit for and employ a Cannabis Compliance Manager but staff has been unsuccessful in receiving qualified applicants.

Through involvement with cannabis in other jurisdictions, the City Manager has worked with Core Compliance which is a business that does cannabis business operation compliance in other cities. They have been successful in bringing cannabis businesses into compliance with city codes, ensuring proper accounting for and reporting of cannabis taxes, and ensuring all regulations for the State are followed.

Staff reached out to Core Compliance requesting a scope of work to assist the City in its compliance efforts.

Attached is the scope of work with a total cost not to exceed $97,600.00 for a 12-month period. There are some quoted functions that may not take as long as anticipated (i.e. ordinance review) and that is why this is a "not to exceed" amount. 22 January 10, 2023
As a comparison, to hire a Cannabis Compliance Manager, assuming staff received qualified applicants, the cost would be approximately $132,000 with salary and benefits. And possibly only one person would not perform the scope of services that Core Compliance can.

As a result of the need to ensure the City is receiving proper revenue, that operators are complying with City and State codes, staff is seeking the City Council's authority for the City Manager to execute an agreement with Core Compliance.

FISCAL IMPACT
A cost of no more than $97,600.00 for a 12-month period of time. Funds are available in the Cannabis account 10-4171-310 to cover this cost.

COUNCIL OPTIONS

1. Approve staff's recommendation to authorize the City Manager to execute an agreement with Core Compliance for an amount not to exceed $97,600.00

2. Not authorize the City Manager to execute an agreement with Core Compliance

3. Provide other direction to staff

RECOMMENDATION
Staff recommends that the City Council authorize the City Manager to execute an agreement with Core Compliance for an amount not to exceed $97,600.00 for a 12- month period of time.

COUNCIL AGENDA ITEM
January 10, 2023
PREPARED BY: Dr. Jim Hart, Interim City Manager
SUBJECT: Presentation by NORESCO and Direction to Staff

BACKGROUND/ DISCUSSION
Ryan Gunstream representing NORESCO will be making a presentation (attached) and is requesting the City Council consider adopting a resolution authorizing the City Manager to execute a Project Development Agreement with NORESCO to develop a Water and Energy Efficiency Project pursuant to California Government Code Section 4217.

California Government Code Sections 4217.10-4217.18 (attached) were enacted in 1984 because of an energy crisis. The purpose was to assist public agencies in expediting and financing energy conservation measures. This Code eliminates the necessity to separately contract for the design and construction phases of a project. As well, it provides public agencies an exception from statutory competitive bidding requirements for public works energy services contracts related to renewable energy and energy conservation. Under these provisions of law, the agency must: (I) provide a two-week public notice before authorizing the procurement; and (2) find that funds for the repayment of the financing or the cost of design, construction, and operation of the facility, or both, as required by contract, are projected to be available from revenues resulting from sales of electricity from the facility.

Advantages of Energy Savings Performance Design-Build Contracting California Government Code Section 4217 allows the City to forgo its standard low-bid public procurement processes to implement turn-key energy services projects when the City finds this procurement method is in its best interest. This procurement model ensures that NORESCO will implement the project for a Guarantee Maximum Price with no change orders, complete the project on-time, and ensure that the systems are performing as specified in the design-build contract. This consists of the following:
42 January 10, 2023
• Collaborative Project Development Process — The design process enables the City to define project goals, participate in the project's design process, and select the subcontractors and equipment vendors that provide the best value solution. • Faster Project Delivery — Since the design build procurement method integrates the project design and pricing/bidding process, this enables the City to significantly reduce the time it takes to move from design to construction.
• Fixed Price Contract (with no change orders) — The detailed design process will define the project's scope of work, develop engineering documentation and specifications, and engage subcontractors and equipment vendors to verify project constructability and pricing.
• Fewer Construction Issues & Cost Impact - The project team (NORESCO and City) will work together for the term of the project development; together they will identify many of the probable construction issues and potential project pitfalls. This collaborative approach would not be possible as part of a normal design, bid, and build project.

To provide more efficient services consistent with General Plan policies, and with electricity costs continuously on the rise, staff would like to explore the potential for achieving greater energy efficiency and improve facility infrastructure for the City. A strong driver was the desire to create more sustainable facilities by using new technologies and clean energy.

The NORESCO Water and Energy Efficiency Project Development Agreement involves a unique public/private partnership; an approach that allows for a streamlined solution to implementing energy and infrastructure replacement projects. The program is divided into four phases:

1. Preliminary Analysis

2. Detailed Design Analysis and Cost Analysis

3. Installation

4. Performance Guarantee Term
A major objective of this process is to minimize risk to the City. NORESCO does this in several ways. First, the City expends no funds until the City has co-authored goals and objectives that must be met by the project in order to move forward and has developed a scope-of-work that meets those criteria. Second, Project cost is a guaranteed maximum price with no change orders.

Finally, the annual savings are guaranteed and backed by the financial stability of Carrier Corp, NORESCO's parent company.

Preliminary Analysis will be developed to provide a Water and Energy Services project that will be self-funding. NORESCO will collect data and conduct onsite surveys of infrastructure improvements. This effort will develop a list of potential Facility Improvement Measures (FIMs) that will be the basis of the energy, water, and operational and maintenance savings plan. A Pro- Forma business case for the financial impact of the FIMs relative to the baseline will be developed.

The deliverables resulting from the Preliminary ("Step 1") Analysis will include:
43 January 10, 2023
a. A list of FIMs expected to meet financial criteria with a summary of the scope of each measure.
b. A summary of the energy savings and greenhouse gas emissions reduction expected to result from the package of FIMs.
c. An estimated cost to implement the package of FIMs and to provide optional ongoing services.
d. A recommended implementation process.
e. A cash flow Pro-Forma and Potential financing, grant and rebate sources. f. Preliminary analysis.
g. Water Audit.

Cost: All costs associated with Step 1 except for staff time to assist in the study, are to be funded by NORESCO and, therefore, NORESCO will not charge the City for any work associated with tep 1. If the City decides not to proceed to Step 2 at this point, no costs will be incurred by th ity. Upon final determination of scope of work from Preliminary Analysis, the City will mov into Step 2 and provide a written Notice to Proceed from the City to NORESCO. All costs associated with Step 2 will be included in the Guaranteed Maximum Price.

As there is no cost to the City for this phase, no budget impact is anticipated. Should the City proceed with Steps 2 and 3, appropriate budget measures will be identified.

FISCAL IMPACT
At this time there is no fiscal impact to the City.

CALIFORNIA GOVERNMENT CODE
SECTION 4217.10 - 4217.18
4217.10. To help implement the policy set forth in Section 25008 of the Public Resources Code, and to extend that policy to facilities of local governments, public agencies may develop energy conservation, cogeneration, and alternate energy supply sources at the facilities of public agencies in accordance with this chapter.
4217.11. The following terms, whenever used in this chapter, have the meanings given in this section, except where the context clearly indicates otherwise:
(a) "Alternate energy equipment" means equipment for the production or conversion of energy from alternate sources as its primary fuel source, such as solar, biomass, wind, geothermal, hydroelectricity under 30 megawatts, remote natural gas of less than one billion cubic feet estimated reserves per mile from an existing gas gathering line, natural gas containing 850 or fewer British Thermal Units per standard cubic foot, or any other source of energy, the efficient use of which will reduce the use of fossil or nuclear fuels. (b) "Cogeneration equipment" means equipment for cogeneration, as defined in Section 218.5 of the Public Utilities Code.
(c) "Conservation measures" means equipment, maintenance, load management techniques and equipment, or other measures to reduce energy use or make for a more efficient use of energy. (d) "Conservation services" means the electrical, thermal, or other energy savings resulting from conservation measures, which shall be treated as a supply of such energy. (e) "Energy conservation facility" means alternate energy equipment, cogeneration equipment, or conservation measures located in public buildings or on land owned by public agencies. (f) "Energy service contract" means a contract entered into by a public agency with any person, pursuant to which the person will provide electrical or thermal energy or conservation services to a public agency from an energy conservation facility.
(g) "Facility financing contract" means a contract entered into by a public agency with any person whereby the person provides financing for an energy conservation facility in exchange for repayment of the financing and all costs and expenses related thereto by the public agency. A facility financing contract may provide for the person with whom the public agency contracts to provide any combination of feasibility studies for, and design and construction of, all or part of the energy conservation facility in addition to the financing and other related services, and may provide for an installment sale purchase, another form of purchase, or amortized lease of the energy conservation facility by the public agency.
(h) "Facility ground lease" means a lease of all, or any portion of, land or a public building owned by, or under lease to, a public agency to a person in conjunction with an energy service es, Conservation facilities will road as mans, ipe in adition to th and rights of access, for the construction, use, or ownership by the person of the facility and all related utility lines not owned or controlled by the interconnecting utility, and offsite improvements related thereto. A facility ground lease may also include the addition or improvement of utility lines and equipment owned by the interconnecting utility which are necessary to permit interconnection between that utility and an energy conservation facility.

(i) "Person" means, but is not limited to, any individual, company, corporation, partnership, limited liability company, public agency, association, proprietorship, trust, joint venture, or other entity or group of entities.
(i) "Public agency" means the state, a county, city and county, city, district, community college district, school district, joint powers authority or other entity designated or created by a political subdivision relating to energy development projects, and any other political subdivision or public corporation in the state.
(k) "Public building" includes any structure, building, facility, or work which a public agency is authorized to construct or use, and automobile parking lots, landscaping, and other facilities, including furnishings and equipment, incidental to the use of any structure, building, facility, or work, and also includes the site thereof, and any easements, rights-of-way appurtenant thereto, or necessary for its full use.
4217.12. (a) Notwithstanding any other provision of law, a public agency may enter into an energy service contract and any necessarily related facility ground lease on terms that its governing body determines are in the best interests of the public agency if the determination is made at a regularly scheduled public hearing, public notice of which is given at least two weeks in advance, and if the governing body finds:
(1) That the anticipated cost to the public agency for thermal or electrical energy or conservation services provided by the energy conservation facility under the contract will be less than the anticipated marginal cost to the public agency of thermal, electrical, or other energy that would have been consumed by the public agency in the absence of those purchases. (2) That the difference, if any, between the fair rental value for the real property subject to the facility ground lease and the agreed rent, is anticipated to be offset by below-market energy purchases or other benefits provided under the energy service contract. (b) State agency heads may make these findings without holding a public hearing. 4217.13. Notwithstanding any other provision of law, a public agency may enter into a facility financing contract and a facility ground lease on terms that its governing body determines are in the best interest of the public agency if the determination is made at a regularly scheduled public hearing, public notice of which is given at least two weeks in advance, and if the governing body finds that funds for the repayment of the financing or the cost of design, construction, and operation of the energy conservation facility, or both, as required by the contract, are projected to e available from revenues resulting from sales of electricity or thermal energy from the facilit r trom funding that otherwise would have been used for purchase of electrical, thermal, or othe energy required by the public agency in the absence of the energy conservation facility, or both.

State agency heads may make these findings without holding a public hearing. 4217.14. Notwithstanding any other provision of law, the public agency may enter into contracts for the sale of electricity, electrical generating capacity, or thermal energy produced by the energy conservation facility at such rates and on such terms as are approved by its governing body. Any such contract may provide for a commitment of firm electrical capacity. 4217.15. The public agency may, but is not required to, base the findings required under Sections 4217.12 and 4217.13 on projections for electrical and thermal energy rates from the following sources:

(a) The public utility which provides thermal or electrical energy to the public agency. (b) The Public Utilities Commission.
(c) The State Energy Resources Conservation and Development Commission. (d) The projections used by the Department of General Services for evaluating the feasibility of energy conservation facilities at state facilities located within the same public utility service area as the public agency.
4217.16. Prior to awarding or entering into an agreement or lease, the public agency may request proposals from qualified persons. After evaluating the proposals, the public agency may award the contract on the basis of the experience of the contractor, the type of technology employed by the contractor, the cost to the local agency, and any other relevant considerations.

The public agency may utilize the pool of qualified energy service companies established pursuant to Section 388 of the Public Utilities Code and the procedures contained in that section in awarding the contract.
4217.17. This chapter does not limit the authority of any public agency to construct energy conservation projects or to enter into other leases or contracts relating to the financing construction, operation, or use of alternate energy type facilities in any manner authorized under existing law. This chapter shall not be construed to abrogate Section 14671.6. 4217.18. The provisions of this chapter shall be construed to provide the greatest possible flexibility to public agencies in structuring agreements entered into hereunder so that economic benefits may be maximized and financing and other costs associated with the design and construction of alternate energy projects may be minimized. To this end, public agencies and the entities with whom they contract under this chapter should have great latitude in characterizing components of energy conservation facilities as personal or real property and in granting security interests in leasehold interests and components of the alternate energy facilities to project lenders Attachment - California Government Code Sections 4217.10-4217.18

CITY COUNCIL
DATE: January 10, 2023

CALIFORN
TO: Mayor and City Council
FROM:

SUBJECT: Adoption of Resolution No. 01-23-2962, a Resolution of the City Council Ratifying the Proclamation of State of Emergency by Governor Newsom on March 4, 2020, and Making the Legally Required Findings to Continue to Authorize the Conduct of Remote "Telephonic Meetings During the State of Emergency for the Period from January 10, 2023, through

BACKGROUND
Since March 12, 2020, Executive Orders from Governor Newsom have relaxed various Brown Act meeting requirements to allow remote meetings and to temporarily suspend the Brown Act provisions requiring the physical presence of Councilmembers at public meetings. Those authorizations expired on September 30, 2021.

On September 16, 2021, the Governor signed AB 361. AB 361 allows local agencies to continue to conduct remote ("Zoom") meetings during a declared State of Emergency, provided local agencies make specified findings by Resolution. Absent this legislation, local agencies would have had to return to traditional meetings beginning on October 1, 2021, and traditional methods of remote participation by Councilmembers including the requirements of Government code 54953(b)(3).

Government Code 54953(b)(3) provides:
(3) If the legislative body of a local agency elects to use teleconferencing, it shall post agendas at all teleconference locations and conduct teleconference meetings in a manner that protects the statutory and constitutional rights of the parties or the public appearing before the legislative body of a local agency. Each teleconference location shall be identified in the notice and agenda of the meeting or proceeding, and each teleconference location shall be accessible to the public. During the teleconference, at least a quorum of the members of the legislative body shall participate from locations within the boundaries of the territory over which the local agency exercises jurisdiction, except as provided in subdivisions (d) and (e). The agenda shall provide an opportunity for members of the public to address the legislative body directly pursuant to Section 54954.3 at each teleconference location.

To utilize the exemption of AB 361 there must be a Proclamation from the Governor of a State of Emergency. On March 4, 2020, the Governor declared a State of Emergency which continues to this date.

In addition, to utilize AB 361, one of the following must also be true:
79 January 10, 2023
1) "State or local officials have imposed or recommended measures to promote social distancing"; or
2) The legislative body is holding a meeting for the purpose of determining "whether as a result of the emergency, meeting in person would present imminent risks to the health or safety of attendees." That is, the legislative body will be determining whether there is such risk; or 3) By "majority vote? the legislative body determined that "as a result of the emergency, meeting in person would present imminent risks to the health or safety of attendees." That is, the legislative body already determined there is such risk.

The Kern County Public Health Services news release from December 1, 2022, encourages everyone to take preventative measures as winter viruses, including COVID-19 circulate. Additionally, State officials continue to impose and recommend social distancing and indoor masking measures for additional protections.

The Council has the option to either return to the traditional Brown Act provisions or continue to pass the required AB 361 Resolution and avail themselves of the modified Brown Act provisions. So long as the declared State of Emergency by Governor Newsom remains in place, along with the local recommendations by Kern County, the Council will have the necessary findings to continue holding meetings under the modified Brown Act rules made available under AB 361. While the Council is not obligated to pass the attached resolution, failure to do so will require the Council, along with all Boards and Commissions of the City to return to traditional Brown Act requirements.

To utilize the exemptions available under AB 361, the City Council must adopt a resolution making the required findings and renew the resolution every thirty (30) days.

RECOMMENDATION
Staff recommends that the City Council adopt Resolution No. 01-23-2962 reaffirming that the aforementioned conditions continue to be true and utilize the exemption from the requirements of the Government Code Section 54953(b)(3) for an additional thirty days.

ENVIRONMENTAL REVIEW
This Action is exempt pursuant to Section 15061(b)(3) of Title 14 of the California Code of Regulations.
