Around 300 new residential properties are approved. That must translate Ito 3-4 car trips per day per unit? Is water supply adequate? Also around 255 new hotel/motel/resort units approved/planned? The Four Seasons still has its workers parking all over the Silverado Road shoulders and taking up normal residential use on Bannon St.
This creates clear and present danger to pedestrians and bicycles.
Maybe the Calistoga Planning Dept.forgot to make sure Four Seasons had ample worker parking on-site? But maybe parking just needs to be enforced by using their existing parking areas?
Anything being done to enforce no parking on road shoulders? And making Four Seasons provide parking on-site for their employees and workers? I see this in front of Indian Springs as well. The employees are parking on the shoulder which again creates a danger for bike and pedestrians.
Why isn't too making on road shoulders enforced?
Would you mind reviewing these situation with planning and enforcement?
I sure would appreciate it. Thanks for your time and all you do City of Calistoga. But your are ruining quaint Calistoga with a lack of foresight in my humble opinion. You must like traffic lights because you are creating them with your run away planning for more and more units.
Kind regards and thanks for getting Mt. Washington cleaned up! Malcolm Sibbernsen

Meaningful public participation
Public Comment 1.16.24 1
CAUTION: This email originated from outside of the organization. Do not click links or open attachments unless you recognize the sender and know the content is safe.
Dear Councilmembers - I recently exchanged emails with Ms. Molly Towey, who reminded me of the value of fresh perspectives in our town's government. I know the City actively seeks to embrace this paradigm, so I feel comfortable sharing some thoughts.
I think the City may have opportunities to enhance meaningful public participation in decision-making. The Fairgrounds acquisition is a case in point. I strongly support the City levying a tax to acquire and put the Fairgrounds to good use. But unless circumstances change, I likely will not vote for it because I won't know what I would be supporting. As far as I can tell - and I well may be wrong - the City to date has not provided the public a robust description of the community benefits that would result from the acquisition, nor credible estimates of the project costs and management architecture needed to implement and sustain such an undertaking. Importantly- and again I may be wrong- is does not appear the City has developed a range of development alternatives - based on established, memorialized community goals and objectives, supported by projections of financial performance, and informed by public input - for its citizens to consider in deciding whether to support new taxes. To me this is unfortunate, because it seems to undermine the City's ability to nimbly take advantage of this once-in-a-generation opportunity to address communitywide needs and aspirations (that are undoubtedly well-documented in our General Plan, economic development plans, and elsewhere).
Perhaps the City could consider improving the way it develops and implements opportunities for meaningful public participation in decision-making. In the case of the Fairgrounds acquisition, the City might foster such enhanced participation by formulating an initial range of development alternatives that respond, to varying degrees, to core community-wide needs and aspirations, and that are supported by realistic projections of financial performance. This range of development alternatives might then be widely shared to provide a basis for informed public involvement in refining alternatives, and in selecting a preferred action.
Thank you for considering these thoughts.
Respectfully,
Tim Reilly

City of Calistoga
STAFF REPORT
To: Honorable Mayor and City Council
From: Yudiana Galvan, City Clerk
Meeting: City Council - Jan 16 2024
Subject: Introduction and First Reading of an Ordinance of the City Council of the City of Calistoga Amending Calistoga Municipal Code section 2.04.010 Regarding Setting the Schedule of Regular City Council Meetings By Resolution
DESCRIPTION:
Consideration of ordinance amending Municipal Code Section 2.04.010 regarding setting the schedule of regular City Council meetings by Resolution RECOMMENDATION:
Waive first reading, and introduce an Ordinance of the City Council of the City of Calistoga Amending Calistoga Municipal Code section 2.04.010 Regarding Setting the Schedule of Regular City Council Meetings By Resolution
BACKGROUND/SUMMARY:
Currently, the Calistoga Municipal Code specifies the Regular City Council meeting schedule, with meetings to be held the first and third Tuesday of every month. The Council has indicated its desire to alter the regular meeting schedules annually and has approved a tri-weekly meeting schedule for the year of 2024.
Government Code section 54954, the City Council is authorized to set its regular meeting dates and times “by ordinance, resolution, bylaws, or by whatever other rule is required for the conduct of business by that body.” To allow the Council to annually schedule its regular meetings by resolution, the Council must revise Section 2.04.10 of the City Code to allow scheduling of regular City Council meetings annually by Resolution.
City staff have revised Section 2.04.010 to: (1) remove language in the code which provided for the City Council’s regular meetings to occur on the first and third Tuesdays of each month at 6:00pm; (2) add language that regular meetings shall be established by Resolution each year; and (3) remove language pertaining to the City’s ability to hold special meetings (which is already addressed in Section 2.04.020).

Meeting: City Council - Jan 16 2024
Subject: Second Reading of an Ordinance of the City of Calistoga Amending Municipal Code Section 2.04.050 Regarding Councilmember Salaries DESCRIPTION:
Second Reading of an Ordinance of the City of Calistoga Amending Municipal Code Section
2.04.050 Regarding Councilmember Salaries
RECOMMENDATION:
Adopt an Ordinance of the City of Calistoga amending Municipal Code Section 2.040.050 regarding councilmember salaries and directing staff to make corresponding budget adjustments.
BACKGROUND/SUMMARY:
City Council member compensation has not been increased in almost four decades. This action would increase the City Council's monthly salary to the maximum allowable amount of $950 per month to address inflation and the large number of volunteer hours spent by local elected officials in the performance of their duties. In addition, the Mayor's compensation would be raised an additional $550 each month for a total of $1,500 for the additional duties associated with the role of the Mayor.
The new compensation amount would become effective when a new member of the City Council is sworn into office or when a member of the City Council begins a new term.
ANALYSIS:
Additional analysis is available in the December 19, 2023 staff report when the ordinance was first introduced.
CEQA STATUS:
No Impact
FINANCIAL IMPACT:
The total annual net increase to future budgets will be $51,600.

WHEREAS, On May 20,1986, the City Council for the City of Calistoga adopted Ordinance No. 409 which set the City Council's monthly compensation at $200 per month pursuant to the provisions of Government Code Section 36516(a)(2) based on a population; and
WHEREAS, On June 29, 2023, Governor Newsom signed Senate Bill 329 ("SB 329") which amends Government Code section 36516 to increase the maximum amount of compensation that can be approved by a city ordinance based on different population thresholds; and
WHEREAS, SB 329 authorizes the salary of councilmembers to be increased beyond the specified maximums to an amount not exceeding the greater of either five percent (5%) for each calendar year from the operative date of the last adjustment of the salary in effect when the ordinance or amendment is enacted, or an amount equal to inflation since January 1, 2024, based upon the California Consumer Price Index, which shall not exceed ten percent (10%) for each calendar year; and WHEREAS, SB 329 mandates a two-meeting process for considering the adoption of an ordinance increasing councilmember compensation with the first meeting involving the presentation of the proposed ordinance and findings demonstrating the need for the increased compensation; and
WHEREAS, neither SB 329 nor Government Code Section 36516 require the city council to make similar findings solely when increasing the mayor's compensation; and WHEREAS, the salaries for the City Council have not been increased or adjusted for thirty-eight (38) years to keep pace with the rising cost of living and inflationary trends; and
WHEREAS, to encourage qualified persons to become members of the City Council and to ensure that members of the City Council are compensated comparably to councilmembers of other cities, the City Council finds that it is necessary and in the public interest of the City to increase the salaries of the City Council and Mayor; and WHEREAS, the City Council desires to amend Calistoga Municipal Code Section
2.04.050 to increase the maximum amount of compensation allowed under Government Code Section 36516(a)(2) which is $950 per month ($11,400 per year); and Item #6.2.
4888-2987-4580 v1
WHEREAS, pursuant to Government Code Section 36516.1, the City Council further desires to add a new subsection to Calistoga Municipal Code Section 2.04.050 to increase the Mayor's compensation by an additional five hundred fifty dollars ($550.00) per month over what the Mayor receives as a member of the City Council; and
WHEREAS, SB 329 becomes effective on January 1, 2024, and therefore, any Council salary increase authorized pursuant to that law cannot become effective before January 1, 2024; and
WHEREAS, Government Code Section 36516.5 provides that a change in salary for each city councilmember does not take effect until one or more members of the city council begins a new term of office.

The Recitals set forth above are true and correct and are incorporated into this Ordinance.

SECTION FOUR - FINDINGS
In accordance with the provisions of SB 329, the City Council finds it necessary and in the public interest to increase the salary of City Councilmembers for the following reasons: City Council salaries have remained unchanged for an extended period of thirty-eight (38) years, a duration that has not aligned with the escalating cost of living and inflationary pressures, and the heightened demands inherent in their roles.
Furthermore, the City Council finds that the proposed salary increase is necessary, as it will act as a catalyst in attracting well-qualified individuals to take on the responsibilities Item #6.2.

City of Calistoga
STAFF REPORT
To: Honorable Mayor and City Council
From: Jed Matcham, Fire Chief
Meeting: City Council - Jan 16 2024
Subject: Application for an Office of Traffic Safety Grant DESCRIPTION:
California Office of Traffic Safety grant application to fund the replacement of outdated vehicle extrication tools ("jaws of life")
RECOMMENDATION:
Approve resolution for a grant application and acceptance of grant if awarded to fund vehicle extrication tools.
BACKGROUND/SUMMARY:
Providing timely care to crash victims is critical to reducing deaths and the severity of injuries. When a person is injured in a crash, they rely on first responders to quickly locate them, stabilize their injury, and transport them for care. Recent studies show that an effective emergency trauma care system can improve survival from serious injuries by as much as 25% and county-level coordinated systems of trauma care can reduce crash fatalities rates as much as 50%. The Safe System approach accepts that crashes will happen, but by focusing attention on reducing the severity of injuries when a crash occurs, such as post-crash care, we can better address every aspect of crash risks by being proactive and implementing multiple layers of protection. Grant programs for emergency medical services (EMS) include upgrading extrication equipment that allows emergency responders to quickly access occupants trapped in vehicles.
In 2023, Calistoga Fire Department responded to 39 traffic collisions, which involved 44 injured victims. Of these 39 collisions, 5 collisions required the use of hydraulic extrication tools ("the jaws of life") to remove victims from the vehicles. The extrication tools that are currently carried on CFD apparatus were purchased in 2006 and have served the community well over the past 14 years.
Now, this equipment is old and outdated. Our current tools are unable to cut through many of the new, high-strength alloys that are used in today's vehicles. New tools are no longer anchored to a large gasoline powered pump with hoses, instead they utilize green technology and battery power to operate the tools. New technology has resulted in tools that are ergonomically designed and much lighter in weight than our current tools. All of these improvements result in tools that are more capable, operate more efficiently, cause fewer employee injuries, and result in quicker extrication of victims which has a proven link to improved outcomes for the patients.
A quote in the amount of $88,499.43 has been received for the replacement of our extrication tools.
ANALYSIS:
Item #6.3.
The hydraulic extrication tools used by CFD are 16 years old and are approaching the end of life cycle for tools of this type. Extrication tools have improved dramatically over the years, and the new tools are more efficient, stronger, quicker, more reliable, and better for the environment. It is proven that the faster a patient is removed from the wreckage and transported to a hospital, the better the outcome for the patient.
Replacement of our older "jaws of life" is due. California Office of Traffic Safety is providing an opportunity to apply for a grant to cover the expenses of replacing our equipment. If our grant application is successful, we will be able to purchase the newest extrication equipment available. As with any grant application, there is no guarantee our application will be chosen, but this does provide an opportunity to try to replace our equipment without needing to identify and allocate funds for the capital replacement of the equipment, potentially saving almost $88,499.43 at a time that fiscal responsibility is of the utmost importance.
CEQA STATUS:
Not Applicable
FINANCIAL IMPACT:
Potential savings of $88,499.43 for the replacement of the hydraulic extrication tools.

STAFF REPORT
To: Honorable Mayor and City Council
From: Jessie Catacutan,
Meeting: City Council - Jan 16 2024
Subject: Fiscal Year 2023-24 Mid-year Budget Amendments DESCRIPTION:
Fiscal Year 2023-24 mid-year budget amendments
RECOMMENDATION:
Receive a report and consider adopting the attached resolution that amends the Fiscal Year 2023- 24 budget.
BACKGROUND/SUMMARY:
On June 20, 2023, the City Council adopted a balanced budget for the Fiscal Year 2023-24. Midyear budget adjustments address changes in conditions compared to when the budget was adopted as well as administratively necessary updates, including for audit purposes.
Staff is recommending formal changes in revenue estimates and in expenditures in several funds. In the General Fund, the City’s primary and most flexible fund, an increase in property taxes will offset decreases in both sales tax and transient occupancy (i.e. hotel) taxes (“TOT”) resulting in a net positive increase of approximately $230,000 in revenue. The majority of the expenditure changes relate to known transfers between funds that were not previously officially appropriated, despite being discussed in the narrative in the original Fiscal Year 2023-24 budget book. General Fund reserves are expected to remain at or above the City Council’s 50% policy level.
ANALYSIS:
The analysis below addresses the operating funds for Fiscal Year (FY) 2023-24, including the General Fund, Enterprise Funds (Water Operating and Sewer Operating), and the Special Revenue Fund (Equipment Replacement).
GENERAL FUND
General Fund Revenues
The total General Fund revenue budget adopted (including transfers in and grants for CIP) for the Fiscal Year 2023-24 was $21.3 million while the appropriations budget, including capital improvement budget, was $21.7 which is a net deficit spending of $.4 million. Table 1 summarizes the proposed revenue adjustments which would increase the net revenue by $230,509.

1. Property Taxes: Property taxes are not finalized by the County in time for the annual budget cycle and the final tax roll has resulted in an increase in revenue compared to the initial estimates. The City’s share of the property tax revenues based on the final County tax roll increased by $396,542 (01-3201) from the original FY 23-24 budget. The city receives approximately 20¢ of every dollar collected with larger shares going to local schools, community colleges and Napa County.
2. Sales Tax: The sales and use tax rate in Napa County is currently 7.75% of which Calistoga receives 1% from the California Board of Equalization for transactions occurring within the City. The City staff received an updated sales tax projection report from the City’s consultant, HDL Coren & Cone, for the Fiscal Year 2023-24. HDL projects the City’s sales tax revenues will decrease by ($71,885) or 5% when compared to the original estimates in the originally adopted budget (01- 3203).
3. Transient Occupancy Tax (TOT): Transient taxes are the largest revenue for the General Fund and account for more than half of all projected General Fund revenues FY 2023-24. For Fiscal Year 2023-24, the TOT revenues are projected to decrease by a total of ($95,766) when compared to the adopted budget of $11.5M (01-3204).
4. Vehicle License Fee (VLF): As part of the State Budget Act of 2004, the legislature reduced VLF revenue allocations to cities, replacing this funding with additional property tax allocations that change proportionately with the City’s annual assessed valuation (property tax in-lieu of VLF Item #8.1.
revenue). Total VLF estimated for the Fiscal Year 2023-24 are projected to increase by $1,618 (01- 3232), or .0016% (1/6 of 1%) from prior estimates.
No other revenue changes are being recommended at this time. For reference purposes, “Other Taxes” includes the Document Transfer Tax, Manufacturing Tax, and Unsecured Tax and “Other Revenues” includes Franchise Fees, Central Services Reimbursements.
General Fund Expenditures
A total of $6,152,977 in additional FY 2023-24 expenditures are recommended to formally memorialize previously approved transfers and capital projects and correct a partial omission of risk management (insurance) premiums. Only $225,721 of this amount is for a requested increase in actual expenses. Table 2 illustrates the requested mid-year changes in the General Fund expenditures for the Fiscal Year 2023-24.

1. City Attorney: City staff are requesting an additional $200,000 to fund increased legal fees (01-4113-4402) including for work on the Fairgrounds, Housing Element, personnel matters, and development projects.
2. Fire Services: City staff are requesting an additional $25,721 for the Fire Department to support increased utilities and for fire personal protective equipment ($16,721 in 01-4117- 4403, $9,000 in 01-4117-4408).
3. Risk Management and Human Resource: The total amount for all premiums for membership in the City’s risk pool was not included in the originally adopted budget. The council approved a budget for Risk Management in the amount of $478,165 but the total final amount is $1,073,792 (01-4170-4411). City staff is requesting for an additional $595,627 to fully fund the invoice. The actual premium cost for prior year FY 22-23 was $994,341 so the actual cost in FY 23-24 has only increased by $79,451 or 8%.
4. Infrastructure: The FY 23-24 adopted budget included $2,200,000 (10-4110-3299) in the narrative portion of the budget for Council Priorities for capital improvement and other investment related activities. However, the amount was not properly appropriated in the detailed adopted budget for the creation of Fund 10 (Infrastructure – Human and Physical) as a transfer out from the General Fund. The City Council will determine how to spend this fund in the future.
5. Loan to Water Fund CIP: The FY 22-23 adopted budget included a loan to the Water Fund CIP of $1,000,000 (12-3299) for capital projects in the narrative portion of the budget.
However, the amount was not properly appropriated in the detailed adopted budget as a transfer out from the General Fund. It will be repaid over 10 years at zero percent interest.
6. Loan to Sewer Fund CIP: The FY 22-23 adopted budget included a loan to the Sewer Fund CIP of $500,000 (13-3299) for capital projects in the narrative portion of the budget.
However, the amount was not properly appropriated in the detailed adopted budget as a transfer out from the General Fund. It will be repaid over 10 years at zero percent interest.
Item #8.1.
7. Equipment: During a detailed review of the FY 22-23 and FY 23-24 budgets of the general and equipment funds, several discrepancies were noted totaling $1,072,330 (01-4700-4799) that staff propose adjusting now. The following are the adjustments:
A. $222,330 - The equipment fund FY 23-24 adopted budget had a deficit of $222,330 (not including $160,000 of planned depreciation) that the existing net available fund balance will not be able to absorb (15-3299).
B. $350,000 - The equipment fund FY 23-24 adopted budget included $350,000 (15-3299) for the purchase of the finance enterprise resource planning software (15-4975-4823) in the narrative portion of the budget but the amount was not properly appropriated in the detailed adopted budget.
C. $500,000 - The equipment fund prior year FY 22-23 adopted budget included $500,000 (15-3299) for other technology (15-4975-4823) needs in the narrative portion of the budget but the amount was not properly appropriated in the detailed adopted budget.
8. Capital Improvement Program (CIP): The City Council originally approved $4.9 in CIPs funded by the General Fund for the Fiscal Year 2023-24. Approximately $559,300 (01-4700- 4799) in changes are recommended as detailed in Table 3 and below.

The mid-year proposed supplemental CIP budget request totaling $559,300 (01-4700-4799) includes:
A. $279,300 -The City Council previously approved replacing the street sweeper that is over 12 years old in FY 22-23 totaling $326,208 from the Equipment Replacement Fund (15- 4970-4820) but city staff are proposing to fund this project from the general fund. The updated total cost of the street sweeper is $341,300. However, the $62,000 required deposit has already been paid by the Equipment Replacement Fund so the request has been reduced to $279,300. The total cost will be offset by $100,000 due to a grant from Upper Valley Waste Management Agency.
B. $80,000 – The City Council previously approved the Fairway Path (Vine Trail) (01-5521- 4905) with $40,000 of funding in FY 22-23 and $242,000 in FY23-24, respectively. The City Council also previously approved an additional $80,000 for design and permitting which we now need to formally finalize. An additional $133,000 is needed which will come from Fund 57 Impact Fees. This is a total of almost $500,000 for Calistoga's share of the Vine Trail project, but the current General Fund budget impact request is just the $80,000.
C. $150,000 – The South Oak Bridge preliminary design work was approved by the City Council on December 5, 2023. Grant funds will eventually offset this expense. The new Item #8.1.
account will be created after City Council formal approval as memorialized by the attached resolution.
D. $50,000 – The Compost Bins project is a new request from the City Council as discussed during the Upper Valley Waste Management Agency grant conversation that was ultimately awarded for the purchase of the street sweeper. The new account will be created after City Council formal approval as memorialized by the attached resolution.
Additional Budget Changes
Additional General Fund budget changes not needing City Council approval will be made administratively within each department. Key examples include the annual salary increases previously approved by City Council but which were not included in the originally adopted budget and changes in overall dollars needed for contract services or materials and supplies. Salary savings and/or overall budget savings in each department are expected to cover any increase in other areas within each budget.
WATER OPERATING FUND
There is no proposed supplemental budget request for the Water Operating Fund.
SEWER OPERATING FUND
There is no proposed supplemental budget request for the Sewer Operating Fund.
EQUIPMENT REPLACEMENT FUND
This fund accounts for all the operating and maintenance costs related to the City’s computer network, workstation system, maintenance, and purchase of vehicles, as well as fixed and maintenance costs related to information technology that benefit all other City funds and programs.
Table 6 illustrates the proposed changes and the “Transfer In” correlates with the “Transfer Out” from the General Fund as previously described in this report.

Item #8.1.
City staff is proposing a budget adjustment totaling $1,072,330 which follows:
1. $222,330 - The equipment fund FY 23-24 adopted budget had a deficit of $222,330 (not including $160,000 of planned depreciation) that the existing net available fund balance will not be able to absorb (15-3299).
2. $350,000 - The equipment fund FY 23-24 adopted budget included $350,000 (15-3299 and 15- 4975-4823) for the purchase of the finance enterprise resource planning software in the narrative portion of the budget but the amount was not properly appropriated in the detailed adopted budget.
3. $500,000 - The equipment fund prior year FY 22-23 adopted budget included $500,000 (15-3299 and 15-4975-4823) for other technology needs in the narrative portion of the budget but the amount was not properly appropriated in the detailed adopted budget.
CEQA STATUS:
Not a project under CEQA
FINANCIAL IMPACT:
The proposed budget includes adjustments to revenues and expenditures. If approved by the City Council the budget adjustment in each respective fund will be as follows:
General Fund
o Revenues: $230,509
o Expenditures: $6,214,977 ($821,347 operating, $4,772,330 transfers out and $621,300 for CIPs)
Equipment Replacement Fund:
o Revenues: $1,072,330
o Expenditures: $1,010,000
Because many of the expenditures were anticipated in prior budgets but either not spent in the originally-budget fiscal year and/or were not officially appropriated by the City Council during the annual budget process, the General Fund balance increased proportionally. Therefore, using the net revenue increases to the General Fund and the General Fund balance to fund these changes is appropriate. In addition, CIP expenditures from the General Fund are not currently used in the reserve calculation. Therefore, the City Council’s reserve policy of 50% of operating expenditures will still be met after these budget adjustments are made.

City of Calistoga
STAFF REPORT
To: Honorable Mayor and City Council
From: Laura Snideman, City Manager
Meeting: City Council - Jan 16 2024
Subject: CITY HALL OFFICE RECONFIGURATION, INCLUDING ACCESSIBILITY
IMPROVEMENTS AND PURCHASE OF FURNITURE TO ACCOMMODATE
NEW POSITIONS AND CITY FACILITY IT UPGRADES
DESCRIPTION:
Consider adoption of a resolution to complete minor interior improvements to City Hall including accessibility improvements, purchase office cubicles and furniture to accommodate new positions, and upgrade the IT infrastructure in City Facilities.
RECOMMENDATION:
Adopt the attached resolution to authorize the City Manager to:
1. Execute a Purchase Order with Gordian for demolition and construction services at City Hall in an amount not to exceed $151,345.91;
2. Execute a Purchase Order with Advent Furniture for the purchase and installation of office cubicles and furniture to accommodate new positions for an amount not to exceed $36,869.80;
3. Enter into a Consultant Services Agreement for $69,291.43 with Marin IT for the upgrade of the City’s IT Infrastructure and phase 1 transition of phones to Microsoft Teams;
4. Include $18,800, a 10% contingency, on construction and furniture costs.
BACKGROUND/SUMMARY:
Calistoga’s City Hall was constructed in 1902 and does not meet the City’s current needs. The Public Works Department, Parks and Recreation Department, Police Department and Fire Department are each housed in different buildings around the City. Reconfigured office space is needed in City Hall for contract, temporary and part-time help as well for the new Human Resources Manager, Assistant City Manager, and Deputy Finance Director positions.
In 2022 a modular unit was placed at 1745 Washington St. for Parks and Recreation staff. That project evaluated the possibility of placing the modular near City Hall to keep staff in a centralized location but found it to be infeasible in the City Hall parking lot and cost prohibitive in the Police Department parking lot.
To accommodate the City’s current staffing requirements, an Office Reconfiguration Project (Project) at City Hall is recommended to create three additional offices and a shared cubicle area.
As part of the Project, new computer network wiring will need to be installed and staff recommend that long overdue IT system upgrades are made to City facilities to provide reliable connectivity.
Item #8.2.
City Hall currently provides offices space for the City Manager’s Office, Finance Department, and Planning and Building Department staff. Unfortunately, there are insufficient workspaces for current staff. Numerous scenarios were evaluated to identify workspaces for the City’s net new positions as well as part-time, contract and temporary employees. The most cost-effective option works within the current City Hall footprint, with no additional square feet being added to the building. This option requires minor construction and demolition work, the purchase and installation of new office furniture and cubicles, and updates to the impacted employee’s phones. The Project will meeet the City's current needs, however, planning for a new and larger city hall is recommended to hold City Council and community meetings, include conference room space, provide full accessibility, and house staff in a centralized location to facilitate collaboration and increase operational efficiencies.
Tenant Improvements
A purchase order with Gordian has been negotiated to provide demolition and construction services to add three offices and a shared cubicle area at City Hall. Services were competitively bid through the Gordian/Sourcewell ezIQC® process. The ezIQC® process streamlines procurement by taking advantage of the “already competitively bid” processes that meet California public contracting requirements. T&S West will serve as the subcontractor.
The attached purchase order with Gordian includes the detailed scope of work and cost proposal.
The $151,345.91 cost includes $127,345.91 in tenant improvements and a $24,000 allowance for a portion of the path of travel improvements triggered by the California Building Code requirements.
Path of Travel and Accessibility Improvements
The California Building Code section 11B-202.4.8, requires 20 percent of the cost of the tenant improvements, or $25,469.18, be spent on path of travel improvements to improve accessibility. The City had a Certified Access Specialist evaluate City Hall and prioritize the expenditure of funds towards accessibility improvements. The budget is proposed to be spent on the accessibility study, improvements to the entrance, and accessible parking and sidewalk improvements.
Furniture
The purchase and installation of new office furniture and cubicles is recommended to fit the new office spaces. Advent Furniture’s $36,869.80 proposal assumes the repurposing of furniture and cubicle pieces as feasible.
IT Upgrades
The existing computer network cabling is below standard and does not provide the reliable connectivity modern office spaces require. Installing cubicles and rearranging offices will also require new network wiring. The associated cost of these purchases and labor for Marin IT to complete the work is $48,539.48.
As part of the Project, staff recommends the purchase of additional Microsoft and calling plan licensing to transfer twelve city phone numbers to Microsoft Teams. This transition will serve as phase one of a citywide transition to Teams calling, providing much more flexibility, and eliminating the costly phone circuits and usage charges. The one-time cost of this transition includes Marin IT’s administration and installation costs of $7,440 and $5,119.75 for the purchase of new phones. The projected annual cost for the Microsoft licensing and calling plan is $8,192.20, an annual cost savings of $4,350. The total cost of the Microsoft Teams transition is $20,751.95.
The attached Consultant Services Agreement with Marin IT includes the scope of work for the IT Upgrades ($48,539.48) as well as the Microsoft licensing, calling plan, and labor to implement these phone system changes ($20,751.95) for a total cost of $69,291.43.

CONSUL TANT shall diligently continue and complete performance of the Services if the Services are not complete at the time CONSULT ANT has performed services up to the Cost Ceiling.
ARTICLE 3 - TIME OF PERFORMANCE

ARTICLE 4-DESIGNATED CONTACTS
4.1. CITY Contact. CITY designates Rachel Stepp, its Director of Parks and Recreation, as its contact who shall be responsible for administering and interpreting the terms and conditions of this Agreement, for matters relating to CONSULT ANT's performance under this Agreement, and for liaison and coordination between CITY and CONSULTANT. CONSUL TANT hereby agrees to obtain any endorsement that may be necessary to affect this waiver of subrogation, but this provision applies regardless of whether or not CITY has received a waiver of subrogation endorsement from the insurer. However, the Worker's Compensation policy required by Section 5.3(D) of this Agreement shall be endorsed with a waiver of subrogation in favor of CITY for all work performed by CONSULTANT, its employees and/or agents.
H. Material Breach. If CONSULTANT fails to maintain insurance coverage or provided insurance documentation which is required pursuant to this Agreement, it shall be deemed a material breach of this Agreement. CITY, at its sole option, may terminate this Agreement and obtain damages from CONSULT ANT resulting from said breach. Alternatively, CITY may purchase the required insurance coverage, and without further notice to CONSULTANT, may deduct from sums due to CONSUL TANT any premium costs advanced by CITY for such insurance. These remedies shall be in addition to any other remedies available to CITY.

CITY and CONSULTANT will comply with the requirements of the CITY's Conflict of Interest Code adopted pursuant to California Government Code §87300 et seq., the Political Reform Act (California Government Code §81000 et seq.), the regulations promulgated by the Fair Political Practices Commission (Title 2, § 18110 et seq. of the California Code of Regulations), California Government Code §1090 et seq., and any other ethics laws applicable to the performance of the Services and/or this Agreement. Form 700 forms are available from the CITY Clerk.
CONSUL TANT may not perform Services for any other person or entity that, pursuant to any applicable law or regulation, would result in a conflict of interest or would otherwise be prohibited with respect to CONSULTANT's obligations pursuant to this Agreement.
CONSULT ANT agrees to cooperate fully with CITY and to provide any necessary and appropriate information requested by CITY or any authorized representative concerning potential conflicts of interest or prohibitions concerning CONSULT ANT' s obligations pursuant to this Agreement.
- 7 - OAK #4890-2776-373vl (Rev. 9/2021)
Item #8.2.
CONSUL TANT may not employ any CITY official, officer or employee in the performance of the Services, nor may any official, officer or employee of CITY have any financial interest in this Agreement that would violate California Government Code § 1090 et seq. CONSULTANT hereby warrants that it is not now, nor has it been in the previous twelve (12) months, an employee, agent, appointee, or official of CITY. If CONSULT ANT was an employee, agent, appointee, or official of CITY in the previous twelve months, CONSULT ANT warrants that it did not participate in any manner in the forming of this Agreement. CONSULT ANT understands that, if this Agreement is made in violation of Government Code § 1090 et seq., the entire Agreement is void and CONSULTANT will not be entitled to any compensation for CONSULTANT's performance of the Services, including reimbursement of expenses, and CONSUL TANT will be required to reimburse CITY for any sums paid to CONSULTANT under this Agreement. CONSUL TANT understands that, in addition to the foregoing, penalties for violating Government Code § 1090 may include criminal prosecution and disqualification from holding public office in the State of California.
Any violation by CONSULT ANT of the requirements of this provision will constitute a material breach of this Agreement, and the CITY reserves all its rights and remedies at law and equity concerning any such violations.
7.2. Subcontracting. CONSULTANT may subcontract portions of the Services upon the prior written approval of CITY. CONSULT ANT will be solely responsible for payment of such subcontract Services. No contractual relationship will exist between any such subcontractors of CONSULTANT and CITY. CONSULTANT's subcontractors agree to be bound to CONSULTANT and CITY in the same manner and to the same extent as CONSULTANT is bound to CITY under the Agreement. CONSULTANT's subcontractors further agree to include the same requirements and provisions of this Agreement, including the indemnity and insurance requirements, with any subsubcontractor to the extent they apply to the scope of the sub-subcontractor's work. A copy of the CITY indemnity and insurance provisions will be furnished to CONSULTANT's subcontractors upon request.
7.3. Entire Agreement. This Agreement represents the entire understanding of CITY and CONSULTANT as to those matters contained herein. No prior oral or written understanding shall be of any force or effect with respect to those matters covered hereunder. This Agreement may only be modified by an amendment in writing signed by each party.
7.4. No Assignment. The Services are deemed unique and neither party shall assign, transfer, subcontract or otherwise substitute its interest in this Agreement or any of its obligations hereunder without the prior written consent of the other party. As limited by this Section 7 .2, this Agreement is to be binding on the successors and assigns of the parties hereto.
7.5. Severability. If any part of this Agreement is determined to be unconstitutional, invalid or beyond the authority of either party, such decision shall not affect the validity of the remainder of this Agreement, which shall continue in full force and effect, provided that - 8 - OAK #4890-2776-373v l (Rev. 9/2021)

the remainder of this Agreement can be interpreted to give effect to the intentions of the parties.
7 .6. Counterparts. This Agreement may be signed in counterparts and, when fully signed, such counterparts shall have the same effect as if signed in one document.
7. 7. Choice of Law. This Agreement and all matters relating to it shall be governed by the laws of the State of California without reference to its choice oflaws principles and venue shall be in the appropriate court in Napa County, California.
7.8. Waiver. No failure on the part of either Party to exercise any right or remedy hereunder shall operate as a waiver of any other right or remedy that party may have hereunder. A waiver by either CITY or CONSULTANT of any breach of this Agreement shall not be binding upon the waiving party unless such waiver is in writing. In the event of a written waiver, such a waiver shall not affect the waiving party's rights with respect to any other further breach.
7.9. Mediation. In the event the parties are unable to resolve a dispute arising under this Agreement through good faith negotiations, the parties agree to submit the matter to mediation with a mutually agreeable mediator. Prior to the mediation, the parties shall exchange any documents reasonably necessary to resolve the matter to be mediated.
7.10. Interpretation. In the event this Agreement is ever construed in any dispute between the parties, it and each of its provisions shall be construed without regard to the party or parties responsible for its preparation and shall be deemed to have been prepared jointly by the parties. The rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not be employed in interpreting this Agreement. 7 .11. Authority. Each individual executing this Agreement on behalf of one of the parties represents that he or she is duly authorized to sign and deliver the Agreement on behalf of such party and that this Agreement is binding on such party in accordance with its terms.
7.12. Third Parties. Nothing contained in this Agreement shall create a contractual relationship with, or cause of action in favor of, a third party against either the CITY or CONSULTANT. CONSULTANT's Services hereunder are being performed solely for the benefit of CITY. CITY shall be an express third-party beneficiary of all contracts between CONSULT ANT and any subcontractors or subconsultants in connection with any services performed in connection with, or in furtherance of, this Agreement. * * *

Dear Rachel,
Marin IT
www.marmit.com -
Marin It would like to thank City of Calistoga for this opportunity. If you have any questions please contact Tim Bush directly.
This is the budgetary proposal to migrate 13 employees to Microsoft TEAMS calling. Each user will require an upgrade to the Microsoft G5 package, in addition to the addition of a (domestic) TEAMS calling plan.
The main reason for upgrading to the G-5 license is that CJIS will soon require all government agencies to have a G5 license if they want the ability to have TEAMS calling between other government agencies.
Considering how close Calistoga is with St. Helena (who will be migrating next fiscal year) it makes sense to go that route, and it checks a lot of FED/CJIS compliance boxes since MS guarantees the "G" level licensing stays within the US border. Additionally, G-5 licensing provides a more advanced call-control, PBX-like capabilities, and advanced threat protection.

STAFF REPORT
To: Honorable Mayor and City Council
From: Yudiana Galvan, City Clerk
Meeting: City Council - Jan 16 2024
Subject: Appointments to the Green Committee, the Housing Advisory Committee and the Napa County Climate Action Committee
DESCRIPTION:
Consider adopting two Resolutions confirming the Mayor's Appointments.
RECOMMENDATION:
Consider adopting the Resolutions.
BACKGROUND/SUMMARY:
Pursuant to Government Code § 40605 the Mayor, with the approval of the City Council, shall make all appointments to boards, commissions, and committees.
The vacancies were created due to the resignation of Cynthia Butler from Green Committee and David Shaw from Housing Advisory Committee. The unscheduled vacancies were advertised on the City’s website, the local newspaper, and posted in the display cases. The Mayor recommends appointing Millie Pease to the Green Committee and Eugene Gorman to the Housing Advisory Committee. These appointments would fill the vacancies for the remainder of the term, expiring December 31, 2024.
The Napa County Climate Action Committee (CAC) regular meeting schedule for 2024 has been adopted and per the CAC bylaws amended 5/23/23, the CAC member “jurisdiction’s Council or Board shall also appoint one alternate to serve in a members’ place in the event they will be absent during a committee meeting.” Currently, Councilmembers Eisenberg and Gift are appointed to the committee and an alternate needs to be appointed by Resolution. Appointing an alternate to the Climate Action Committee by Resolution is needed.

City Housing Advisory Committee application - Lana Richardson ' /7L4Z5
Why you sh to serve -
I've been a full-time resident of Calistoga for more than 25 years. During that time Iwas owner/operator of 2 home-based hospitality businesses — B&Band Cooking School for more than 20 years. Over the course of meeting thousands of people visiting Calistoga, the consistent statement was how much they loved the rural, small town character and 'Iaid-back‘feeling it encourages. Exactly what the citizenry loves as well.
The General Plan embraces and emphasizes these values in many places. It isimportant that as we implement the updates to the Housing Element of the General Plan, we also retain and embrace these characteristics of CaIistoga's identity. I have gained insight and been active in discussing ideas of meeting the challenge of providing increased housing for law and middle income citizens of Calistoga while retaining the small-town character.
Whileserving on the Housing Advisory Committee, I researched and gained a deeper understanding of housing related State legislation (e.g. SE35; SB423; SB33lJ; SB9; AB1033).Whilewe may not completely agree with this legislation, it de?nitely impacts Ca|istoga's housing goals and the Housing Element of the General Plan. I think it is important that appointees to HACunderstand this and other housing legislation while implementing action items related to the Housing Element which was submitted and approved by the State. IfCallstoga failsto meet the State approved timeline and implementation of action items, it could result in unnecessary penalties.
