STAFF REPORT
To: Honorable Mayor and City Council
From: Michelle Marchetta Kenyon, City Attorney
Meeting: City Council - Jul 09 2024
Subject: Consideration of a Resolution Approving the Second Amendment to Employment Agreement between The City of Calistoga and Laura Snideman DESCRIPTION:

Consideration of a Resolution Approving the Second Amendment to Employment Agreement between The City of Calistoga and Laura Snideman
RECOMMENDATION:

Consider Adopting the Resolution
BACKGROUND/SUMMARY:

The City Manager does not receive the annual merit increases or annual COLAs (cost of living adjustments) afforded to all other employees. Compensation adjustments are at the discretion of the city council and subject to performance reviews. It has been almost two years since the City Manager received any compensation adjustments.

The City and Laura Snideman entered into an Employment Agreement on January 31, 2022, providing for the terms and conditions of employment of Laura Snideman as City Manager (“Original Agreement’). On November 15, 2022, the City and Laura Snideman entered into a First Amendment to the Employment Agreement amending the terms of compensation (“First Amendment”). Both the Original Agreement and First Amendment shall be referred to collectively as “Employment Agreement.”
Per the terms of the Employment Agreement, the City Council conducted an evaluation of the City Manager’s performance in June 2024 and recently concluded a review of the City Manager’s compensation. Following the annual evaluation and subsequent compensation discussions, the Council and City Manager would like to modify the City Manager’s salary and benefits.

In accordance with Government Code section 54953(c), the following is a summary of the proposed amendments to the Employment Agreement which are reflected in the attached Second Amendment to City Manager Employment Agreement Between The City of Calistoga and Laura Snideman (“Second Amendment”):
 The City Manager’s monthly base salary shall be Twenty Four Thousand Three Hundred Eighty-Five Dollars ($24,385) effective as of July 1, 2024.  The current matching retirement account contribution shall be modified to full contribution by the Employer subject to the federal maximums of a 457(b)plan.  All other benefits and compensation as they apply to the City Manager, as set forth in the Employment Agreement, remain unchanged. This includes that the City Manager will Item #8.3.

continue to forgo a car allowance and technology allowance as afforded to other executive managment employees.

FINANCIAL IMPACT:

The salary increase is $3,537/month. In combination with an additional $15,250/year for the retirement contribution, the total annual increase is $57,694. A portion of this is included in the FY 24/25 budget and the remaining amount is likley to be addressed through annual salary savings from gaps in filling positions.

CEQA STATUS:

The action is exempt from environmental review under the California Environmental Quality Act, Public Resource's Code section 21000 et seq. ("CEQA") pursuant to CEQA Guidelines Section 15061(b)(3) as it can be seen with certainty that the project has no potential for causing a significant effect on the environment.

EMPLOYMENT AGREEMENT

BETWEEN THE CITY OF CALISTOGA

AND LAURA SNIDEMAN

1. PARTIES AND EFFECTIVE DATE
This Second Amendment to Employment Agreement is entered into this 2nd day of July, 2024, by and between the City of Calistoga, California, a municipal corporation (hereinafter called “Employer”) and Laura Snideman, (hereinafter called “Employee”) (Employer and Employee referred to collectively as “Parties”) with respect to the employment of Employee as the City Manager of the Employer.

2. RECITALS
WHEREAS, the Parties entered into an Employment Agreement effective as of January 31, 2022 (“Employment Agreement”); and
WHEREAS, the Parties entered into a First Amendment to Employment Agreement to amend the terms and conditions of Employee’s employment; and WHEREAS, the Parties now desire to amend the Employment Agreement through this Second Amendment to Employment Agreement between City of Calistoga and Laura Snideman (“Second Amendment”) to reflect new terms and conditions as set forth below.

NOW, THEREFORE, in consideration of the mutual covenants herein contained, the Parties agree as follows:

B. The second paragraph of Section 5(D) of the Employment Agreement is hereby amended to read in its entirety as follows:

5. COMPENSATION AND BENEFITS
D. Retirement
Employer shall annually contribute to a retirement plan of the employee’s choosing. The annual amount shall be the Federal maximum of a 457(b) plan catch-up deferral limits for a 457(b) plan for those over age 50. The Parties expressly understand this match does not extend to the 457(b) plan "pre-retirement/last three years special catch-up" deferral limits which have historically doubled the contribution limits. The 457(b) plan is referenced solely to establish the Employer's maximum contribution amount and the specific funds may be applied to other allowable deferred compensation plans of the Employer for which Employee is eligible to participate in and for which employee deferrals and employer matching contributions are permitted in lieu of depositing the matching contributions in the Employee's 457(b) plan account.

4. FULL FORCE AND EFFECT
Except as specifically modified herein, all remaining terms and obligations set forth in the Employment Agreement between the City and Employee shall remain in full force and effect.
