Subject: Second Amendment to License Agreement for
Telecommunications Facilities between the City and New Cingular Wireless
BACKGROUND
New Cingular Wireless PCS, LLC (New Cingular Wireless), successor in interest to AT&T Wireless Services of California, utilizes the Water Division’s reservoir site No. 4, located at the intersection of Cedar Street and Grandview Drive with cellular system antennas and related equipment mounted on the reservoir. The City and New Cingular Wireless entered into a License Agreement for Telecommunications Facilities dated January 1, 2004. The agreement was amended on October 13, 2010, to extend the term to January 1, 2024.
DISCUSSION
New Cingular Wireless has requested to extend the agreement to ensure the long-term use of the reservoir site before investing in upgrades to the communications equipment.
Staff recommends a second amendment to the Agreement for Telecommunications Facilities between the City and New Cingular Wireless. City staff and the consultant for New Cingular Wireless have negotiated a second amendment that would extend the term for five years, until January 1, 2029. The Agreement will automatically renew commencing on the expiration date of the new initial term for up to five (5) consecutive additional periods of five (5) years each.
The license fee for the first year will be $31,563.12. In year two, the annual license fee will increase by three percent (3%) over the license fee paid during the previous year and will increase by three percent every year thereafter.
