AGREEMENT NO. 2019-71C
THIRD AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This Third Amendment to Agreement No. 2019-71 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and GeoDynamics Inc., a California corporation, collectively referred to as the Parties. The effective date of this Amendment is July 1, 2023.
RECITALS
A. On June 26, 2019, the Camarillo City Council approved Professional Services Agreement No.2019-71 with GeoDynamics Inc. for geotechnical review services in the amount of $90,000 for three years, effective July 1, 2019 (Agreement).
B. On May 11, 2022, the Camarillo City Council approved a First Amendment to Professional Services Agreement with GeoDynamics Inc. to extend the term of Agreement from July 1, 2022, through June 30, 2023, in the amount of $20,000 for a total Agreement amount of $110,000 (Agreement No. 2019-71A).
C. On December 14, 2022, the Camarillo City Council approved a Second Amendment to Professional Services Agreement with GeoDynamics, Inc. for additional compensation in the amount of $30,000 due to an increase in geotechnical review for unanticipated projects for Fiscal Year 2022/23 for a total Agreement amount of $140,000 (Agreement No. 2019-71B).
D. GeoDynamics Inc. provides geotechnical review services for Land Development projects to the satisfaction of the City Engineer.
E. Pursuant to Section 22.4 of the Agreement, the parties wish to extend the Agreement for an additional one-year period.
F. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended to add the following:
a. The term of Agreement is extended from July 1, 2023, through June 30, 2024 at the rates listed in Exhibit A of Amendment.
Section 2. Compensation and Payment. This Amendment is for a not-to-exceed amount of $27,000, for a total Agreement amount of $167,000.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.

FEES FOR PROFESSIONAL, TECHNICAL AND SUPPORT STAFF
Geodynamics, Inc. charges our clients for professional, technical and support services for time directly related to a project. Charges are not made for ordinary secretarial services, office management, accounting, maintenance or other activities not directly related to a project. Current personnel classifications and rates are summarized below. Rates shown are adjusted for California Prevailing Wage Law as indicated.

Overtime is defined as time charged to a project in excess of 8 hours per day, time worked on weekends, holidays, or night shifts.

Services related to presentations to regulatory boards, court appearances, and for expert-witness testimony will be charged at $350 per hour with a four-hour minimum.
PROJECT-RELATED EXPENSES
Expenses directly related to a project will be billed as follows:
Subcontractors (drilling, trenching, surveying, testing, etc.), travel-related expenses (hotels, meals, vehicle rentals, air travel, etc.) and other project expenses (e.g., aerial photographs, outside reprographics, equipment rental, overnight shipping, project-related expendable supplies, etc.) will be charged at cost plus 15 percent.
Mileage for project-related travel will be billed at $0.58 per mile In-house photocopy/reproduction will be billed at $0.25 per page.
