AGREEMENT NO. 2022-24B
AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This Amendment to Agreement No. 2022-24 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and Rincon Consultants, Inc. collectively referred to as the Parties. The effective date of this Amendment is January 1, 2024.
RECITALS
A. On March 9, 2022 , the City Council approved Professional Services Agreement No.2022-24 with Rincon Consultants, Inc for the preparation of a Climate Action Plan and Update to the General Plan Safety Element in the amount of $263,549 as outlined in Exhibit A effective March 9, 2022 (Agreement).
B. On February 10, 2023 , the Parties entered into a First Amendment to the Agreement to update the methodology and emissions estimates in the amount of $6,371.
C. Pursuant to Section 7 of the Agreement, the parties wish to extend the Agreement to June 30, 2025.
D. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended to add the following:
a. Section 1 is amended to read as follows:
Subject to the provisions of Section 20 (Termination of Agreement), the term of this Agreement will be for a period commencing on the Effective Date and is anticipated to be complete by June 30, 2025.
Section 2. Compensation and Payment. This Amendment requires no additional funding, the total agreement amount remains $263,549.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2022-24B, to be executed as of the Effective Date.
