Camarillo Sanitary District
AGENDA REPORT
Date: April 9, 2025
To: Honorable Chairman and Board of Directors
From: Greg Ramirez, District Manager
Submitted by: Dave Klotzle, Assistant District Manager
Subject: Generator and Automatic Transfer Switch Maintenance – Second Amendment to CSD Agreement No. 2022-9B with Quinn Power Systems
BACKGROUND
Camarillo Sanitary District (CSD) owns six generators, and six Automatic Transfer Switch (ATS) units located at the Water Reclamation Plant and pump stations. Maintenance of these units is necessary to ensure the uninterrupted operation of the plant and pump stations in the event of a power outage.
On June 22, 2022, the CSD Board authorized a three-year maintenance agreement for generator and ATS maintenance services (CSD Agreement No. 2022-9) through June 30, 2025, with Quinn Group Inc. dba Quinn Power Systems (Quinn), in the amount of $76,395. The agreement allows for up to two one-year extensions with CSD Board approval.
On June 28, 2023, the CSD Board authorized the District Manager to execute CSD Agreement No. 2022-9A for additional services with Quinn in the amount of $452 for a total not-to-exceed amount of $76,847 and authorized a contingency in the amount of $7,600, for a total authorized expenditure of $84,447.
DISCUSSION
Staff recommends approval of a second amendment to the Agreement (CSD Agreement No. 2022-9B) with Quinn for the first one-year extension, from July 1, 2025, through June 30, 2026, in the amount of $16,669, for a total not-to-exceed amount of $93,516, and reestablishing a contingency in the amount of $7,600 for unforeseen work for a total authorized expenditure of $101,116. Amounts shown in the table on the following page.
Amendment – Generator and ATS Maintenance Contract

2 3
9 2
Contract Year Contract Amount
FY 22/23 $15,465
FY 23/24 $15,691
FY 24/25 $15,691
FY 25/26 $16,669
Remedial Repair $30,000
Total Agreement Amount $93,516
Contingency $7,600
Total Authorized Expenditure $101,116
Staff also recommends authorizing the District Manager to execute the second one-year extension in 2026 for an amount that does not exceed 6% of the FY 2025/26 Contract Amount (or $17,669). Quinn is unable to provide pricing for FY 2026/27 at this time as future planned generator replacements may impact Quinn’s maintenance costs. If Quinn’s proposed pricing for FY 2026/27 exceed 6% of their FY 2025/26 rate, staff will return to the CSD Board with the proposed pricing.
FISCAL IMPACT
Funds for the generator, automatic transfer switch maintenance, and contingency are included in the FY 2025/26 Proposed Budget in the Camarillo Sanitary District Funds, Contract Services Account Nos. 871-3720-437.35-74 in the amount of $8,946 and 871- 3740-437.35-74 in the amount of $15,323.
CEQA DETERMINATIONS
The Generator and ATS Maintenance Contract Amendment is not subject to CEQA review pursuant to Section 15301(b) of the State CEQA Guidelines, which exempts from CEQA review projects that involve the maintenance of existing generators and ATS units.
This agenda item meets the criteria for this exemption because it involves the maintenance of existing CSD equipment.
RECOMMENDATION
1. Find the Generator and Automatic Transfer Switch Maintenance Contract Amendment exempt from review under the California Environmental Quality Act (CEQA) pursuant to Section 15301(b) of the State CEQA Guidelines as maintenance of CSD equipment;
2.
