SECOND AMENDMENT TO GENERATOR & AUTOMATIC TRANSFER SWITCH (ATS)
MAINTENANCE CONTRACT
This Second Amendment to CSD Agreement No. 2022-9 (Amendment) is entered into between the CAMARILLO SANITARY DISTRICT, a sanitary district organized pursuant to the California Health and Safety Code ("District ), and QUINN GROUP INC. DBA QUINN POWER SYSTEMS, a California corporation, ("Contractor") collectively referred to as the "Parties." The effective date of this Amendment is July 1, 2025.
RECITALS
A. On June 22, 2022, the District Board approved an Agreement with Contractor for generator and automatic transfer switch (ATS) maintenance services in the amount of $76,395.
The Parties entered into a written agreement entitled Camarillo Sanitary District Generator & Automatic Transfer Switch Maintenance Contract, Agreement No. 2022-9 effective July 1, 2022 (Agreement).
On June 28, 2023, the District Board approved the First Agreement Amendment with Contractor for Generator and Automatic Transfer Switch (ATS) maintenance services in the amount of $226 for FY 2023/24 and $226 for FY 2024/25 for an additional amount of $452 and a total agreement amount of $76,847 through June 30, 2025 (CSD Agreement 2022-9A).
C. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
D. The parties desire to modify the contract in accordance with Section 15.5 of the Agreement.
Section 1. Amendment. The Agreement is amended to modify the following:
A. Provide additional generator and ATS maintenance services for FY 2025/26 from the effective date through June 30, 2026, at the pricing per the attached Exhibit A, and authorize a contingency to be utilized through the extended term.
Section 2. Compensation and Payment. This Amendment is for a not-to-exceed amount of $16,669 and authorized contingency of $7,600, for a total amended agreement amount of $101,116.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
