AGREEMENT NO. 2022-177C
THIRD AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF CAMARILLO AND CONFIDENCE CONSULTING
This Amendment to Agreement No. 2022-177 (Agreement) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and Confidence Consulting, a Sole Proprietor, collectively referred to as the Parties. The effective date of this Amendment is July 1, 2025.
RECITALS
A. The Parties entered into a written agreement entitled "City of Camarillo Professional Services Agreement with Confidence Consulting" Agreement No. 2022-177 having an effective date of August 9, 2022 (Agreement) to provide professional consulting services and assistance with Leadership Assessment, Development, and Training Plans, as outlined in Exhibit A of the Agreement, for a not-to-exceed amount of $30,000.
B. The parties desire to modify the Term of the Agreement in accordance with Section 1 of the Agreement.
C. On July 12, 2023, the City Council approved "First Amendment to Professional Services Agreement 2022-177A" to extend the Agreement through June 30, 2024; for an amount not-to-exceed $30,000, and total agreement amount of $60,000.
A "Second Amendment to Professional Services Agreement 2022-177B" was executed and took effect July 1, 2024, extending the Agreement though June 30, 2025. No additional funding was requested
E. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
F. The parties desire to modify the Term of the Agreement in accordance with Section 1 of the Agreement.
Section 1. Amendment. The Agreement is amended to add the following:
a. Extend the current Agreement for professional services related to Leadership Assessment, Development, and Training Plans. See attached Exhibit A, Scope of Services.
b. The term of the Agreement is extended through June 30, 2026. c. Additional $10,000 for expenditures for new personnel leadership assessments and training in FY 2024/25.
Section 2. Compensation and Payment. This Third Amendment to Agreement No. 2022-177C is for an amount not-to-exceed of $30,000, for a total agreement amount of $100,000.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2022-177C, to be executed as of the Effective Date above. [Signatures on following page.]
