AGREEMENT NO. 2021-112C
THIRD AMENDMENT TO MAINTENANCE CONTRACT
This Third Amendment to Agreement No. 2021-112 is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and West Coast Arborists, Inc., a California corporation (Contractor) collectively referred to as the “Parties.” The effective date of this Amendment is July 1, 2025.
RECITALS
A. On June 9, 2021, the City Council approved Maintenance Contract No. 2021-112 with West Coast Arborists for professional tree maintenance services in the amount of $2,174,490 for a three-year term effective July 1, 2021.
B. On June 26, 2024, the City Council approved a First Amendment to the Agreement with West Coast Arborists, 2021-112A, to continue professional tree maintenance services in the amount of $824,385 for a total agreement amount of $2,998,875 for a one-year term effective July 1, 2024.
C. On February 12, 2025, the City Council approved a Second Amendment with West Coast Arborists, 2021-112B, to provide services for the removal of fire-impacted trees in Zone 2 along Vista Del Mar Ave and Ponderosa Drive due to the Mountain Fire in the amount of $42,307.70 for a total agreement amount of $3,041,182.70.
D. Pursuant to Section 15.5 of the Agreement, the parties wish to extend the Agreement for an additional one-year period in the amount of $851,590 effective July 1, 2025, fully described herein.
E. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended to add the following:
1. The Agreement for professional tree maintenance services to be extended for one additional year from July 1, 2025, through June 30, 2026.
Section 2. Compensation and Payment. This Amendment is for a not-to-exceed amount of $851,590 for a total agreement amount of $3,892,772.70.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2021-112C to be executed as of the Effective Date. (See next page)
