Page 2 of 6 ends

1.1 Owner shall work with CalTrans to cause signage at the intersection of Somis Road and the Secondary Access Driveway to identify the Secondary Access Driveway as Bell Ranch Road in the location shown on Exhibit B attached hereto.

1.2 Owner shall cause the gate at the west end of the Secondary Access Driveway as shown on Exhibit C attached hereto, to be accessible to two-way traffic at all hours by issuing tenants of the Housing Developments access fobs (or similar devises) for said gate.

The gate shall be accessible as described for the life of the Housing Development or any similar use that may arise on the property that requires use of the Secondary Access Driveway.

1.3 The Owner agrees during the term of this Agreement to consider other reasonable actions as may be identified by the City to encourage use of the Secondary Access Driveway as well as reduce traffic and safety issues at the Common Driveway, including but not limited to speed humps, signs and pavement markings.

2. Maintenance of Common Driveway and Cost Allocation. The Parties agree to certain maintenance and repair costs of the Common Driveway as further described in this paragraph.

2.1 Owner shall timely perform any and all required maintenance and repair of the asphalt, concrete and pavement markings within the Common Driveway limits shown on Exhibit A, not including sidewalks, access ramps, monuments, lighting, landscaping or trash and debris removal (the “Common Driveway Maintenance Work”). All such work shall be performed in accordance with applicable City and/or State specifications and standards.

2.2 Owner shall quarterly invoice City for ten percent (10%) (City’s share) of the cost of any Common Driveway Maintenance Work deemed acceptable by the City which invoice shall include reasonable backup, as reasonably determined by the City, detailing the costs of the Common Driveway Maintenance Work. City shall pay any properly invoiced amounts by Owner within sixty (60) days.
(a) Notwithstanding the foregoing, in the event the Common Driveway Maintenance Work is the result of a defect in the design and initial construction of the Common Driveway the City shall pay one hundred percent (100%) of the costs of all such Common Driveway Maintenance Work. (b) Determination of a defect in the design and initial construction of the Common Driveway shall be determined by a court of competent jurisdiction with each party paying its own costs and legal fees or through mutual agreement of the parties that the City is at fault.
(c) If the parties cannot come to a mutual agreement, prior to having the matter determined by the courts, the parties will engage in non-binding arbitration before a neutral, mutually selected arbitrator, conducted in the County of Ventura, pursuant to the procedural rules of either the American Arbitration Association or JAMS. Arbitration costs shall be born equally by the parties. If either party is not satisfied with the result of the non-binding arbitration, the dispute may be submitted to the courts by the unsatisfied party.

Page 3 of 6 ends

2.3 Owner shall perform and pay for any and all maintenance and repair of the entire limits of the Housing Development driveway (“Owner’s Driveway”) from the Common Driveway limits to the Housing Development as shown on Exhibit A. The City has no responsibility or liability for the area. In the event any incidents or claims are filed against the City related to the Owner’s Driveway, Owner will fully defend and indemnify the City at Owner’s sole cost including attorney’s fees.

2.4 Owner Failure to Maintain. If Owner fails to meet its obligations for the Common Driveway Maintenance Work, the City may notify the Owner in writing of its non- performance and of the need for repair or maintenance (Notice). If the Owner fails to take appropriate action to maintain or repair the Common Driveway as described in the Notice within 60 days of receipt, the City may choose to have the appropriate repair and/or maintenance performed and Owner shall be presumed to have consented to the work. The cost of the work shall be allocated as provided for in section 2.2. City shall invoice the Owner its 90% share of the cost. If the Owner fails to tender the payment within sixty (60) days after the receipt of the Notice, the City shall be entitled to recover the reasonable costs of collection, including reasonable attorneys’ fees, a late charge not exceeding 10% of the delinquent payment and interest on the delinquent payment at 10% per annum or the maximum rate then authorized by law, whichever is greater, commencing thirty (30) days after the payment due date. The City may also bring an action in any court of competent jurisdiction to collect the amount due.

3. Indemnification for Common Driveway.

3.1 To the fullest extent permitted by law, each Party (an “Indemnifying Party”) shall indemnify, defend, and hold harmless the other Party its officers, directors, employees, agents, and representatives (an “Indemnified Party”), from and against any claims, suits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of the Agreement, but only to the extent that the claims, suits, damages, liabilities, losses, costs, and expenses, involves a User (as defined below) of the Indemnifying Party on the Common Driveway. This defense and hold harmless shall not apply to liabilities, damages, losses, costs, or expenses arising out of or resulting from the sole or active negligence, or willful misconduct of the Indemnified Party.

3.2 In the event that claims, suits, or damages, are the result of an incident occurring between Users of each Party in the Common Driveway, Owner shall indemnify, defend, and hold harmless the City, its officers, directors, employees, agents, and representatives, from and against any claims, suits, damages, liabilities, losses, costs, and expenses incurred thereby. This indemnification shall not apply to any damages, liabilities, losses, costs, or expenses arising out of or resulting from the sole negligence, recklessness, or willful misconduct of the City.

3.3 The term “User” for purposes of this Agreement shall mean:
(a) For City: pedestrians and individuals in any mode of transportation that are using the Common Driveway for access to or from the Desalter or related activities.

Page 4 of 6 ends

(b) For Owner: pedestrians, including those walking to and from the bus stops located on Somis Road south of the Common Driveway, and individuals in any mode of transportation, that are using the Common Driveway related to the Housing Development or related activities.

4. Insurance. At all times during the term of this Agreement, each Party shall, at its sole expense continuously maintain or cause to be continuously maintained all insurance coverages with respect to the Common Driveway as follows:

General Liability: $2,000,000

Commercial general liability insurance will meet or exceed the requirements of the most current ISO-CGL Form. The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name City, its officials, and employees as “additional insureds” under said insurance coverage, state that such insurance will be deemed “primary” and “non-contributory” such that any other insurance that may be carried by City will be excess thereto, and include a waiver of subrogation on CG2404 and CA 0444 forms. Such insurance will be on an “occurrence,” not a “claims made,” basis and will not be cancelable except upon thirty (30) days prior written notice to City.

Owner will furnish to City duly authenticated Certificates of Insurance and Endorsements evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by City from time to time.

5. Owner Reimbursement of City for Power Pole Relocation . In connection with certain off-site work related to the development of the Housing Development it is anticipated that a power-pole which serves the Desalter Plant will be relocated by Southern California Edison at some point in the future as shown on Exhibit D attached hereto. Owner shall provide City written notice at least fourteen (14) calendar before any work for the power-pole relocation is commenced.

To the extent that any work for the relocation of the power-pole results in a loss of power to the Desalter Plant for more than four (4) hours, Owner shall pay City Ten Thousand Dollars ($10,000) for the remainder of the initial day and any portion of a calendar day thereafter, during which power to the Desalter Plant is disrupted , as an offset of the cost to the City to purchase imported water in place of the water not produced by the Desalter Plant during a loss of power.

6. Quitclaim of 1974 Easement and Right of Way Area . City is the holder of an easement and right-of-way granted by KAISER AETNA, recorded on July 10, 1974, Book 4285 page 529 as No. 45373 in the Official Records of the County of Ventura, over certain property located adjacent to Somis Road as shown on Exhibit E attached hereto (the “Right of Way Area”).

In connection with the Housing Development’s conditions of approval, Owner must cause certain off-site improvements to be constructed in the Right of Way Area. Concurrently upon final execution of this Agreement, City shall quitclaim its interest granted by KAISER AETNA recorded on July 10, 1974, Book 4285 page 529 as No. 45373 in the Official Records of the County

of Ventura to Ventura County. No other property interests of the City shall be conveyed or otherwise impacted by this quitclaim.

7. Interpretation. This Agreement, and the rights and obligations of the Parties hereunder, shall be governed by, and interpreted and enforced in accordance with, the laws of the State of California.

8. Headings. The title headings of the respective paragraphs of this Agreement are inserted for convenience only, and shall not be deemed to be a part of this Agreement or considered in construing this Agreement.

9. Time. Time is of the essence of this Agreement and each and every condition and provision set forth herein.

10. Waiver. No consent or waiver, express or implied, by any Party to, or of any breach or default by, any other Party in the performance of any obligations hereunder shall be deemed or construed to be a consent or waiver to or of any other breach or default in the performance by such other Party of the same or any other obligations of such party hereunder. Failure on the part of any Party to complain of any act or failure to act of any other Party or to declare the other party in default irrespective of how long such failure continues, shall not constitute a waiver by such Party of its rights hereunder.

11. Severability. Each term or provision of this Agreement is intended to be severable and shall continue in full force and effect although other provisions herein may be determined to be invalid or void for any reason.

12. Counterparts. This Agreement may be executed in counterparts which, when taken together, shall constitute one fully executed instrument as though all signatures appeared on one copy thereof. Delivery of an executed counterpart of this Agreement by facsimile, electronic means in portable document format (.pdf) or by any other electronic means intended to preserve the original graphic and pictorial appearance of a document, shall have the same effect as delivery of an executed original of this Agreement.
