4913-6444-7822 v1
Camarillo City Council

AGENDA REPORT
Date: June 25, 2025
To: Honorable Mayor and City Councilmembers
From: Rachel Richman, City Attorney
Subject: Approval of Fifth Amendment to Employment Agreement with City Manager/District Manager and Adoption of Conforming Resolution for Compensation, Classification and Benefits Program

BACKGROUND
On July 1, 2020, the City and Gregory Ramirez entered into an Employment Agreement – City Manager (“Agreement”), which provided for Mr. Ramirez to commence services as City Manager as of July 1, 2020. The Agreement at Section 2 (b) provides for an annual adjustment in salary in the discretion of the City Council to be effective annually on July

1. The City and Mr. Ramirez have entered into four subsequent annual Amendments to the Employment Agreement.

DISCUSSION
On May 28, 2025, the City Council and District in closed session conducted a performance evaluation as well as contract negotiations for Mr. Ramirez. As a result of that closed session, the City Council is considering a Fifth Amendment to the Employment Agreement providing for a salary increase of 4%.

The proposed Fifth Amendment to Employment Agreement will increase the salary of the City/District Manager by 4% from $313,798.78 to $326,350.75 to be effective July 1, 2025.

The new salary is also within the range of city manager salaries in Ventura County. This increase will also have a corresponding increase to the Manager’s total benefits bringing the amount of benefits to $197,269.25 annually.

The City Council is also considering an amendment to the City Manager’s Sick Leave Benefits, to treat those benefits as they would apply to an employee with nineteen plus years of service with the City which provides for a 100% cash out of accrued sick time upon the end of employment with the City. Pursuant to the Government Code governing CalPERS regulations, sick leave cash outs are not subject to CalPERS retirement obligations for the City.
