AGREEMENT NO. 2018-16A
FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This First Amendment to Agreement No. 2018-16 ("Amendment") is entered into between the City of Camarillo, a California general law city and municipal corporation ("City"), and RRM Design Group, a California corporation ("Consultant"), collectively referred to as the "Parties." The effective date of this Amendment is June 14, 2018.
RECITALS
On January 24, 2018, the City Council approved a Professional Services Agreement (Number No. 2018-16) with Consultant for the Arneill Road Mixed-Use Development Conceptual Design in the amount of $80,623 ("Agreement").
B. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
The Parties desire to modify the Scope of Services and Compensation set forth in Exhibits A and B of the Agreement so that Consultant may to perform additional and necessary boundary survey and mapping services, and such other services as may be approved by the City Manager.
Section 1. Amendment to Scope of Services. The Scope of Services set forth in Exhibit A of the Agreement is amended to add the Additional Work Request No. 1, which is set forth in the attached Exhibit 1.
Section 2. Amendment to Compensation and Payment. Section 2 of Exhibit B of the Agreement is amended to provide $4,000 for the additional boundary survey and mapping service, as well as further contingency funding as follows:
"2. Total compensation under this Agreement, including reimbursement for actual expenses, may not exceed: $84,623; provided, however, that the City Manager is authorized to provide additional funding up to $12,693 for any unforeseen expenses, subject to review and approval per Section 3 of the Agreement."
Section 3. Ratification of Terms in Agreement. Except as expressly modified by the terms and provisions of this Amendment, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment to be executed as of the Effective Date above.

DESCRIPTION OF WORK TO BE PERFORMED
RRM Design Group, a California Corporation ("RRM Design Group"), has entered into an agreement with The City of Camarillo (the "Client") dated March 7, 2018 (the "Prime Agreement") for the project: Arneill Road Mixed-Use Development (the "Project"). Additional Services Authorized by the Client are subject to the Terms and Conditions of the Prime Agreement.
Task X.01: Topographic Survey and Base Map
RRM will perform surveying and mapping of the project site and the street frontage. We will locate enough existing monuments in the field in order to show a boundary based on record information. This task will include fieldwork necessary to generate contours for the site and planimetric features; including the following detail items:
• Contours at one-foot intervals with spot elevations
• Tree trunks over 6" in diameter
• Structures, fences, walks, curbs, gutters, edge of pavement, utility poles, trees, and other pertinent planimetric features

Fixed fee tasks will be billed as the work progresses until the task is completed and the total amount stated in the contract for the task is invoiced.

Any work outside the scope of the original agreement between RRM Design Group and the Client and authorized by Client, is subject to the Terms and Conditions of the Prime Agreement.
