AGREEMENT NO. 2024-11A
AMENDMENT TO MAINTENANCE AGREEMENT
This Amendment (2024-11A) to Agreement No. 2024-11 is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and the CAMARILLO SANITARY DISTRICT, a Sanitary District organized pursuant to the California Health and Safety Code (“District”), and ACCO Engineered Systems, Inc ., a C alifornia corporation (Contractor), collectively referred to as the Parties. The effective date of this Amendment is September 1, 2025.

A. On May 6, 2024, the City Council approved Maintenance Services Agreement No. 2024-11 with ACCO Engineered Systems, Inc. to provide preventative maintenance for HVAC services in the amount of $286,324.00 for a 14-month term, effective July 1, 2024 and terminating on August 31, 2025 (Agreement).
B. ACCO has performed regular maintenance, inspections, testing, cleaning, aligning, calibrating, tightening, adjusting, lubricating, and replacing filters for the City’s HVAC systems at various facilities. The services have been performed satisfactorily, are essential to ensure continued efficient operation of HVAC equipment, and it is in the best interest of the City and District to extend the Agreement to maintain uninterrupted service.
C. Pursuant to Section 4 of the Agreement, the parties wish to extend the Agreement for twenty-two (22) months.
D. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended as follows:
a. Extend CC/CSD Agreement No. 2024 -11 for twenty-two (22) months beginning September 1, 2025 through June 30, 2027 for the preventative maintenance of city-owned HVAC equipment.

hibit A, attached hereto, is hereby incorporated and made a part of Exhibit B, Key Personnel & Compensation.

ion 2. Compensation and Payment. This Amendment is for a not -to-exceed amount of $397,164.00, for a total agreement amount of $683,488.00.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2024-11A, to be executed as of the Effective Date.
