PLACER LABS, INC.
AMENDMENT TO ORDER FORM
This Amendment to Order Form (this “Amendment”), dated as of September 4, 2024 (the “Amendment Date”), modifies the Order Form executed by City of Camarillo (“Customer”) and Placer Labs, Inc. (“Placer”) on or about October 17, 2022 (together with any other prior amendments thereto, the “Order Form”). Unless otherwise defined, capitalized terms herein have the same meaning as in the Order Form.
Placer and Customer agree to amend the Order Form as follows:
1. The Term of the Order Form will be renewed for 12 months starting October 17, 2024 (“Renewal Date”).
2. Starting the Renewal Date, the Annual License Fee will increase by $1,100 from $22,000 to $23,100.
3. Accordingly, Customer will receive an invoice for this upcoming Additional Term on the Renewal Date.
4. Placer may increase the fees any time following the Additional Term (but not more frequently than once in any twelve (12) month period). The amount of such annual increase will equal the greater of CPI or five percent (5%) per annum.
5. In all other respects, the Order Form shall remain in full force and effect.
