The Owner shall construct the gate within 180 days of the City approval of this Joint Use Agreement; however, the gate shall become operational by Owner at the same time as Owner completes the required County roadway improvements. The gate shall be accessible as described for the life of the Housing Development or any similar use. Failure to construct and operate the gate as described is a breach of the Agreement.
1.3 Owner shall work with Caltrans to cause signage at the intersection of Somis Road and the Northern Access Driveway to identify the Northern Access Driveway as Bell Ranch Road in the location shown on Exhibit B attached hereto.
1.4 In lieu of completing items 1. 1 and 1.2 prior to execution and delivery of the Quitclaim by the City, Owner will provide a cash deposit, bond or other security in the amount of $25,000 in a form satisfactory to the City to ensure the improvements in 1.1 and 1.2 are completed.
2. Maintenance of Common Driveway and Cost Allocation . The Parties agree to certain maintenance and repair costs of the Common Driveway as further described in this Section
2. 4896-3819-7614 v1 Page 3

2.2 Owner shall quarterly invoice City for ten percent (10%) (City’s share) of the cost of any Common Driveway Maintenance Work deemed acceptable by the City which invoice shall include backup, as reasonably requested by the City, detailing the costs of the Common Driveway Maintenance Work. City shall pay any properly invoiced amounts by Owner within sixty (60) days.
(a) Notwithstanding the foregoing, in the event the Common Driveway Maintenance Work is the result of a defect in the design and initial construction of the Common Driveway, the City shall pay one hundred percent (100%) of the costs of all such Common Driveway Maintenance Work.
(b) Determination of a defect in the design and initial construction of the Common Driveway shall be determined by a court of competent jurisdiction with each party paying its own costs and legal fees or through mutual agreement of the parties that the City is at fault.
(c) If the parties cannot come to a mutual agreement prior to having the matter determined by the courts, the parties will engage in non-binding arbitration before a neutral, mutually selected arbitrator, conducted in the County of Ventura, pursuant to the procedural rules of either the American Arbitration Association or JAMS. Arbitration costs shall be born equally by the parties. If either party is not satisfied with the result of the non -binding arbitration, the dispute may be submitted to the courts by the unsatisfied party.
2.3 Owner shall perform and pay for any and all maintenance and repair of the entire limits of the Housing Development driveway from the Common Driveway limits to the Housing Development (“Owner’s Driveway ”) as shown on Exhibit A . The City has no responsibility or liability for the area. In the event any incidents or claims are filed against the City related to the Owner’s Driveway, Owner will fully defend, hold harmless and indemnify the City at Owner’s sole cost including attorney’s fees.
2.4 Owner Failure to Maintain. If Owner fails to meet its obligations for the Common Driveway Maintenance Work, the City may notify the Owner in writing of its non- performance and of the need for repair or maintenance (Notice). The cost of any work performed by the City in accordance with this paragraph shall be allocated as provided for in section 2.2. City shall invoice the Owner its 90% share of the cost. If the Owner fails to 4896-3819-7614 v1 Page 4
tender the payment within sixty (60) days after receipt of the Notice and any such dispute resolution as may occur , the City shall be entitled to recover the reasonable costs of collection, including reasonable attorneys’ fees, a late charge not exceeding 10% of the delinquent payment and interest on the delinquent payment at 10% per annum or the maximum rate then authorized by law, whichever is greater, commencing thirty (30) days after the payment due date. The City may bring an action in any court of competent jurisdiction to collect the amount due.
3. Direct Pathway to Rancho Campana High School . Owner shall satisfy Project Condition of Approval 34(d) which reads: “ Construct all necessary safe route to school improvements from the site to the destination schools determined by the Pleasant Valley School District School Zones including a direct pathway to the adjacent Rancho Campana High School, which is proposed on the conceptual plans. ” Prior to City’s execution and delivery of the Quitclaim in Section 7, Owner shall provide City with documents demonstrating Owner’s plans and Owner’s existing agreement and correspondence with the Oxnard Union High School District (“OUHSD”) to provide the required direct pathway on the p roperty of the Project to Rancho Campana High School. Except as allowed by Owner agreement with the OUHSD, Owner has and shall continue to have no rights or obligations to construct pathway improvements to the Rancho Campana High School other than those located on the property of the Project. Owner’s obligations to the County as set forth in full in the Project conditions and Owner’s agreement with OUHSD shall serve to ensure Owner compliance with Condition 34(d). Owner’s conceptual plan for the direct pathway to OUHSD is depicted in Exhibit I.
4. Indemnification for Common Driveway.
4.1 To the fullest extent permitted by law, each Party (an “Indemnifying Party”) shall indemnify, defend, and hold harmless the other Party and its officers, directors, employees, agents, and representatives (an “Indemnified Party”), from and against any claims, suits, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of the Agreement, but only to the extent that the claims, suits, damages, liabilities, losses, costs, and expenses, involves a User (as defined below) of the Indemnifying Party on the Common Driveway.
This defense and hold harmless shall not apply to liabilities, damages, losses, costs, or expenses arising out of or resulting from the sole or active negligence, or willful misconduct of the Indemnified Party.
4.2 In the event that claims, suits, or damages, are the result of an incident occurring between Users of each Party in the Common Driveway, Owner shall indemnify, defend, and hold harmless the City, its officers, directors, employees, agents, and representatives, from and against any claims, suits, damages, liabilities, losses, costs, and expenses incurred thereby.
This indemnification shall not apply to any damages, liabilities, losses, costs, or expenses arising out of or resulting from the sole negligence, recklessness, or willful misconduct of the City or a City User.

Such U sers include but are not limited to Housing Development tenants, residents, occupants, invitees, visitors, delivery users, guests, and Owner’s contractors, delivery users, employees, visitors, guests, invitees and agents.

The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name City, its officials, and employees as “additional insureds” under said insurance coverage, state that such insurance will be deemed “primary” and “non -contributory” for claims for which O wner has agreed to indemnify and defend City in this Agreement such that any other insurance that may be carried by City will be excess thereto and include a waiver of subrogation on CG2404 and CA 0444 forms. Such insurance will be on an “occurrence,” not a “claims made,” basis and will not be cancelable except upon thirty (30) days prior written notice to City.
Owner shall furnish the City duly authenticated Certificates of Insurance and Endorsements in a form satisfactory to City evidencing maintenance of the insurance required under this Agreement and such other evidence of insurance or copies of policies as may be reasonably required by City from time to time.

In connection with Owner’s required off- site improvement work for installation of a bus stop, a power -pole which serves the Desalter Plant is expected to be relocated by Southern California Edison (SCE) as shown on Exhibit D attached hereto. As it relates to that work, Owner shall provide City written notice at least fourteen (14) calendar days before any work for the power -pole relocation is commenced.
6.1 It is anticipated that, at a minimum, power to the Desalter Plant will be shut off for four hours. To the extent that any work for the relocation of the power -pole results in a loss of power to the Desalter Plant for more than four (4) hours, Owner shall pay City Ten Thousand Dollars ($10,000) for the remainder of the initial day and any portion of one calendar day thereafter during which power to the Desalter Plant is disrupted, as an offset of the cost to the City to purchase imported water from the Calleguas Municipal Water District in place of the water not produced by the Desalter Plant during the loss of power. I n the event that the power outage from the power-pole relocation lasts longer than two calendar days, Owner shall reimburse City in the amount of the actual payment(s) by the City to purchase imported water from the Calleguas 4896-3819-7614 v1 Page 6
Municipal Water District for those additional days in place of water not produced by the Desalter Plant until the Desalter Plant’s power is fully restored.
6.2 As it relates to the power pole relocation activities undertaken by SCE , Owner shall indemnify, defend, and hold harmless the City, its officers, directors, employees, agents, and representatives, from and against any third party claims, suits, damages, liabilities, losses, costs, and expenses the City incurs as a result of such SCE activities.
