To: Honorable Mayor and City Councilmembers
From: Greg Ramirez, City Manager
Submitted by: Carmen Nichols, Assistant City Manager
Subject: CC/CSD 2025-14A Fieldman, Rolapp and Associates, Inc.
Amendment No. 1
BACKGROUND
On March 26, 2025, the City Council and Camarillo Sanitary District (CSD) Board approved Agreement No. 2025-14 with Fieldman, Rolapp & Associates, Inc. for municipal advisory services related to the preparation of a Long-Range Financial Plan (LRFP) for the Water Reclamation Plant (WRP) Upgrades Project. The approved not-to-exceed amount was $91,115 for a three-year term effective April 1, 2025.
The consultant was selected through a competitive Request for Proposal (RFP) process that received four qualified proposals. An evaluation panel composed of Ad Hoc Committee members and City staff selected Fieldman, Rolapp & Associates based on their qualifications, experience, and competitive pricing.
DISCUSSION
City staff continues to work with Fieldman, Rolapp & Associates to complete the Long- Range Financial Plan, and is additionally working on a Capacity Study that provides the District’s financial availability to fund the necessary upgrades to the WRP. Since the execution of the original agreement, the project financing needs have evolved and expanded as the District has refined its understanding of the project scope, timing, and optimal financing strategies. Staff recommends amending the agreement to add critical financial advisory services needed to successfully implement the WRP project financing.
The RFP released in October 2024 included an optional phase that would allow the selected firm to be tasked with assisting in whole or in part with the implementation of the Financial Plan. Upon completion of the preliminary analysis of the District’s financial

position, staff is prepared to begin the early stages of the implementation process. As a result, staff is requesting additional funds to complete the following tasks.
Completion of Long-Range Financial Plan and Financial Capacity Study – Finalize the comprehensive financial plan model incorporating updated project cost estimates, timing, and revenue projections to guide financing decisions. Additional funds are needed for Fieldman, Rolapp & Associates to support the efforts of the soon to be selected Owner’s Advisor/Program Manager.
WIFIA Loan Application Preparation and Support – Provide specialized expertise to prepare and submit applications to the U.S. Environmental Protection Agency (EPA) for Water Infrastructure Finance and Innovation Act (WIFIA) loans and coordinate pursuit of other private financing options. WIFIA loans typically offer competitive interest rates, attractive prepayment features and flexible repayment terms for large water infrastructure projects, which would be financially advantageous to the District over the life of the financing.
Debt Issuance Services – Provide comprehensive municipal advisory services for the issuance of bonds and/or private placement debt, including:
Financial structuring and analysis
Credit rating agency presentations
Debt sizing and structuring
Market analysis and timing recommendations
Negotiation support and pricing analysis
Closing coordination
To accomplish these critical tasks, staff recommend amending Agreement No. 2025-14 to include $410,000 in additional funds to cover cost of completed work on the long-range financial plan plus future cost to finalize the plan, WIFIA application support, and debt issuance services. This will increase the not-to-exceed amount to a total of $501,115.
The cost of providing services for WIFIA loans (if applicable) is based upon time and materials and not contingent on the closing of the loan. However, the expenses for the development of a WIFIA letter of interest, application and loan and the financial plans can be reimbursed from the loan.
The cost of providing services for debt issuance services is contingent upon the closing on the debt and may be reimbursed through the bond proceeds.
