AGREEMENT NO. 2024-20-2B
AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This Amendment to Agreement No. 2024-20 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and Willdan Engineering, Inc., collectively referred to as the Parties. The effective date of this Amendment is December 10, 2025.
RECITALS
A. On April 24, 2024 , the City Council approved Professional Services Agreement No. 2024-20 with Willdan Engineering for Construction Management and Inspection Services in the amount of $400,000 for a three-year period, effective May 1, 2024. (Agreement).
B. Pursuant to Section 3.3 of the Agreement, the parties wish to enter into a Second Amendment to increase the Agreement amount by $34 4,512, for a not -to-exceed amount of $744,512 due to the need for construction management, inspection, labor co mpliance and material testing services for the Corporation Yard Remodel Phase 1 Project No. CY-5163.
C. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended to add the following:
The agreement is amended to add the scope of services for the Corporation Yard Remodel Phase 1 Project No. CY-5163.
Section 2. Compensation and Payment. This Amendment is for a not -to-exceed amount of $344,512, for a total agreement amount of $744,512.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2024-20-2B, to be executed as of the Effective Date.

AMENDMENT NO. 2 REQUEST 71 476 104 74 1,356 2,081 $2,500 $344,512 1This not-to-exceed fee is based on an 8-month duration (165 working days) consecutive working day construction duration and daytime inspection (average of 6 hours per day, Monday thru Friday). Additional services needed beyond the contract specified date of completion will require an agreement amendment and will be provided on a time-and-material basis at Willdan's standard hourly rates listed on the "Schedule of Hourly Rates". Overtime inspection services are not included, but will be billed at 1.5 times normal hourly rate if required and may require agreement amendment. Work performed by support staff with titles not explicitly listed herein will be charged in accordance with Willdan's standard hourly rates listed on the "Schedule of Hourly Rates".
2This proposal assumes prevailing wage inspection is required. For prevailing wage classifications, hourly rates will be increased when the predetermined increases stipulated by the State of California Department of Industrial Relations take effect. Hourly rate increases will be equivalent to the % increase in wages mandated by the State of California. The State-madated prevailing wage rate for Construction Inspector has increased 11% since submission of our February 2024 proposal. This proposal is based on Determination SC-23-63-2-2025-1D issued on August 22, 2025. 3Miscellaneous fees include concrete cylinder breaks (assumed 4 sets of five (5) 4"x8" concrete cylinders) to be performed by Willdan's testing subconsultant, Union Materials Testing. Subconsultant fees and miscellaneous fees include a 15% markup. Any required special inspections will be performed by our Senior Public Works Observer, Mr. Brent Jablonowski and those hours are accounted for within the Inspection line item. 4Hourly rates for Construction Phase Services have been updated for period covering July 1, 2025 through June 30, 2026 in accordance with Willdan's contract for Construction Management and Inspection Services of Various Facility Improvement Projects. Non-prevailing wage titles reflect rate increases of 6.7% from our original February 2024 proposal, in accordance with the July 2024 (3.4%) & July 2025 (3.2%) 12-month consumer price index for the Los Angeles Area. *Additional hours associated with Amendment Request No. 2 labor are shown in bold font. Hours from Amendment Request No. 1 are shown in gray font.
