AGREEMENT NO. 2024-20A
AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This Amendment to Agreement No. 2024-20 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and Willdan Engineering, collectively referred to as the Parties. The effec tive date of this Amendment is October 16, 2025.
RECITALS
A. On April 24, 2024, the City Council approved Professional Services Agreement No. 2024-20 with Willdan Engineering for Construction Management and Inspection Servic es in the amount of $400,000.00 for three years, effective April 24, 2024 (Agreement).
B. Willdan Engineering provides Construction Management and Inspection Services for facility improvement project at all City facilities.
C. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended as follows:
a. Effective July 1, 2025, Exhibit B, Key Personnel & Compensation, is deleted in its entirety and replaced with Exhibit B, attached hereto.
Section 2. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of th e Parties have caused this Amendment, Agreement No.2024-20A to be executed as of the Effective Date.

KEY PERSONNEL & COMPENSATION
1. Consultant’s designated representative(s) who are authorized to act on its behalf and to make all decis ions in connection with the performance of services under this Agreement is Mike Bustos.
2. Total compensation under this Agreement, including reimbursement for ac tual expenses, may not exceed: $400,000. Willdan will provide separate pricing for each individual project as instructed by the City Fleet and Facilities Manager.

Schedule of Hourly Rates
Effective July 1, 2025 to June 30, 2026

eage/Field Vehicle usage will be charged at the rate in accordance with the current FTR mileage reimbursement rate, subject to negotiation.
Additional billing classifications may be added to the above listing during the year as new positions are created. Consultation in connection with litigation and court appearances will be quoted separately. The above schedule is for straight time. Overtime will be charged at 1.5 times, and Sundays and holidays, 2.0 times the standard rates. Blueprinting, reproduction, messenger services, and printing will be invoiced at cost plus fifteen percent (15%). A sub consultant management fee of fifteen percent (15%) will be added to the direct cost of all sub consultant services to provide for the cost of administration, consultation, and coordination. Valid July 1, 2025 thru June 30, 2026, thereafter, the rates may be raised once per year to the value between the 12-month % change of the Consumer Price Index for the Los Angeles/Orange County/Sacramento/San Francisco/San Jose area and five percent. For prevailing wage classifications, the increase will be per the prevailing wage % increase set by the California Department of Industrial Relations.
