AGREEMENT NO. 2023-5 Amendment No 1
AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This Amendment to Agreement No. 2023-5 is entered (Agreement) between the City of Camarillo, a California general law city and municipal corporation (City), and Arc Strategies LLC (“Consultant”), collectively referred to as the Parties. The effective date of this Amendment is January 26, 2026.
RECITALS
A. The Parties entered into a written agreement entitled “Professional Services Agreement with Arc Strategies LLC” Agreement No. 2023-5 with Arc Strategies, LLC, having an effective date of January 2 6, 202 3, to provide professional legislative advocacy consulting services, for a not-to-exceed amount of $300,000.
B. The parties desire to modify the Term of the Agreement.
C. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended as follows:
a. The term of the Agreement is extended through January 25, 2028.
b. Item 2 of Exhibit B - Key Personnel & Compensation is deleted in its entirety and replaced with the following:
Consultant shall invoice monthly and identify the work performed consistent with Section 5.3 of the Professional Services Agreement.
Consultant will be compensated a monthly retainer of $7,500, inclusive of reimbursement for actual expenses, for a total no t-to- exceed annual amount of $90,000. Out-of-pocket expenses (including travel, phone, and incidental costs) may be billed separately and shall not exceed $500 without prior written approval.
Total compensation under this Agreement, including
reimbursement of allowable expenses, shall not exceed $500,000.
Section 2. Compensation and Payment. This Amendment , for the two -year extension, is for a not-to-exceed amount of $180,000 with a contingency amount of $ 20,000, for a total not-to-exceed $200,000.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 1, to be executed as of the Effective Date.
