AGREEMENT NO. 2023-100A
FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This First Amendment to Agreement No. 2023-100 (Amendment) is entered between the City of Camarillo, a California general law city and municipal corporation (City), and Downs Government Affairs LLC (Consultant), collectively referred to as the “Parties.” The effective date of this Amendment is July 1, 2026.
RECITALS
A. The Parties entered into a written agreement entitled “Professional Services Agreement with Downs Government Affairs LLC,” Agreement No. 2023-100, with Downs Government Affairs , LLC , having an effective date of July 1 , 202 3, to provide professional legislative advocacy consulting services, for a not-to-exceed amount of $300,000 (Agreement).
B. The parties desire to modify the Term of the Agreement.
C. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended as follows:
a. The term of the Agreement is extended through June 30, 2028.
b. Item 2 of Exhibit B - Key Personnel & Compensation is deleted in its entirety and replaced with the following:
Consultant shall invoice monthl y and identify the work performed consistent with Section 5.3 of the Professional Services Agreement.
Consultant will be compensated a monthly retainer of $8,000, inclusive of reimbursement for actual expenses, for a total not-to-exceed annual amount of $96,000 per year. Total compensation under this Agreement, including reimbursement of allowable expenses, shall not exceed $492,000.
Section 2. Compensation and Payment. This Amendment , for the two -year extension, is for a not-to-exceed amount of $192,000, for a total Agreement not-to-exceed amount of $492,000.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment , to be executed as of the Effective Date.
