AGREEMENT NO. 2025-194A
AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT
This First Amendment to Agreement No. 2025-194 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and Morningstar Ventures , collectively referred to as the Parties. The effective date of this Amendment is April 22, 2026.
RECITALS
A. The City and Morningstar Ventures entered into Professional Services Agreement No. 2025-194 for executive coaching services (Agreement).
B. The Human Resources Department has assumed responsibility for administration of the Agreement.
C. The Parties desire to amend the Agreement to extend the term and increase the total not-to-exceed compensation to support expanded leadership development services, consistent with the attached Statement of Work.
D. All capitalized terms not defined in this Amendment shall have the meanings set forth in the Agreement.
Section 1. Term
The term of the Agreement is hereby extended through April 22, 2029, unless earlier terminated in accordance with the provisions of the Agreement.
Section 2. Compensation and Payment.
This Amendment increases the total compensation under the Agreement to a not-to- exceed amount of $200,000 for the period of April 22, 2026, through April 22, 2029, inclusive of all prior expenditures.
Section 3. Scope of Services
The scope of services shall include executive coaching, team coaching, leadership development, and related assessment services as outlined in the Statement of Work dated April 22, 2026, attached hereto and incorporated by reference.
Section 4. Continuation of Terms of Agreement.
Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2025-194A, to be executed on the Effective Date.
