SECOND AMENDMENT TO MAINTENANCE CONTRACT
This Second Amendment to Maintenance Contract No. 2022-29 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation, and the Camarillo Sanitary District, a Sanitary District organized pursuant to the California Health and Safety Code (collectively City/District) and Dial Security, referred to as the Parties. The effective date of this Amendment is May 27, 2026.
RECITALS
A. On March 23, 2022, the City Council and Board of Directors approved Maintenance Contract CC/CSD No. 2022-29 with Dial Security for fire monitoring, intrusion detection system equipment and monitoring at City Hall, Camarillo Sanitary District (CSD), Corporation Yard, the North Pleasant Valley Groundwater Desalter (Desalter) and the Camarillo Public Library facilities in the amount of $76,268 for a three-year term effective July 1, 2022 and terminating June 30, 2025, with two one-year extensions (Agreement).
B. On October 23, 2024, the City Council and Board of Directors approved Maintenance Contract CC/CSD No. 2022.29A, the First Amendment in the amount of $174,056 for a total not-to-exceed amount of $250,324. The term of the agreement was also extended for an additional year to June 30, 2026.
Pursuant to Section 4.1 of the Agreement, the parties wish to extend the Agreement for an additional one-year period beginning July 1, 2026, and terminating June 20, 2027, due to proprietary equipment installed at each facility.
D All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
Section 1. Amendment. The Agreement is amended to add the following:
a. Exhibit A is amended to include monitoring of the fire detection system at Dizdar Park, as well as updated monthly and annual costs for continued monitoring, maintenance service, and access control at pump stations, the water reclamation plan, City Hall, Corporation Yard, Library, and Desalter.
Section 2. Compensation and Payment. This Amendment is for a not-to-exceed amount of $22,908, for a total agreement amount of $273,232.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2022-29B, to be executed as of the Effective Date.
