Subject: Authorize Pricing Amendment No. 2022-163C with DropBox, Inc.
BACKGROUND
On May 14, 2021, the City entered into a one-year agreement with HelloSign (now DropBox Inc.) in the amount of $5,760 for legally binding electronic signature routing and document storage. HelloSign was chosen over competitors because it offers unlimited documents, ease of use, and scalable access that can be tailored to department needs.
In May 2022, the City Manager signed an additional one-year Pricing Agreement No. 2022-163 with DropBox, Inc. (DropBox) in the amount of $12,062.86, plus contingency for a total authorized amount of $12,763.53.
On May 10, 2023, City Council approved Pricing Amendment No. 2022-163A with DropBox for a three-year term in the amount of $38,016, with additional contingency authorization, for a total approved amount of $44,516.
In May 2025, the City executed Amendment No. 2022-163B to expand departmental access to DropBox, increasing the total agreement authorization to $59,486.53.
DISCUSSION
DropBox Sign has become an essential tool for the City’s document routing and approval workflows. Across departments, staff rely on DropBox to prepare, route, and execute legally binding electronic signatures on a wide range of documents, including contracts, agreements, personnel forms, and vendor authorizations. This paperless routing capability eliminates the delays and costs associated with printing, physical handling, and manual filing of documents.

and National Commerce (ESIGN) Act and are as legally binding as traditional handwritten signatures. Each signed document includes a comprehensive audit trail recording timestamps, IP addresses, and signer identity, providing a defensible evidentiary record for the City’s contracts and official actions.
Taken together, these operational efficiencies, security protections, and compliance safeguards make continued investment in DropBox, a sound and necessary commitment for the City.
Staff recommends City Council approve Pricing Amendment No. 2022-163C in the amount of $50,544 ($16,848 annually), including a $12,960 contingency for expanded departmental access, for a total amendment amount of $63,504 and agreement not-to- exceed of $122,990.53.
FISCAL IMPACT
Funds for DropBox, Inc. are included in the FY 2025/26 Information Systems Administration Budget Account No. 530-5330-453.32-01. Future year costs will be included in the respective fiscal year’s annual budget.
CITY COUNCIL STRATEGIC PLAN FY 2025/26
This recommendation supports the City Council’s Strategic Plan Goal and Objective 5.2 – Technology and City Facilities – Expand and upgrade technology infrastructure to improve network connectivity, digital services, and operational efficiency.
CEQA DETERMINATIONS
City staff has determined, in accordance with Section 15061(b)(3) of the California Environmental Quality Act (CEQA) Guidelines, that DropBox licenses are not subject to CEQA review because it can be seen with certainty that there is no possibility that software licenses may have a significant effect on the environment.
RECOMMENDATION
1. Find that DropBox software is exempt from review under the California Environmental Quality Act (CEQA) pursuant to Section 15301 of the CEQA Guidelines; and
2. Authorize the City Manager to execute Third Amendment No. 2022-163C with DropBox, Inc., in the amount of $50,544 plus contingency of $12,960 for a total not to exceed amount of $122,990.53; and
3. Authorize the City Manager to negotiate and execute future amendments with DropBox, Inc. Up to the authorized contingency amount.
