AGREEMENT NO. 2023-112C
THIRD AMENDMENT TO MAINTENANCE CONTRACT
This Third Amendment to Agreement No. 2023-112 (“Amendment”) is entered into between the City of Camarillo, a California general law city and municipal corporation (“City”), and Wonderful Things, Inc. dba Main Street Banner USA, a California Corporation (“Contractor”), collectively referred to as the “Parties.” The effective date of this Amendment is July 1, 2026.
RECITALS
A. On June 28, 2023, City of Council approved an agreement with the Contractor for banner maintenance services in the amount of $52,800, as outlined in Exhibit B. The Parties entered into a written agreement entitled City of Camarillo Maintenance Contract, Agreement No. 2023-112, effective July 1, 2023 (“Agreement”).
B. On September 1, 2023, the Parties approved Agreement No. 2023-112A, which added scope of work to replace 10 faded and damaged banners on Ventura Boulevard and authorized the use of $4,630 in contingency, for a total Agreement amount of $57,430.
C. On July 1, 2025, the Parties approved Agreement No. 2023-112B, which increased the contingency and authorized CPI adjustments in the amount of $2,454 for a total Agreement amount of $59,884.
D. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
E. The parties desire to modify the Agreement in accordance with Sections 4.1 and
16.5 of the Agreement.
Section 1. Amendment. The Agreement is hereby amended as follows:
A. The term of the Agreement is extended through June 30, 2027.
Section 2. Compensation and Payment. This Third Amendment is for a not-to- exceed amount of $19,194.38, for a total Agreement amount of $79,078.38.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Third Amendment, Agreement No. 2023-112C, to be executed as of the Effective Date above.
