AGREEMENT NO. 2023-112B
SECOND AMENDMENT TO MAINTENANCE CONTRACT
This Second Amendment to Agreement No. 2023-112 (Amendment) is entered into between the City of Camarillo, a California general law city and municipal corporation (City), and Wonderful Things, Inc. dba Main Street Banner USA, a California corporation (Contractor) collectively referred to as the Parties. The effective date of this Amendment is July 1, 2025.
RECITALS
A. On June 28, 2023, City Council approved City of Camarillo Maintenance Contract Agreement Number 2023-112 (Agreement) with Contractor for banner maintenance services in the amount of $52,800 as outlined in Exhibit B of the Agreement effective July 1, 2023.
B. On October 1, 2023, the Parties approved First Amendment Agreement Number 2023-112A in the amount of $4,630 to replace 10 faded and damaged banners on Ventura Boulevard.
C. The term of the Agreement is three years ending June 30, 2026. The Agreement includes provisions for two, one-year extensions.
D. All capitalized terms not defined in this Amendment have the meaning set forth in the Agreement.
E. The parties desire to modify Exhibit B in accordance with Section 16.5 of the Agreement.
Section 1. Amendment. The Agreement is amended as follows:
Increase the not-to-exceed amount noted in Exhibit B by $2,454 for CPI adjustments and additional unforeseen circumstances for a total authorized expenditure of $59,884.
Section 2. Compensation and Payment. This Amendment is for a not-to-exceed amount of $2,454, for a total agreement amount of $59,884.
Section 3. Continuation of Terms of Agreement. Except as expressly modified by the terms and provisions of this document, the remaining terms and provisions of the Agreement remain in full force and effect.
THE AUTHORIZED REPRESENTATIVES of the Parties have caused this Amendment, Agreement No. 2023-112B, to be executed as of the Effective Date above.
